Technology rights shall mean University rights in any technical information, know-how, processes, procedures, compositions, devices, methods, formulae, protocols, techniques, software, designs, drawings or data created by the inventors before the Effective Date relating to the use of liposomal vinca alkaloids which are not covered by patent rights but which are necessary for practicing the inventions covered patent rights.

Licensed Products means any product or service sold by Licensee comprising Licensed Subject Matter pursuant to this Agreement.
Derived Product means any service or product, whether or not a Licensed Product, that utilizes or is based on biological markers, proteins or other proteomic information (including, but not limited to, protein fractions, protein patterns and protein profiles) identified, discovered, analyzed, developed or otherwise derived or made possible using licensed subject matter, patent rights and/or technology rights.

Vinca Alkaloid Drug(s) means those certain generic pharmaceutical drugs which are commonly known as vinca alkaloid drugs, including without limitation to vinorelbine.
Licensed Method means any method that is covered by Patent Rights, the use of which would constitute, but for the license granted to Licensee under this Agreement, an infringement of any pending or issued and unexpired claim within Patent Rights.
Licensed Product means any Vinca Alkaloid Drug composition or product that is covered by the claims of Patent Rights, or that is produced by the Licensed Method, or the manufacture, use, sale, offer for sale, or importation of which would constitute, but for the license granted to Licensee by Licensor, an infringement of any pending or issued and unexpired claim within the Patent Rights, for use in the Field.
