(a) an exclusive license to use the Technical Information, and to make, have made, use and sell Licensed Products or Processes under the Licensed Patent Rights, within the Territory; and
(b) the exclusive right and authority to grant Sublicenses of the licenses granted in clause (a) above, subject to the provisions of this Agreement.
Agreement Licensee is expected to generate DNA sequencing using the Licensed Patent Rights in support of Licensors patent application claiming the Inventions.
Licensed Products or Processes means any product or process within the scope of any Valid Claim within the Licensed Patent Rights, and any product made by any art, method or process within the scope of any Valid Claim within the Licensed Patent Rights.
Licensed Patent Rights means (a) the patents and patent applications that may issue on the Inventions, and (b) all patents and patent applications which are divisions, continuations, continuations-in-part, reissues, renewals, reexaminations, foreign counterparts, substitutions, or extensions of or to any patent applications or patents described in clause (a) of this sentence.
Inventions means the devices, machines, methods, processes, manufactures, compositions of matter and uses described in U.S. Patent Application Serial No. 08/127420, a copy of a portion of which Licensee has previously received from ARCH, or described in any of the patents and patent applications that are divisions, continuations, continuations-in-part, reissues, renewals, reexaminations, foreign counterparts, substitutions or extensions of or to U.S. Patent Application Serial No. 08/127420.
Combination Product means any product sold as a single unit but which incorporates both (a) one or more Licensed Products and (b) one or more products, not themselves Licensed Products, for which a separate market exists and which are capable of being sold separately from the Combination Product.
Technical Information means ARCHs rights in any technical information and know-how, if any, in Licensors possession relating to the Inventions.

b. United States and foreign patents issued from the applications and from divisional, continuations. revisions and reexaminations of these applications;

Licensed Product shall mean any product or part thereof which:
a. is covered in whole or in part by a valid claim or a pending claim asserted in good faith contained in the patent rights in the country in which any such product or part thereof is made, used or sold; or
b. is manufactured by using a process which is covered in whole or.in pan by a valid claim or pending claim asserted in good faith contained in the patent rights in the country in which any licensed process is used or in which such product or part thereof is used or sold.
Licensed Process shall mean any process which is covered in whole or in pan by a valid claim or a pending claim asserted in good faith contained in the patent rights.

Except for the Existing License Licensor will not grant any additional license in the Field for at least 3 years from the effective date. Beginning on the fourth anniversary of the effective date of this Agreement, Licensor will not grant any additional license in the Field as long as Licensee pays the semi-exclusive minimal license fee set forth.
Licensor agrees that during the time Licensee is semi-exclusively licensed hereunder, Licensor will cause the Existing Licensee to agree to accept a non-exclusive license excluding the Field should the Existing Licensee be acquired by another party or should the Existing Licensee sell the technology for which it requires a license under the Licensed Patents.

Licensed Products shall mean an instrument, associated consumables and/or kit/s exclusively designed for analyzing a target polynucleotide sequence on a support, that would, in the absence of this deblocking License, infringe Licensed Patents.
