License Grant
Licensor hereby grants and agrees to grant to Licensee:
(a) an exclusive license to use the Technical Information, and to make, have made, use and sell Licensed Products or Processes under the Licensed Patent Rights, within the Territory; and

(b) the exclusive right and authority to grant Sublicenses of the licenses granted in clause (a) above, subject to the provisions of this Agreement.

License Property
Demonstration of Licensed Patent Rights. It is understood that during the term of this
Agreement Licensee is expected to generate DNA sequencing using the Licensed Patent Rights in support of Licensors patent application claiming the Inventions.

Licensed Products or Processes means any product or process within the scope of any Valid Claim within the Licensed Patent Rights, and any product made by any art, method or process within the scope of any Valid Claim within the Licensed Patent Rights.

Licensed Patent Rights means (a) the patents and patent applications that may issue on the Inventions, and (b) all patents and patent applications which are divisions, continuations, continuations-in-part, reissues, renewals, reexaminations, foreign counterparts, substitutions, or extensions of or to any patent applications or patents described in clause (a) of this sentence.

Inventions means the devices, machines, methods, processes, manufactures, compositions of matter and uses described in U.S. Patent Application Serial No. 08/127420, a copy of a portion of which Licensee has previously received from ARCH, or described in any of the patents and patent applications that are divisions, continuations, continuations-in-part, reissues, renewals, reexaminations, foreign counterparts, substitutions or extensions of or to U.S. Patent Application Serial No. 08/127420.

Combination Product means any product sold as a single unit but which incorporates both (a) one or more Licensed Products and (b) one or more products, not themselves Licensed Products, for which a separate market exists and which are capable of being sold separately from the Combination Product.

Technical Information means ARCHs rights in any technical information and know-how, if any, in Licensors possession relating to the Inventions.

License Grant
Licensor hereby grants to Licensee the right and license in the territory for the field of use to practice under the patent rights and, to the extent not prohibited by other patents, to make. have made, use, lease, sell and import Licensed products and to practice the licensed processes, until the end of the term for which the patent rights are granted unless this Agreement shall be sooner terminated according to the terms hereof.

Patent Rights shall mean all of the following Licensor, HARC (the Houston Advanced Research Center), and BCM (Baylor College of Medicine) intellectual property:
a. the United States and foreign patents and/or patent applications;
b. United States and foreign patents issued from the applications and from divisional, continuations. revisions and reexaminations of these applications;
c. claims of U.S. and foreign continuation-in-part applications. and of the resulting patents. which are directed to subject matter specifically described in the U.S. and foreign applications;
d. claims of all foreign patent applications, and of the resulting patents, which are directed to subject matter specifically described in the United States patents and/or patent applications; and
e. any reissues of United States and foreign patents.

Licensed Product shall mean any product or part thereof which:
a. is covered in whole or in part by a valid claim or a pending claim asserted in good faith contained in the patent rights in the country in which any such product or part thereof is made, used or sold; or
b. is manufactured by using a process which is covered in whole or.in pan by a valid claim or pending claim asserted in good faith contained in the patent rights in the country in which any licensed process is used or in which such product or part thereof is used or sold.

Licensed Process shall mean any process which is covered in whole or in pan by a valid claim or a pending claim asserted in good faith contained in the patent rights.

Field of Use
Field of Use shall mean all fields of use except the field of use of a Genosensor System previously licensed to Beckman Instruments. Inc. pursuant to the  Licensor patent license agreement dated May 28, 1993, which term 'Genosensor System' is defined in a Collaboration Agreement among Licensor,  Beclcman Instruments. Inc , Licensee and certain others, dated May 28, 1993 and amended November 5, 1993 to read: 'the system developed by the parties as generally described in the Award proposal for detecting hybridization of target DNA/RNA to known DNA/RNA. PNA or other nucleic acid analog probes. The system will be used only for high and/or low resolution sequence determination and will consist of a microfabricated semiconductor device ('Genosensor Chip' or 'Chip') designed to be used with an array of probes attached to a solid support, means for exposing the array of probes to target DNA/RNA {the sample). means for detecting whether or not (and where) hybridization has occurred and means for reporting the results. The solid support can be the Genosensor Chip itself or a separable support.'

License Grant
German Licensor hereby grants and Licensee hereby accepts a semi-exclusive license, subject only to the Existing License, under Licensed Patents to manufacture, have manufactured, market, use, import, and sell Licensed Products in the Territory. Licensee shall have a right to sublicense under the terms set forth and as long as Licensee fulfills the conditions for a semi-exclusive license.

Except for the Existing License Licensor will not grant any additional license in the Field for at least 3 years from the effective date. Beginning on the fourth anniversary of the effective date of this Agreement, Licensor will not grant any additional license in the Field as long as Licensee pays the semi-exclusive minimal license fee set forth.

Licensor agrees that during the time Licensee is semi-exclusively licensed hereunder, Licensor will cause the Existing Licensee to agree to accept a non-exclusive license excluding the Field should the Existing Licensee be acquired by another party or should the Existing Licensee sell the technology for which it requires a license under the Licensed Patents.

Licensed Patents shall mean the patent applications and patents listed as well as any addition, continuation, continuation-in-part, division, extension, reissue, re-examination, application or substitution with respect thereto.

Licensed Products shall mean an instrument, associated consumables and/or kit/s exclusively designed for analyzing a target polynucleotide sequence on a support, that would, in the absence of this deblocking License, infringe Licensed Patents.
