License Grant
Canadian Licensor grants to Licensee an non-exclusive, worldwide, perpetual license, with the right to sublicense. under its Intellectual Property Rights, to make, have made. use, sell, copy, modify, prepare derivatives, adapt, transmit, perform, and reproduce, apparatus, processes, software and other works of authorship, and information with respect to CAOS Applications and CAOS Platforms.
License Property
CAOS Application means a computer program for accomplishing certain end-purposes or objectives desired by an end user and used in connection with Computer Assisted Orthopaedic Surgery.

CAOS Platform means a software system that provides functions and methods for medical imaging, surgical planning, navigation and CAOS and acts as a host for CAOS Applications, providing standard interfaces and architecture, information and execution models with which the CAOS Application can operate.

CAOS is an abbreviation for Computer Assisted Orthopaedic Surgery.

Computer Assisted Orthopaedic Surgery means the use of computer hardware and software to provide helpful information, including without limitation navigation information, to a surgeon performing an orthopaedic operation. Position localization equipment may also be used to provide spatial information. Computer Assisted Qrthopaedic Surgery includes, without limitation, Navigation and Intraoperative Planning.

Intellectual Property Rights means any and all grants of design and utility patents, patents of addition, utility models and other such grants of rights in inventions, including rights to apply for and receive such grants throughout the world and all priority and registration rights; U.S. and foreign copyrights and copyright registrations, and all renewals and extensions thereof, database protection rights; ownership and all rights to control possession, use and/or disclosure of trade secrets and other confidential information; all causes of action relating to any of the forgoing, including the right to collect and receive past damages; all applicable rights under all international treaties and conventions relating to protection of intellectual or industrial property arising from any of the forgoing, and all other legal rights (whether they arise under contract, statute or common law) for the protection of intellectual or industrial property throughout the world.

License Grant
Licensor hereby grants to Licensee a royalty-bearing exclusive, sublicensable, license under the Licensed Patents to Exploit any Licensed Product in the Field of Use, during the Term and throughout the Territory.
License Property
Licensed Patents means the Patents owned or Controlled by Licensor prior to the Effective Date and listed below hereto, which is hereby incorporated into and made part of this Agreement. Patents means (i) the United States and foreign patents and/or patent applications; (ii) any and all patents issuing from the foregoing; (iii) any and all claims of continuation-in-part applications that claim priority to the United States patent applications, but only where such claims are directed to inventions disclosed in the manner provided in such United States patent applications, and such claims in any patents issuing from such continuation-in-part applications; (iv) any and all foreign patent applications, foreign patents, or related foreign patent documents that claim priority to the patents and/or patent applications; and (v) any and all divisionals, continuations, reissues, re-examinations, renewals, substitutions, and extensions of the foregoing.

Licensed Product will mean any product or service, including but not limited to hardware or software, Exploited by Licensee, any Sublicensee, or any of their respective Affiliates or agents as permitted hereunder (a) the Development, Manufacturing, Commercialization, use, rental or lease of which would, in the absence of the licenses granted to Licensee hereunder, infringe at least one Valid Claim or (b) that is based on, derived from, incorporates, arises from or otherwise makes use of the Software, any Derivative Work, any Licensee Modified Product, or any Know-How, whether in whole or in part.

Software means that certain software, software code, and software documentation developed in Principal Investigators’ laboratory prior to the Effective Date (and all copyright protections therein) that is listed.

Software means Sulaiman Somani’s automated segmentation and surgical planning pipelines captured as Mount Sinai TechID: 170304.

Field of Use
Field of Use means the design, fabrication, and/or implantation of orthopedic implants, along with the robotic design, and/or robotic preparation of the surgical site for such implants.

License Grant
Licensor, who becomes the majority shareholder of Licensee with this agreement, grants to Licensee of Hong Kong, a domestic and international Non-exclusive license to make, use, copy, have copied, sell, have sold, and distribute products and services based upon the Technology and any and all Derivative Works in Licensee’s Field of Use, together with a right to grant sublicenses.

Sprocket is an intuitive user interface making access to all content from any device in a simple, consistent format, has enabled the search and identification of any object and image in all video and digital media, and has developed a platform for mobile transaction including the integration of payments, money transfers, coupons and gifts.
