Field of Use

This agreement relates to the manufacture of contact lenses by cast molding technology, and in particular to disposable plastics material molds for casting contact lenses.

License Grant

The Licensor hereby agrees, unconditionally and irrevocably, that the Licensee shall have the exclusive and unrestricted right worldwide, to exercise, use and commercialize and allow third parties to exercise, use and commercialize the Invention during the Agreed Term.

Invention shall thereafter mean the inventions covered by any claim(s) of a Patent issued or validated in the USA, the United Kingdom, France or Germany and not subsequently invalidated.

License Grant

The Licensor, a South African company that is controlled by the Licensee's Chairman grants and agrees to grant and transfer to the Licensee a non-transferable world-wide right and exclusive license under the licensed intellectual property to make, use, have made, offer for sale, sell and import any and all products that embody or are produced by the practice of one or more of the inventions claimed in the patents and patent applications of the licensed Intellectual Property, and any of the aforementioned products that use, or are sold under, any of the trademarks of the licensed Intellectual Property in connection with the goods or services covered by the licensed trademarks.

License Property

Leatt-Brace®’s are a patented injection molded neck protection system owned by the Licensor, designed to prevent potentially devastating injuries to the cervical spine and neck. They also work with most existing riding equipment – specifically chest protectors.  The first Leatt–Brace® was designed for motorcycle and ATV use, where there is little means of protecting the neck in the event of an accident, but the Leatt-Brace® has been designed in such a way as to offer neck protection to all who utilize a crash helmet as a form of protection, including soldiers, law enforcement officers and other professionals whose activities could result in cervical spine injury.

Field of Use

The Licensee designs, develops, markets and distributes personal protective equipment for participants in all forms of motor sports and leisure activities, including riders of motorcycles, bicycles, snowmobiles and ATVs, as well as racing car drivers. The Company sells its products to customers worldwide through a global network of distributors and retailers.

License Grant

We entered into an agreement whereby we acquired the patents, trademarks and technologies related to the X-Chrom contact Lens from Licensors, two individuals.

License Property

X-Chrom introduced the first commercially available contact lenses for colorblindness.

License Grant

The Licensor grants Licensee of the United Kingdom, an exclusive nontransferable, right and license, with the right of sublicense, as specifically set forth herein, to use the New Drug Application, Know How, Trademark, Patent Rights and all Improvements and Proprietary Information of Licensor related thereto or to the Product together with the Licensed Intellectual Property during the Term, solely in the Territory, and solely for the purposes of (I) preparing applications for Marketing Authorizations and obtaining and maintaining Registrations and packaging, labeling, promoting, marketing, selling and distributing the Product under the Trademark in the Territory solely for the Licensed Indications, and, (ii) exercising its other rights under this Agreement.

License Property

The Product means Licensor’s proprietary pharmaceutical product Xyrem containing the active pharmaceutical ingredient as its active ingredient in bulk, unlabeled bottles, for use as a treatment for the Licensed Indications and all Components therefor unless Licensee shall elect to source such Components from a Third Party.  

Xyrem® is (sodium oxybate) oral solution.  Trademark” means the trademark Xyrem®  

Xyrem is used to treat narcolepsy.

Field of Use

The Licensed Indications means narcolepsy and its associated conditions including without limitation cataplexy and excessive daytime sleepiness.

License Grant

The Licensor grants a sole, non-exclusive license to use Licensor Patents, Licensor Trademarks and Know-how to the Belgium Licensee, to sell and perform the AD7C/TM/ Test in the Territory. The AD7C/TM/ test is for measuring levels of Alzheimers marker Neural Thread Protein (NTP) in cerebrospinal fluid (CSF).

License Property

The Licensor has developed the AD7C/TM/ Test to aid in the diagnosis of Alzheimers Disease and wishes to make the test available for sale in Europe.

Field of Use

The Belgium Licensee has testing facilities and capabilities for conducting the Nymox AD7C/TM/ Test in Europe; and  to conduct sales and related operations in Europe.

License Grant

Licensor hereby grants to Japanese Licensee, and to Licensee's present and future subsidiaries, affiliates, and other companies in which Licensee owns at least 50% of the stock or assets, the rights and license.

License Property

Licensor is the owner of patents on blade fuses, and of registered trademark(s) (Mini-Fuse, Min, ATO, etc.)on a blade fuse configuration, and has claimed ownership of certain technology (know-how) and of certain trade dress on certain elements of a blade fuse configuration.

AUTOFUSE(R) or ATO(R), a standard blade type fuse, is used in automobiles produced worldwide and designed to provide superior circuit protection in a small, heat resistant package for low ampere applications.

MINI(R) Fuse, smaller than its predecessor AUTOFUSE(R), is offered in a range from two amps to 30 amps and is designed to permit more fuses in the same amount of space than prior products.

Field of Use

The Company currently licenses its ATO(R) and MINI(R) automotive fuse technology to a Japanese manufacturer that produces and distributes the Company's patented automotive fuses to Pacific Rim operations of Pacific Rim-based automotive manufacturers.
