Active Supplied ZFN shall mean a Supplied ZFN having demonstrated ability to modify at least one allele of the applicable Target in a cell culture assay or other in vivo assay.

For the purpose of this Agreement, nonvascular plants shall include but not be limited to algae, moss, and fungi.

Licensor owns and controls technology, know-how, and United States and foreign patent applications concerning methods for controlling plant senescence, cell division, reactions to biotic or abiotic stress, and/or plant growth by altering the expression of plant genes and their cognate expressed proteins that are induced during or coincident with the onset of senescence and/or growth.
The Patents include for the Lipase family Title: Plant lipase gene, senescence induced expression and a method for controlling senescence; and for the eIF-SA Family Title: DNA encoding a plant OHS, transgenic plants and a method for controlling programmed cell death in plants.
Licensed Product means any product developed pursuant to this Agreement which contains or is derived from an Licensor Patent and/or Technology and would infringe upon the rights granted or to be granted under the Licensor Patents.
Licensor Patents means all Licensor patents pertaining to senescence, cell division, reactions to biotic or abiotic stress, and/or growth in plants, pertaining to senescence, cell division, reactions to biotic or abiotic stress, and/or growth in plants.
Licensor Technology means the Licensor Patents and Confidential Information, and all of Licensors know-how, materials, information and methods, whether developed by Licensor or acquired from a Third Party, including but not limited to, methods for controlling plant senescence cell division, biotic stress, abiotic stress and/or plant growth involving altering the expression of plant genes and their cognate expressed proteins that are induced during or coincident with the onset of senescence and/or plant growth.
The technology holds wonderful potential to enhance the performance and environmental contributions of turfgrass and ornamentals.
Licensee may also use it in turfgrasses to make them more environmentally friendly by increasing disease resistance, drought tolerance, and nutrient use efficiency.

For Commercial use, Licensor agrees to grant, and hereby grants, a worldwide, royalty-bearing license under Licensors interest in the Intellectual Property, as follows:

Licensor agrees to grant, and hereby grants, to Licensee, a worldwide, royalty-bearing license, with the right to sublicense, under Licensors interest in the Program Technology (whether solely or jointly owned by Licensor), Licensor Improvements and the Licensor Materials, as follows:
(a) an exclusive license to develop, make, have made, propagate and have propagated, use, import, offer for sale, sell and have sold Class A Licensee Products for Agricultural Applications in Plants and Class B Licensee Products for Agricultural Applications in Crops; and
(b) an exclusive license to develop, make, have made, propagate and have propagated, use, import, offer for sale, sell and have sold Class A Licensee Products for Non-Ag Applications.
Licensee Product means any product sold or intended to be sold by Licensee or its Affiliates or Sublicensees which incorporates or is made through the use of a Shuffled Gene, or is derived from a Plant which incorporates or is made through the use of a Shuffled Gene.
Class A Licensee Product means a product commercialized by Licensee or its Affiliates or Sublicensees which incorporates or is made through the use of one or more Class A Shuffled Genes.
Class B Licensee Product means a product commercialized by Licensee or Affiliates or Sublicensees which incorporates or is made through the use of at least one Shuffled Gene, but which does not incorporate and is not made through the use of any Class A Shuffled Gene.
Licensor Materials means all Materials provided by Licensor to Licensee in order that Licensee can perform its obligations under the Research Program or which Licensor owns and Controls and uses internally in connection with the Research Program. It is understood and agreed that all Nucleic Acid Sequence Libraries, Gene Variants and Shuffled Genes shall be Licensor Materials.
Licensor Product means any product sold by Licensor or its Affiliates or Sublicensees which incorporates or is made through the use of a Class B Shuffled Gene, or is derived from a Plant which incorporates or is made through the use of a Class B Shuffled Gene.
Class A Shuffled Gene means any Shuffled Gene which results is or derived from the Shuffling in the Research Program of [ at least one Licensee Starting Gene, whether or not Shuffled with another Licensee Starting Gene, an Other Starting Gene and/or a Licensor Starting Gene.
Class B Shuffled Gene means a Shuffled Gene that is not a Class A Shuffled Gene.
Gene means a polynucleotide sequence encoding a protein, optionally together with its regulatory sequences, which is selected for Shuffling in the Research Program by the Research Committee. Each Gene shall be designated by the Research Committee as (i) a Licensee Starting Gene or (ii) a Licensor Starting Gene or (iii) an Other Starting Gene.

Pursuant to this amendment, the Licensor granted the Licensee an additional License for certain commercial uses of products and services arising from the ZFP technology, including the use of ZFPs to modify cell lines for GMP production purposes and certain commercial uses of ZFP-modified transgenic animals. The foregoing License is exclusive, except for commercial rights to the ZFP technology previously granted to various third parties in some of the fields being Licensed to the Licensee. The Licensor retained all rights to ZFP-modified transgenic animals for discovery of novel therapeutic entities, and the additional License granted to Sigma does not include any right to use ZFPs as therapeutic products. Sigma has the right to sublicense the ZFP technology for the commercial uses of products and services covered by the Amendment.
“GMP Product†means a Licensed Product that (a) is a eukaryotic cell or eukaryotic cell line, the genome or genetic composition of which has been modified through the use (whether directly or indirectly) of a ZFP Product in a manner that (i) facilitates or improves the ability of such cell or cell line to produce a Therapeutic Product or (ii) modifies the molecular characteristics of such Therapeutic Product and (b) is not a Plant Product.â€
“Livestock Product†means a Licensed Product that is a livestock animal (including, but not limited to fish), the genome or genetic composition of which has been modified through the use (whether directly or indirectly) of a ZFP Product in a manner that improves the quality, quantity or characteristics of a human or animal food or other naturally occurring products (e.g., wool, leather) made by or derived from such animal, provided that such food or naturally occurring product is not a Therapeutic Product or a ZFP Therapeutic Product.â€

The Licensor Parties and their Affiliates grant to Licensee, and Licensee accepts, an exclusive, royalty-bearing, sublicensable license under and to use the Biofuel IP to research, develop, make, have made, use, import, export, offer to sell and sell Licensed Products in the Field and in the Territory (the Commercialization License).
Biofuel Patent Rights means (a) the Existing Biofuel Patent Rights, (b) any and all Patent Rights that claim Biofuel Know-How and that are Controlled by the Licensor Parties or their Affiliates as of the Effective Date and/or during the Term, including the Licensor Parties’ and their Affiliates’ interest in any Joint Patent, and (c) Licensor Improvement Patent Rights.

Licensed Products means any product in the Field that incorporates, contains, utilizes, is enabled by or otherwise exploits the Biofuel IP, or the making, using, selling or importing of which would, absent the Licenses granted hereunder, infringe the Biofuel IP.
Licensor Improvement Patent Rights means any and all Patent Rights that claim Technology created by or on behalf of a Licensor Party or its Affiliates in the course of performing research or development outside of the Field during the Term and which Technology (i) is an improvement to the Existing Technology or any Developed Technology, and (ii) is applicable to plants and plant products (including plant organisms, progeny, cells, seeds, grain, grain component, tissue, and other parts of plants, but excluding Excluded Products).
Technology means all ideas, inventions, discoveries, biologic and other materials, trade secrets, data, instructions, formulae, designs, specifications, methods, processes, formulations, assays, techniques, know-how, technical information (including structural and functional information), and manufacturing process information, patentable or otherwise.
Developed Technology means any and all Technology that is (a) created by or on behalf of the Licensor Parties or their Affiliates in the course of performing research or development in the Field during the Term, or (b) created pursuant to the Services provided by the Licensor Parties’ or their Affiliates’ employees pursuant to this Agreement (excluding Licensee Owned Service Improvements), in each case that is Controlled by a Licensor Party or its Affiliates during the Term.
Field means any and all (a) plants and plant products (including plant organisms, progeny, cells, seeds, grain, grain component, tissue, and other parts of plants) suitable for use in the production of biofuel and/or biofuel feedstock, including all species of algae and all species in the genus Miscanthus, but excluding the Excluded Products; (b) biodiesel, bioethanol and other biofuels derived from the plants and plant products described in clause (a) above; and (c) other products derived from the plants and plant products described in clause (a), other than pharmaceutical, nutraceutical and food products, provided that the foregoing exclusion of food products shall not apply to algae.

Licensor Patent Rights shall mean: (a) USSN 07/938,322 entitled 'Transgenic Animals Secreting Desired Proteins into Milk', including, without limitation, EP-973031124, and any foreign counterpart applications, together with any and all patents that have issued or in the case of applications heretofore filed, in the future issue therefrom or whose priority date is based thereon; and (b) all related divisionals, continuations, national stage applications or patents filed under the Patent Cooperation Treaty of 1978, reissues or renewals, of the foregoing; and (c) the Licensor Antibody Patent Rights.
Licensor Antibody Patent Rights shall mean (a) U.S. Patent Nos. 5,827,690 and 5,849,992 both entitled 'Transgenic Production of Antibodies in Milk', and all U.S. patent applications and any foreign counterpart applications, and future issued patents including all patents that have issued or in the case of applications heretofore filed, in the future issue therefrom or whose priority date is based thereon; and all related divisionals, continuations, national stage applications or patents filed under the Patent Cooperation Treaty of 1978, reissues or renewals, of the foregoing pertaining to the production of antibodies in the milk of transgenic mammals.
Biopharmaceutical shall mean any medicinal drug, therapeutic, vaccine or any medically useful composition whose origin, synthesis, or manufacture involves the use of microorganisms, recombinant animals (including, without limitation, chimeric or transgenic animals), nuclear transfer, microinjection, or cell culture techniques.
HSA shall mean human serum albumin.
Field shall mean: (a) the Cattle Field; (b) the Goat Field; (c) the production, use and/or sale of transgenic or chimeric mice, rabbits, pigs, and/or sheep (including their respective embryos, gametes and/or progeny) for the production of Biopharmaceuticals in the milk (including any fraction thereof) secreted from such transgenic or chimeric animals; and (d) the use in any transgenic or chimeric cattle, goats, mice, rabbits, pigs, and/or sheep of a nucleic acid construct useful in the production of a system that includes the use of a recombinant casein promoter sequence, which permits a female transgenic or chimeric animal to produce a desired Biopharmaceutical in the milk (or any fraction thereof) of such a transgenic or chimeric cattle, goats, mice, rabbits, pigs, and/or sheep
during lactation.
Goat Field shall mean the production, use and/or sale of transgenic or chimeric goats (including their respective embryos, gametes and/or progeny) for the production of Biopharmaceuticals in the milk (including any fraction
thereof) secreted from such transgenic or chimeric goats.
Cattle Field shall mean the production, use and/or sale of transgenic or chimeric cattle (including their respective embryos, gametes and/or progeny) for the production of Biopharmaceuticals in the milk (including any fraction thereof) secreted from such transgenic or chimeric cattle, including, without limitation, the production of hSA.

Analytical Technology shall mean algorithms and other analytical techniques and methods, including, without limitation, methods of generating, storing, retrieving and analyzing data developed in the course of carrying out the Project Plan.
Analytical Patent Rights shall mean inventions related to Analytical Technology developed by or for Licensee carrying out the Project Plan expressly excluding inventions related to DNA sequences or oligonucleotide probe sequences, array designs, array data and the results of analysis of such array data.
Licensed Products shall mean a particular product or a particular species of animals, plants, plant or animal parts, animal progeny, seed of plants and products from any of the foregoing, or the process of making, modifying or modulating any of the foregoing or any phenotypic trait associated with any of the foregoing, which, in the absence of a license, would infringe at least one (1) claim of an unexpired U.S. or foreign patent or one (1) pending claim of an unexpired published patent application included within DNA Patent Rights which claims a Gene Lead.
Gene Lead shall mean any gene identified by Licensor in connection with its analysis of Licensee DNA Information and which has been determined to be a Gene Lead. Each Gene Lead shall be included in Licensee DNA Information.
The parties research alliance is for creating proprietary intellectual property relating to the design, development and use of microarrays, the design, development and application of gene expression databases and the identification of genes predictive of traits.

Platform Technology means all tools, technologies and methods relating to proteomics, metabolomics, RNA dynamics and bioinformatics and methods to analyze and link these components of genomics, which are both not publicly available and are proprietary to or Controlled by Licensee or its Affiliates immediately prior to the closing of the transactions under the Transaction Agreement, and claimed or disclosed within the patent applications and patents or are within the scope of the material trade secrets related thereto.
Biomolecule means any Gene and RNA and protein or chemical entity the synthesis of which is directed by such Gene or Gene pathway, which protein or chemical entity was produced by an organism.
Gene means a polynucleotide sequence which can be transcribed into RNA and generally encodes a protein, optionally together with its regulatory sequences.
Plant means a monocotyledonous or dicotyledonous plant, or an angiosperm, a gymnosperm or a pteridophyte.
Animal Feed Field means the use of Biomolecules for feed applications to alter, modify or improve feed conversion and/or animal nutrition, but excluding all vaccines and therapeutic applications and any part of such field to which rights have been granted to Licensee or Licensee or any of its Affiliates under the Licensee Agreements.

Licensed Products shall mean a particular product or a particular species of animals, plants, plant or animal parts, animal progeny, seed of plants and products from any of the foregoing, or the process of making, modifying or modulating any of the foregoing or any phenotypic trait associated with any of the foregoing, which, in the absence of a license, would infringe at least one (1) claim of an unexpired U.S. or foreign patent or one (1) pending claim of an unexpired published patent application included within DNA Patent Rights which claims a Gene Lead.
Predictive Pattern Technology shall mean a particular product, not including plant or animal, plant or animal parts, animal progeny, used to predict characteristics.
DNA Patent Rights shall mean inventions utilizing Licensee DNA Information developed by or for Licensor in the course of carrying out the Project Plan.
Gene Lead shall mean any gene identified by Licensor in connection with its analysis of Licensee DNA Information and which has been determined to be a Gene Lead. Each Gene Lead shall be included in Licensee DNA Information.
