License Grant
Licensor grants to Licensee a non-exclusive license in the Territory during the Term, to use the Licensor Technology in connection with: the manufacture of Buildings in the Licensed Territory; and the construction of Buildings using the Licensor Technology in the Licensed Territory.

Licensee shall have the right to sublicense all or any part of its rights or obligations under this Agreement.

Licensee shall, within ninety days of the execution of this Agreement, enter into a contract for the manufacture of Buildings in an amount not less than ten million US dollars.

License Property
Licensor is engaged in the business of developing, manufacturing, advancing and promoting code-engineered containers for safe and sustainable construction of buildings using certain proprietary methods and technology. The Licensor is a designer of container-based structures.

The principal business of the Licensor is to provide code engineered cargo shipping containers. Licensor modifies and delivers containers to meet the growing demand for safe and green construction. Rather than consuming new steel and lumber, Licensor capitalizes on the structural engineering and design parameters a shipping container must meet and repurposes them for use in building. Offering a product that typically exceeds building code requirements, Licensor seeks to enable developers, architects, builders and owners to achieve greener construction, faster execution and stronger buildings of higher value. Since its inception in 2007, Licensor has developed and implemented the technology to break away from standardized container-construction while maintaining reduced costs. Committed to providing a construction methodology that will lessen the global carbon footprint, Licensor does not simply recycle (which requires additional energy consumption to break down material and then reform it for another purposes) – it utilizes existing steel material and repurposes it into modules that can be put to a higher and better use with significantly less energy input. In addition to providing code engineered cargo shipping containers for construction use, Licensor also continues to advance a proprietary structural steel framing system and the use thereof.

Field of Use
Licensee is a multi-national holding company engaged in infrastructure development, green energy development and operations, oil camp, workforce and consumer housing, and master planned real estate development.

License Grant
The University granted a License under patent rights to make, use, sell, offer for sale, import Licensed products, to practice Licensed methods, and to use certain technology.
License Property
The technology material/composite systems fall into the following main categories: 1) Composite Overlays for structural retrofits and 2) the Carbon Shell System (CSS) for new construction and infrastructure renewal. The Composite Overlay is a “structural skin” which may be continuous or segmented. The former is created by saturating fabric woven out of carbon, aramid (e.g., kevlar) or other aerospace-quality fiber with an epoxy-type resin. The latter takes the form of pre-manufactured FRP strips. The specific composition and application of these overlays is engineered by the Licensee to specific strength, stiffness, and ductility specifications based on the characteristics of the subject structure and use loads. The specified composite solution is then bonded (“wallpapered”) to a structural surface to provide significantly increased ductility and/or strength. The overlay technique has been found to be extremely effective for seismic retrofits, structural upgrades, structural repairs, and blast hardening. Typically only a few layers of a 1mm overlay are needed for such applications.

The CSS is a lightweight, high-strength plant-manufactured advanced carbon fiber-reinforced polymer (CFRP) shell (tube) of circular or non-circular cross-section. In new construction of buildings, bridges and other structures, the shell is typically filled with concrete; in this application it serves both as a stay-in-place form and reinforcement. As a result, this system substantially reduces the need for reinforcing steel and the use of heavy lifting equipment, which constitutes a significant part of system building costs. The CSS can be used for structural elements such as columns, beams and girders for buildings and bridges and for pilings for harbors and docks. In new construction of infrastructure systems, the CSS can be used for oil, gas, and water pipelines.

License Grant
Licensor hereby grants to Licensee an exclusive, transferable, License for use in the territory, with unlimited right of subLicense, to allow the Licensee to use the Intellectual Property to make, use, and apply the Technology in the course of Licensee’s business, which, in the absence of the License, would infringe Licensor’s intellectual property. The term of this Agreement shall commence upon execution of this Agreement and continue for thirty years, provided that the Licensee is not in breach or default of any of the terms or conditions contained in this Agreement. Licensee shall pay patent costs and expenses related to United States and foreign filings, including patent filing, translation, search, prosecution and maintenance costs and fees. Except as stated in the Agreement, the Licensor holds all rights, title and interest to a certain invention  entitled “Block Construction System” as described in patent number US 7,305,803 B2 and Trademarks under serial No.77/439,024.

The Licensee, with the IncaBlock technology, intends to design, manufacture and market customized concrete block products, interlocking concrete blocks, roofing structures, light concrete aggregate panels and a 'kit system' of a pre-fabricated house or structures on a standard format or custom made basis according to customer blue prints.

The Company licensed a proprietary technology known as INCABLOCKâ„¢ Construction System to establish a business that specializes in pre-manufactured houses, as well as commercial and industrial structures. These opportunities will be offered through strategic joint ventures and licensing for manufacturing and or marketing. The Company intends to focus first in Mexico, followed by the USA and subsequently other countries.

The Company licensed a unique intellectual property (the Patent) for the production of Concrete Interlocking Modular Blocks System, which can be safely and efficiently assembled without any mortar. The Company initially intends to generate revenue through licensing opportunities whereby a licensee will develop a plant for the production of the block and will in turn market prefabricated buildings using the technology covered under the Patent. The Company intends to design, develop, and construct dignified, financially sound and decent housing units by employing an innovative, profitable and environmentally sound new construction technology.

Further, the Company will license the INCABLOCKâ„¢ technology internationally, to provide a strong, innovative construction system with which to construct housing developments and commercial buildings, e.g. warehouses, hangars, etc. The joint venture opportunities will include royalty arrangements, and percentage of ownership in exchange for the transfer of the technology.
