License Grant
The Licensee and Licensor desire to collaborate in the development of products in the aforementioned areas utilizing their respective technologies and expertise, with the intent that such new products shall be developed and manufactured, in part by each, and marketed and sold for in vitro diagnostic applications exclusively by the Licensee in the United States and Canada and their respective territories and possessions.

Field of Use
Field means the in vitro application of Instrument Systems for the diagnosis or monitoring of Target Entities for the Infectious Diseases in humans solely by detection of or and/or utilizing Products. For the resolution of doubt but not in limitation, the Field shall not include conditions; applications or analysis involving circulating in blood, for analysis of taken by for assessing applications involving techniques; or applications involving techniques.

License Grant
Licensor grants a world-wide exclusive right under Licensor Inventions to make, have made, use, sell, and have sold Cellular Analysis Products and Automated Cell Analysis Systems within the Field subject to the limitations set forth elsewhere in this Agreement. The Licensee was granted the non-exclusive right to polymerase chain reaction technology or 'PCR' to perform the Licensed Services within the United States and its possessions and the Commonwealth of Puerto Rico.
