License Grant

The License Agreement grants the worldwide, exclusive license to use the Intellectual Property to manufacture, market, sublicense or otherwise commercialize products using the technology included in the Intellectual Property.

License Property

The property licensed is used in the Software Business and includes any and all patents, patent registrations, patent applications, data rights, utility models, business processes, trademarks, trade secrets, know how, trade names, registered or unregistered designs, mask works, copyrights, moral rights and any other form of proprietary protection afforded by law to intellectual property.

ImageLink is a document management system that is tightly-integrated with Microsoft's Solomon IV and Great Plains accounting ERP Systems. The product offers a secure environment for the storage and retrieval of documents. It is a useful tool for companies that are striving to be in compliance with Sarbanes-Oxley or HIPPA. There are various levels of user access which can be established by a central authority. A company can protect documents from unauthorized alteration and access of documents can be monitored by authorized personnel.

AP-Distar is a high-end product solution that provides accounts payable image capture, data entry and distributed authorization for accounting systems. AP-Distar lends itself to generic integration with any SQL-based accounting system.

Solomon and Great Plains ERP systems allow one to access documents within the accounting system, or for non-accounting applications.

Field of Use

The Licensor intends, through their operations of the Software Business, to develop and market products that provide businesses with document imaging solutions that are integrated with a customer’s Solomon or Great Plains ERP software.

License Grant

The Company shall grant an exclusive, non-transferable, world-wide license to (i) use and reproduce the licensor's software, in Object Code form, on an internal basis in connection with the manufacture of copies of PDFPress Server, PDFPress Standalone and copies of Acrobat that contain the PDFPress Client Software.

License Property

The Licensor's software products are designed to manage, generate, publish, and distribute high quality regulatory submissions.  Intellectual Property Rights shall mean all forms of intellectual property rights and protections that may be obtained for, or may pertain to, Acrobat, Licensor Software and Confidential Information, including, without limitation, all right, title and interest arising under the common law, state law, Federal law, and laws of foreign countries to all (i) letters patent, and filed, pending or potential applications for letters patent, including any reissue, reexamination, division, continuation or continuation-in-part applications; (ii) trade secrets, and all trade secret rights and equivalent rights; (iii) mask works, copyrights and other literary property or authors rights, whether or not protected by copyright or as a mask work; and (iv) trademarks, trade names, symbols, logos, and/or brand names.

Field of Use

Licensee develops, markets and supports software products that enable users to express and use information across print and electronic media.

License Grant

Licensor hereby grants to Licensee and Licensee hereby accepts a non-exclusive license in the Territory during the Term, under any and all Intellectual Property Rights owned or otherwise assertable by Licensor, to engage in the following Licensable Activities
(a)  Distribution of Copies of the Licensed Software to customers within the Field for the sole purpose of performing Licensor Services by Users thereof;
(b)  Trademark Use of the Licensed Marks; and
(c)  Distribution of Documents for use by Users.

License Property

Licensed Software shall mean the software listed below hereto, all Improvements and Modifications and all other Program Technology, relating to the Field.

Intellectual Property Rights shall mean any and all rights to exclude existing from time to time in a specified jurisdiction under patent law, copyright law, moral rights law, trade secret law, trademark law, unfair competition law, or other similar rights.

VSC(R) Virtual Scoring Center– The VSC system is an integrated system that provides the ability to efficiently score large-scale student assessments using imaging technology. Designed to replace traditional paper-based scoring processes, the VSC system consists of two primary modules a workstation-based system for scanning documents and capturing student demographic information and selected response (i.e. multiple choice, true/false) test items, and a web-based system for scoring handwritten student responses (i.e. essay, short answer, proofs and diagrams for mathematics and science, etc.). Imaging technology is used throughout the system to efficiently process student assessment documents.

Field of Use

This agreement pertains to the software industry in the Field that means the market for delivering products and/or services for the purpose of scoring and measuring the results of constructed response and selected response answers against predefined criteria and for archiving and exploiting stored images, but shall exclude the Education Market.

License Grant

In connection with the settlement of the Licensors patent infringement suit against the Licensee,  the Licensor is the beneficiary of a settlement contract pursuant to which it grants the Licensee a non-exclusive license to use its 6289460 patent from January 23, 2006 going forward.  The Patent involves e-signature software.

License Grant

The Company of Czech Republic grants to German Licensee an exclusive, royalty bearing license under Licensed Intellectual Property, including the right for Licensee to grant sublicenses, to make, have made, use, sell, offer to sell, and import Licensed Products in the Licensed Territory.

License Property

Under research programs funded by the Company and the United States Government, the Company has developed certain technology and intellectual property pertaining to data integration, management and presentation.

The Company desires to license the technology to Licensee thereby benefiting U.S. competitiveness by Licensee commercially developing, manufacturing, using, and distributing processes and products embodying the technology.

Excepting issued License Agreements (99-LA-O14 issued to LSC Group and 99-LA-019 issued to SmithKline Beecham Pharmaceuticals) and subject to the grant by DOE to the Company of authorization to assert copyright in the Licensed Materials, the Company grants to Licensee an exclusive right to use, copy, modify, distribute, prepare Derivative Works and compilations, perform and display publicly the Licensed Materials within the Licensed Territory where the Company may lawfully grant such a license. The Company further grants to Licensee the right to grant sublicenses to others only for the right to use, copy and grant to others the right to only use the executable object code and documentation of said Licensed Materials. Any sublicense granted by the Licensee shall include all of the rights and obligations due the Company and the U.S. Government that are contained in this License Agreement.

Licensed Technology.  Licensed Intellectual Property is as defined in this Agreement and includes the following invention disclosure records and related U.S. or foreign patents and patent applications, if any, including all divisions, continuations, reissues, substitutes and extensions.

Licensed Products means any apparatus, product, process, product-by-process, or the manufacture, use, importation, offering for sale, or sale of which embodies in whole or in part at least one Claim of any of the Licensed Intellectual Property.

Derivative Works are any works that are based on the Licensed Materials or any portion thereof and that, if prepared without the Company's permission, would constitute an infringement of the Licensed Materials.

Licensed Materials shall mean computer software [in source and object code] and related documentation therefor provided to Licensee by the Company and identified in this Agreement.

Licensed Materials is as defined in this Agreement and includes the following software

Field of Use

Licensee is engaged in the business of providing software and related consulting services and desires to receive a license from the Company in order to commercially develop, manufacture, use, and distribute processes and products embodying the technology.

License Grant

Licensor hereby grants, and Licensee hereby accepts, subject to the terms and conditions of this Agreement, a perpetual, non-exclusive and non-transferable license to use the (i) object code version of Existing Software and Future Products, including Third Party Materials and modifications, improvements and upgrades to the Existing Software and Future Products provided under Licensors maintenance and support programs, and (ii) object code version and, where applicable, source code version of Generic Technical Applications and Generic Business Applications for Licensee s and its Affiliates own internal data processing and computing needs without limitation of location, number of copies, machine utilization ( except that such Existing Software and Future Products shall at all times be used on the computer systems on which such products are made generally commercially available from Licensor), and manner of use (provided such use is for a Strategic Business).

Licensor shall have the exclusive right to market  Generic Applications.  Licensor shall, upon completion of a sale or licensing of such Generic Applications, (which definition shall at all times exclude  Existing Software and Future Software and enhancements, modifications, extensions or improvements thereto) and full payment therefor, grant to Licensee a royalty of the sale price or license fee received (exclusive of taxes, reimbursable costs,.

TIBCO Rendezvous is a software product that provides a message bus for enterprise application integration (EAI).

TIBCO Hawk is a software product that allows monitoring and management of distributed computing applications. A very scalable product, it is notable for the number of these rule-based software agents deployed (organisations and in total) claimed by the vendor

Licensee is a technology and services provider in securities clearing and settlement, banking, and the financial community and desires to develop and market new technology solutions to its core business areas.

License Grant

The Licensor grants to Licensee for the term of this Agreement a royalty-bearing, worldwide, nonexclusive license, with a right to sublicense to (a) make copies of, to make derivative works of, and to use the Licensed Work, (b) distribute the Licensed Work; (c) sublicense the Licensed Work to customers of Licensee who have first executed an End User Agreement.

The core technologies are web-based software products that assist healthcare organizations with managing information and data.  The software is a proprietary, dynamic workflow process automation technology and solutions that aims to improve organizational performance and operating results within healthcare organizations.

Licensed Program means the software program in source code, object code, or any other form described in patent registrations, applications for patent registrations, copyright registrations and applications for copyright registration, together with (i) Modifications thereto, (ii) all Documentation, and (iii) all derivative works based on the foregoing.
