Licensor has invented, developed and patented certain inventions relating to Wireless Triggerable Location and Remote Control products and Licensor intends to continue to invent, develop, improve and patent second generation Location and Remote Control products related thereto which represent improvements or modifications to the existing inventions (collectively, the Product) which either are currently under the protection of certain Letter Patents described in detail and shown in this document (including any modifications, extensions, renewals, divisions, continuations and continuations-in-parts and all reissues thereof), or will be protected by further patents now pending and obtained by Licensor (collectively, the Patents).

The system provides latitude, longitude information remotely to the base unit display.  Patent is a process patent for a system which includes the design for a small hand held receiver for signals from a GPS satellite and timing and computing circuits to provide location information signals. The hand held unit also includes a transmitter to a cellular telephone network, connected to the base unit computational system and display. The location of an individual or object can thus be determined at the remote station through the use of the cellular telephone network.

The PLU patent covers a global positioning system especially adapted for use by an individual or object that includes a portable remote unit and a base information display unit. The portable remote unit includes a radio frequency (RF) receiver circuit for use with a satellite navigation system, a digital signal processor for analyzing coded signals, a cellular phone modem circuits for transmitting encoded signals to the base unit and a time of day clock. The base unit includes a computational system for decoding position data and a visual display device for presenting remote and map coordinates. The location of an individual or object can thus be determined at the remote station through the use of the cellular telephone network.

Monitoring and Monitoring Services mean monitoring, locating, tracking, providing of directions, emergency response services, and other services for a person or object equipped with a Unit from a remote location within the scope of the claims of the Patent.

Devices – shall mean Nodes and/or Gateways; provided, however, that Devices shall not include components or subcomponents of Nodes or Gateways (including, but not limited to, chipsets, motherboards, semiconductors, antennae and/or modules designed for incorporation into another article), but instead shall only include substantially completed items designed for use by a Customer in the form in which such items are Sold by Licensee or its Affiliates.

The UMC 1000 consists of a variety of multi-service access platforms with integrated optics and intelligent customer premises equipment.  The platform utilizes a hybrid asynchronous transfer mode/time division multiplexing (ATM/TDM) architecture which provides a variety of loop interfaces for narrowband analog and digital services including plain old telephone service (POTS), integrated services digital network (ISDN), 1.544/2.048 million bits per second point-to-point dedicated digital circuit (T-1/E-1), high bit rate digital subscriber line (HDSL/HDSL2), and asymmetric digital subscriber line (ADSL) services.

This platform also enables the delivery of broadband digital subscriber line (DSL) technologies including discrete multitone (G.DMT), ADSL, G.Lite, HDSL, HDSL2, symmetrical digital subscriber line (SDSL), and very high data rate digital subscriber line (VDSL) (collectively referred to as 'xDSL') services to end users not served directly from a central office.  These services are supported over various feeder transmission technologies including copper, fiber, and wireless.  We also design and manufacture environmentally hardened outside plant cabinets and technology ranging from 48 to 2,000 lines, as well as indoor cabinets ranging from 48 to 480 lines.  We believe we were the first vendor to ship ADSL modules that integrate ADSL circuits, POTS circuits, and splitters onto a single ADSL x+y(TM) line card for environmentally hardened multi-service access systems.

Field of Use
The purpose of the license is for developing, having developed, manufacturing, having manufactured, maintaining, enhancing and modifying and distributing Coax RF Transceivers which plug into any current or future AFC shelf/assemblies. An EMS Interface based upon SNMP and/or Q3 for network management provided, however, that AFC shall be obligated to make the Hardware modifications to the DLP and CPU System Software changes to support Tellabs' requirements for the EMS Interface; RF Access Products that communicate with the RF Transceivers referenced above. License Grant
LICENSOR hereby grants to LICENSEE an exclusive license to use, sell and sub-license under the terms hereof, the LICENSED PRODUCTS and LICENSED METHODS embodying, made or used in accordance with the LICENSED TECHNOLOGY in the continental United States.
License Property
LICENSED PRODUCT shall mean any and all products which employ or are produced by the practice of inventions claimed in the LICENSED PATENTS or by the LICENSED TECHNOLOGY or any and all products that are used to carry out the LICENSED METHOD including but not limited to fixed base units known as Network Extenders and mobile units (also known as transmitter, transceivers, receivers or wireless handsets), repeaters (also known as signal extenders), wireless communications operational protocols, batteries, battery recharge units, specialized antennae, firmware and software.

PATENT RIGHTS shall mean U. S. Patent No 5,995,849, filed November 26, 1997 and granted on November 30, 1999, U.S. Patent No. 6,141,531, filed April 17, 1998 and granted on October 31, 2000, U.S. Patent Application No. 800416 filed on June 1, 2000, International Application No. PCT/US98/13972, filed July 6, and any applications on inventions or IMPROVEMENTS based upon the LICENSED TECHNOLGY as well as any related application(s), more specifically, any continuation, divisional, continuation-in-part of substitution applications, and any foreign or domestic applications, corresponding to or based in whole or in part, on any of the above within the LICENSED FIELD.

Field of Use
LICENSED FIELD shall mean the field of wireless communication systems, wireless communication products, wireless communications protocols and wireless communication methods.

License Grant
Licensor grants a worldwide, perpetual, nontransferable license under the PowerStream IP
– to make, use, create, develop, sell, offer to sell, rent, lease, distribute, market, commercialize, export and/or import Products anywhere in or throughout the world;
– to have Products made, used, created, developed, sold, offered for sale, rented, leased, distributed, marketed, commercialized, exported and/or imported anywhere in or throughout the world, provided that Licensee may not have Products made, created or developed by a Competitor of Licensor without Licensors prior written consent; and
– to grant sublicenses, which may authorize further sublicensing through one or more layers of sublicensees, to third parties, provided that Licensee may not grant such sublicenses to a Competitor of Licensor without Licensors prior written consent.

Licensor is the owner of and is developing certain technologies for communications over various media, including powerlines and copper telephone wire, that are degraded by noise, signal attenuation and/or signal distortion

Powerstream Technology means Licensors high speed powerline technology, which includes a synchronizer, a digital equalizer, a modulator/demodulator, a forward error correction encoder/decoder, an error detection encoder/decoder, physical layer management, segmentation and reassembly, link protocol, quality of service, and applicable interfaces.

MWB Technology means that multiple wideband, high speed communications technology being jointly developed by Licensor and Licensee, a High-Data-Rate Long Distance Communications for Noisy and Attenuated Media such as VDSL, rev. 1.00, and which will be further developed jointly by Licensor and Licensee pursuant to this Agreement.

Products means products that are designed for use only in the Field implementing the PowerStream Technology and/or MWB Technology and that, but for the provisions of this Agreement, would infringe the PowerStream IP and/or MWB IP.

The patents are for Power Line Communication System, Method and Apparatus for Data Encoding and Communication Over Noisy Media, Reconfigurable On-Demand Telephone and Data Line System, Wideband Communication System Using Delay Line Clock Multiplier, Token Passing Arrangement For Power Line Communication System, Digital Equalization Process and Mechanism, and, Error Correction Process and Mechanism.

Field of Use
The Field means transmission products for any portion of the telecommunications network comprised of copper telephone wire between and including the carriers facility and the termination of that wire at the access point at the user premises, including in-building copper telephone wire cable riser applications in multi-tenant units (MTUs) and multi-dwelling buildings (MDUs). Other in-building applications are not included in the Field.
