Licensor owns the rights to novel technologies for the conditioning of biomass-derived feedstock, the production, extraction and refining of lipids from biomass, and the reformation of carbonaceous gases into value-added products.
Cellulosic Corn(TM) technologies are designed to achieve the following key goals increase the net energy balance of biofuel derived from corn; increase profitability of corn ethanol; decrease amount of petroleum burned to make corn derived biofuel; increase the nutritional content of corn ethanol co-products; reduce, reuse and recycle the carbon emissions of corn ethanol production; diversify the biomass mix accepted and produced by traditional corn ethanol facilities; decrease the commodity and financial risk profile of corn ethanol; standardize corn-friendly cellulosic technology by building on the existing corn ethanol complex; and enhance the competitive positioning of corn ethanol in the domestic and global markets.
The EALA calls for the payment of royalties on income deriving from the use of feedstock conditioning technologies, lipid production, extraction and refining technologies, and carbon dioxide reformation technologies. The EALA additionally calls for the Licensee to sell all fats and/or oils that it produces but does not directly refine into biofuel to the Licensor at 60% of the price of diesel fuel at the time of shipment. The Licensee is entitled to use Cellulosic Corn(TM) technology on a royalty-free basis in its first 100 million gallons per year of corn ethanol production assets (if successfully acquired). The Licensor is a wholly owned subsidiary of GreenShift Corporation, which company is majority owned by our majority shareholder, Viridis Capital, LLC.

The License Agreement requires the Licensee to build a commercial prototype based on the licensed technologies on or before June 30, 2014, and to commence commercial sales with the licensed technologies on or before December 31, 2015.
