License Grant

The Company entered into a Assignment Agreement with the Licensor, an individual, whereby the Company acquired all of the rights, title and interest in the invention known as the Self operated computerized karaoke recording booth.

License Property

Self Operated Computerized Karaoke Recording Booth invention comprises a closed booth, divided into two parts an acoustically isolated space wherein the singer sings, and the recording and processing hardware including a computer and a computerized disc dispenser. The system improves and upgrades the sound of the user allowing for better result. Four different instruments process the user's voice amplifier, compressor, reverb, and equalizer. The amplifier amplifies the voice to the appropriate volume compared to the background music. The compressor restricts singing volume to a preset maximum. The reverb imitates the acoustics of a hall. The equalizer allows frequency changes to loud and super loud frequencies for dramatic sound improvement.

Field of Use

The technology describes a coin-operated karaoke machine that combines a digital media proprietary software platform, a US-wide broadband network, and a pay-per-use device.

License Grant

The Licensor assigned all his technology and invention rights to develop and market a Self Operated Computerized Karaoke Recording Booth to Licensee in exchange for a percentage of revenues on future sales.

License Property

On February 20, 2008 the Licensee filed a patent application for the Self Operated Computerized Karaoke Recording Booth (Patent Application Number 60/902,076) with the United States Patent Office. The technology describes a coin-operated Karaoke machine that combines a digital media proprietary software platform, a US-wide broadband network, and a pay-per-use device. To date, to our knowledge, no such product exists in the market.

Field of Use

The rights granted apply to the recording industry relating to a Karaoke Machine. An animated three dimensional character acts as the virtual recording technician that guides the user from the beginning of the process until the end, thereby improving user satisfaction and enjoyment. The digital recording is saved directly to a file on the hard disc, and the service includes burning a compact disc (CD) while the program mergers between the singing and the music.

License Grant

The agreement is for licensed Karaoke Machine products.  This amendment modifies the products, adds some specialty stores to the distribution channels and modifies the royalties.

License Property

The products are modified to include
– One version of a Karaoke hardware machine branded with the Licensed Property which (a) enables the end-user to play the Music Products and the Sampler Music Products and participate in Karaoke activities, (b) does not include a viewing monitor, (c) must be used with a separate television set or viewing monitor in order to be functional and (d) includes (i) dual cassette decks for recording and playing back Karaoke performances, (ii) 2 microphone inputs, (iii) AC power operation, (iv) a Microphone (as hereafter defined), (v) a patch cord and (vi) 12 watt RMS Power Output (Model No. SMG-328).

– One version of a Karaoke hardware machine branded with the Licensed Property which (a) enables the end user to play the Music Products and the Sampler Music Products and participate in Karaoke activities, (b) does not include a viewing monitor, (c) must be used with a separate television set or viewing monitor in order to be functional and (d) includes (i) a handle (ii) 2 microphone inputs, (iii) AC/DC power operation, (iv) a Microphone, (v) a patch cord and (vi) built-in speaker system (Model No. SMG-128).

– One version of a Karaoke hardware machine branded with the Licensed Property which (a) will be sold exclusively at Toys R Us retail stores, (b) enables the end-user to play the Music Products and the Sampler Music Products and participate in Karaoke activities, (c) does not include a viewing monitor, (d) must be used with a separate television set or viewing monitor in order to be functional and (e) includes (i) a single cassette deck, (ii) 2 microphone inputs, (iii) AC power operation, (iv) a Microphone and (v) a patch cord (Model No. SMG-138).

– One version of a Karaoke hardware machine branded with the Licensed Property which (a) enables the end user to play the Music Products and the Sampler Music Products and participate in Karaoke activities, (b) allows the end user to plug the Karaoke machine into a separate television set and video cassette recorder which allows the end user to view and record their Karaoke performance, (c) includes a viewing monitor, (d) includes a video camera feature that (i) is permanently attached to the top of the Karaoke machine and manufactured as part of the Karaoke machine hardware as a whole, (ii) needs to be manually adjusted by the end user to record their Karaoke performance, (iii) is not an individual piece of hardware separate and apart from the Karaoke machine and is not able to be detached from the Karaoke Machine for use independent of the Karaoke machine, (iv) does not contain the technical functionality to allow it to operate as a stand alone video camera and (e) includes (i) 2 microphone inputs, (ii) AC power operation, (iii) a Microphone and (iv) a patch cord (Model No. SMVG-600). For the avoidance of doubt, in no event shall the video camera be Internet compatible or contain any technology that would allow it to broadcast or otherwise distribute any content. Licensor shall have approval rights regarding all technical components of the video camera feature.

– One version of a uni-directional, handheld microphone which (a) weighs approximately 10 ounces, with a frequency response of 100-12,000 Hz, Sensitivity of-76B+/-3dB at 1 KHz and Impedance of 600 ohm+/-15%, (b) is approximately 2-1/6' X 10-1/2' in size, (c) is branded with the Licensed Property, (d) must use a wire that plugs into the Licensor Karaoke Machines to be operational and (e) may be sold individually (the Duet Microphones) or packaged together with the Licensor Karaoke Machines (the Microphone Sold With Licensor Karaoke Machines) (the Duet Microphone and the Microphone Sold With Licensor Karaoke Machines, collectively, the Microphone(s)) (Model No. 222). For the avoidance of doubt, a Microphone shall be used by plugging it into an MTV Karaoke Machine and singing into it for an amplified voice effect.

The specialty stores added as distribution channels include toy stores such as FAO Schwarz, Toys R Us and KayBee Toys.

Field of Use

This amendment is for sale of entertainment singing machines and accessories through specialty distribution channels.

License Grant

The UK Licensor hereby grants to the Licensee a non-exclusive non-assignable licence to use in the Field of Use, the Patents and Technology and the NXT Improvements, to manufacture and assemble the Licensed Products in the Production Territory and to distribute,  market, sell and use the Licensed Products in the Field of Use in the Sales Territory. Licensed products are flat panel loudspeakers.

License Property

The UK Licensor has developed  distributes mode acoustic technology enabling the manufacture of a lightweight panel loudspeaker which radiates sound efficiently and evenly  over a wide  frequency range and a wide  acoustic area.

Field of Use

The  Licensee believes  it can develop a substantial demand for Licensors distributed mode loudspeakers using Licensors patent rights, know-how and trade marks.

The rights granted to the Licensee in relation to the 'Field of Use' shall exclude any rights in relation to the following fields of use for flat panel transducer and audio speaker products which rights are governed by the New Cross License
(A) Aircraft including, but not limited to, all civil and military fixed and rotary wing aircraft of any nature and any other craft capable of sustained flight.
(B) Headsets, headphones, earplugs, earbuds, earmuffs, and all forms of 'on the ear' and 'in the ear' sound generating devices (for the avoidance of doubt, this field shall not include communications handsets such as telephones, cellular telephones, speaker telephones, telephone conferencing, two-way radios, mobile radios, ham radios, CB radios, public telephones, wireless telephones, SMR telephones, answering machines, pagers).
(C) Hearing aids, hearing assistance devices and other devices to assist impaired hearing.
(D) All devices and systems where the sole purpose is reducing, isolating, controlling or attenuating noise or vibration.

License Grant

Parties entered into an Assignment of Technology providing for an Assignment of certain technologies from Licensor, a director of the Company, to the Company.

License Property

Specifically, Technology (referred as the Tracker) has been modified and enhanced with GPS (Global Positioning System) technology and includes two pending patent applications. The Sonic Generator has been the subject of further invention and development and has been modified and enhanced (Acoustical Heterodyne or HyperSonic Sound), including three patent applications.

HyperSonic Sound is a new method of sound reproduction sound is generated in the air using ultrasonic frequencies, those above the normal range of hearing.  A patent-pending process creates an ultrasonic wave that interacts in mid-air to produce wide spectrum audio.  Since traditional loudspeaker system elements such as voice coils, magnets, cones/diaphragms, crossover networks, baffles and speaker enclosures are eliminated, management believes HSS technology offers higher quality sound with less distortion while using less power, space, and weight and at a lower cost.

The Company innovated a proprietary method of tracking persons and objects utilizing Global Positioning System ('GPS') technology.  The Company has designed a portable device as a simple solution to (1) finding another person or object or (2) finding a known location. It employs GPS technology but doesn't require complicated longitude/latitude readouts, mapping software or recording and storing of previous locations and movements as used in most portable GPS devices. The Company has produced a proof-of-concept demonstration system.

Field of Use

The Licensee develops and delivers innovative directed acoustic products that beam, focus and control sound over short and long distances.
