Industrial License shall mean the exclusive worldwide marketing, distribution and licensing rights for the treatment of industrial waste water in industries such as the oil and gas industry. The Licensor will grant to the Licensee all of the patent and intellectual rights of the Licensor used in the business of the sale, marketing and distribution of the Licensor’s water sterilization technology, a high voltage electrolysis device that transforms water, solely for industrial applications, including the right to sublicense pursuant to written consent from Licensor, whereby Licensee’s rights are sole and entire and operate to exclude all others, except as otherwise expressly provided herein.

License Property
The Licensor carries on the business of the design, manufacture, sale, marketing and distribution of the Licensor’s water sterilization technology, which utilizes innovative high voltage electrolysis devices to transform water. The technology is able to change the nature of the water itself. Dirty water becomes usable for many industrial and agricultural applications. Clean water becomes a sterilant capable of killing the most harmful of pathogens. The Licensor’s products eliminate biological oxygen demand, algae, bacteria, viruses, fungus and many metals. In today’s lexicon, think of biofilm, salmonella, e-coli, MRSA, HIV, Hepatitis, arsenic and lead, the Licensor’s solution becomes even more important, thereto.

License Grant
Party A entered into an agreement in perpetuity with Party B for non-exclusive worldwide manufacturing and distribution rights for the RMS system.  Since the Company held the exclusive North American license from Party B, it became a party to the agreement between both parties.
License Property
Random Metering System. Traditional ionization equipment produces the same output rate of ions, regardless of the demands placed on the water system.  The Random Metering System  (RMS) expands the application of ionization disinfection systems by creating a separate water source to create ions outside of the treated water stream. RMS is the only known ionization water disinfection system that can treat large volumes of drinking water.  By controlling the off-line water flow, ions can be concentrated and injected into the treated water based on actual demand and flow rates.
Field of Use
This agreement pertains to the principal components of the water purification and disinfection  industry include the consumer, bottled water, commercial and industrial, residential/municipal  drinking water and wastewater treatment markets.

License Grant
The licensor conceded to the licensee, who accepts, a licence to exploit the French patent application No. 00 07642, and the international patent application PCT/FR01/01817 plus any patents that may be derived from them.
License Property
This patent involves a “purification process of sewage effluents'.  The patent was registered in France on June 15, 2000 and applies to a purification process for sewage effluents which process is incorporated into the clarification stage of the Licensee water treatment process.  The first stage of water treatment in the water treatment process is the process of clarification. This clarification process incorporates two patented processes. The first process is a physiochemical treatment based on the principle of reversed mud layer. After pumping the water effluent that is to be treated, a re-agent is injected into the water which allows elements present in the effluent to coagulate and flocculate. This process creates a mud layer which remains inside a cone within the water treatment apparatus. This mud layer serves as a filter which allows for more important purification of water. The mud is then recovered from the cone and is pumped intermittently within the apparatus. When the water leaves the mud layer it is clarified and then goes into a filtering mass.

License Grant
The Licensor, an United Kingdom company, hereby grants a non-exclusive license to the Licensee to manufacture and sell the product for a period of five years from the date hereof.  Random Metering System. Traditional ionization equipment produces the same output rate of ions, regardless of the demands placed on the water system.
License Property
The Random Metering System expands the application of ionization disinfection systems by creating a separate water source to create ions outside of the treated water stream. RMS is the only known ionization water disinfection system which can treat large volumes of drinking water. By controlling the off-line water flow, ions can be concentrated and injected into the treated water based on actual demand and flow rates. Ions produced by the RMS product do not dissipate in high temperatures. This characteristic enables RMS products to be used specifically to prevent and control Legionella. The Legionella organism thrives within colonies of microorganisms, which adhere to the inside of piping distribution networks that transport water for domestic and drinking water use. Because RMS can treat even large volumes of water effectively, it can be used in health care and hospital.
Field of Use
Territory global markets vie the Licensee's existing direct sales force and authorised agents and affiliates in the following areas Hot and Cold water systems, cooling towers, drinking water, w4mminp pools, sees, ho; baths, ornamental water, golf courses, horticulture, animal husbandry, irrigation water, hydroponics. NFT effluent treatment, processing plant disinfection, saline water and sea water.

License Grant
Licensor hereby grants to Licensee the exclusive right and license to commercialize and exploit the Technology (including any and all future modifications, enhancements, improvements or other developments with respect thereto developed, licensed or otherwise acquired by Licensor) as Licensee deems appropriate and to manufacture or have manufactured, use, distribute, license and sell the Products and to offer related services, as well as sublicense others to do the same, including under the claims of any patents owned or licensed by Licensor, in the territories (collectively, the “Territories” or the “Territory”).  Licensee is a major stockholder of the Licensor.
License Property
Licensor is the owner or exclusive licensee of all intellectual property and other rights, title and interest in and to certain technology that changes the molecular composition of tap water to produce low-cost, non-toxic electrolyzed oxidative fluids used for cleaning, disinfection, remediation and hydration (collectively, the “Technology”), including the products utilizing or embodying the Technology and any other products developed in the future utilizing or embodying the Technology (collectively, the “Products”), and is the owner of all rights, title and interest in and to the trademarks as used in connection with the Products.

The Licensor is in the business of developing, manufacturing and marketing equipment that uses water electrolysis to create fluids. These fluids have various commercial applications and may be used in commercial food processing organic or non-organic agricultural products that clean, disinfect, remediate, hydrate and moisturize. The processes for which these fluids may be used are referred to in this prospectus as the “EOW Technology.” For example, we believe that our food and agricultural treatment products potentially may be used to systemically treat all facets and phases of the food chain, from soil to animal feed to meat processing. Our products would accomplish this by eliminating dangerous and unhealthy pathogens from the food chain with organically based and highly effective solutions. We make the claim that our products are “non-toxic”. We can do this because at the levels we employ our technology, our studies both internal as well as through third parties show no toxicity. We are conducting further studies so we can make more specific claims in the future. We also develop, manufacture and market consumer products that support a healthy lifestyle, such as our Perfect Empowered Drinking Water™ and Perfect Oxygenated Essentials™ products. At the levels employed, the fluids and products are safe for the environment and non-toxic. Our fluids and products also do not contain or leave harmful residues often associated with chemical-based supplements and disinfecting and cleaning agents. The electrolyzed fluids created by the EOW Technology (referred to herein sometimes as the “EO Fluids” or “Empowered WaterTM”) generated by our patented and patent pending specialized equipment currently replace many of the traditional products used in commercial, industrial and residential disinfecting and cleaning.
