License Grant
The Licensee entered into a Diesel Fuel Combustion Technology License with the Licensor, a founder & inventor. The Licensor is a Founder of the Licensee. The Licensor granted the Licensee an exclusive worldwide License to design, engineer, manufacture, market, distribute, lease and sell burner products using the diesel fuel combustion technology, and to sub-License and otherwise commercially exploit the diesel fuel combustion technology.
License Property
The Licensee invented the patented high-frequency valveless 'pulse combustion technology' and the 'diesel fuel combustion technology. A burner unit is a furnace or other combustion chamber which uses the combustion process to convert the chemical energy contained in various fuel sources, such as natural gas, propane, gasoline, diesel fuel, oil, or coal, into heat energy.
Field of Use
The Licensee was developed to market burner units based upon two innovative burner designs acquired under license.
The use of a burner unit to create heat energy is typically the first of a number of steps in which the heat energy is generated for use in a multiplicity of residential, commercial or industrial settings, ranging from simple one-step residential and light commercial applications where the heat energy is used merely to heat air or water, such as the case of space or water heaters, to complicated industrial multi-step applications where the heat energy is subsequently converted into one or more other forms of energy. An illustration of a multi-step industrial application would be electricity generation, where a public utility company first burns oil, natural gas or coal to create heat energy, then uses this form of energy to heat water in a boiler system to create steam energy, then uses this form of energy to run a turbine to create mechanical energy, and ultimately uses this form of energy to create a magnetic field to generate electrical energy.

License Grant
Licensor hereby grants to Licensee a limited, nontransferable, exclusive license under the Licensed Patents to use the Detonation Engine Technology, including the Alpha Engines Technical Information, solely for manufacture of, marketing and sales of heavy duty highway truck engines with power ranges from 300 to 1,000 horsepower for use as engines for heavy duty highway trucks (Field of Use).
Licensor also grants Licensee a limited exclusive right to use, and Licensee undertakes to use, pursuant to the terms of this Agreement, the trademark 'Alpha Truck Engines' in the manufacture and sale of its heavy-duty truck engines in the Field of Use.
License Property
Licensor owns rights to a new gas turbine engine system including an ignition system and component parts (called Detonation Cycle Gas Turbine Engine or Detonation Engine) that uses cyclic detonations, provided by a process called 'electromagnetic isothermal combustion' (EIC), for complete combustion of any fuel. The Detonation Engine may be designed and manufactured in many sizes and configurations that enable it to produce the desired horsepower and meet the design, weight and other special requirements for various discrete applications. Alpha Engines is in the business of licensing use of its technology for the Detonation Engine for many different applications.
Use of the Detonation Engine requires practice of Alpha Engines' (i) U. S. Patent No. 6,000,214 issued December 14, 1999.
Field of Use
We will have access to any new patent filings on the highway truck engines as provided for in our licensing Agreement.
The Licensee intends to supply fuel efficient, lower emission engine to a marketplace that must comply with more stringent governmental regulations.
