The Licensor, an individual,  hereby grants to Licensee the exclusive right and license to use and exploit the Licensed Technology to make, have made, use, market, lease, and sell Licensed Products and to practice Licensed Methods in the Licensed Territory during the term of this Agreement unless sooner terminated as provided in this Agreement.  Licensee shall be allowed to grant sublicenses under this Agreement.

United States Patent Application 20100049078 Novel methods and apparatus for diagnosing or screening disease states in living organisms by the measurement and analysis of extremely low frequency electromagnetic fields, particularly extremely low frequency alternating current. The measurement of such fields is performed at a single point or at several test points on or in the body and compared to one or more reference. Information in the time-varying electromagnetic field is collected, then processed by diagnostic or screening algorithms to provide information about the disease state of the tissue being assessed.

Field of Use
Disclosed is a novel method and apparatus for diagnosing or screening disease states in living organisms by the measurement and analysis of extremely low frequency electromagnetic fields. The measurement of such fields is performed at a single point or at several test points on or in the body and compared to one or more reference. Information in the time-varying electromagnetic field is collected, then processed by diagnostic or screening algorithms to provide information about the disease state of the tissue being assessed.  For example, medical applications of high frequency (AC) electromagnetic field measurements are manifest in electroencephalographic and electrocardiographic devices. More recently, direct current (DC) fields have been studied as a method of cancer diagnosis.

License Grant
The Agreement is being amended to include further licensing of cancer sensory devices.   The Licensors will negotiate with the Licensee, for the provision of development capital for the cancer sensory devices to be developed  in exchange for a worldwide, exclusive License to manufacture, market and sell the resulting product, subject to certain limitations and a royalty arrangements on a revenue sharing basis.

Field of Use
The parties have developed certain technology and they own directly and indirectly certain intellectual property relating to sensory monitoring of defined environments, referred to as the Sensory Technology.

The Licensee believes the sensory technology and algorithmic processing in development for MRSA detection could, if successful, be applied to certain cancer sensory devices. Some cancers, such as lung and colon, produce volatile organic compounds in an individual's breath in a similar way to patients infected with MRSA. Should the cancer specific pattern of VOCs be identified, the Licensee believes that a relatively straightforward modification of a successful MRSA detection technology may enable it to produce a similar device for the detection of certain cancers.
