License Grant
Licensor hereby grants an Exclusive License in the Territory to make, have made, use, sell, offer to sell and import the Product in packaging containing two liters of Product (net contents) or less (including any and all Improved Products) under Licensed Patents, Licensed Trademarks, and Proprietary Rights for Normothermic Use other than Total Body Washout, with the right to grant sublicenses to Affiliates and Third Persons. Such license shall be irrevocable, except as hereinafter expressly provided.

Normothermic Use means use of the Product in surgical or therapeutic procedures in which the patient’s body temperature is 12 degrees Centigrade or higher.

Technology refers to commercialize Hextend (R) intravenous solution; utility in the areas of plasma volume expansion, organ preservation, blood replacement, and low temperature surgery.  Hydroxyethyl starches (HES) are highly effective plasma volume expanders used for the treatment and prevention of hypovolemia or relative hypovolemia, for acute normovolemic hemodilution, or as priming fluids for extra corporeal units.

Licensed Trademark means Hextend® and any other trademark developed or acquired by Licensor for use in connection with the sale of the Product in the Territory.

Licensed Proprietary Technology refers to plasma volume expansion, organ preservation, blood replacement, and low temperature surgery.

'Normothermic Use' means use (excluding Total Body Washout) of the Product in surgical or therapeutic procedures in which the patient's body temperature is 12 degrees Centigrade or higher.

'HetaCoolTM' means the solution. 'High Molecular Weight Hetastarch' means a hydroxyethyl starch, an artificial colloid derived from a waxy starch composed almost entirely of amylopectin, with hydroxyethyl ether groups introduced into the glucose units of the starch.  The resultant material is hydrolyzed to yield a product suitable for the intended use.  Molar substitution of hydroxyethyl ether groups is 0.7, meaning that there are 7 hydroxyethyl groups for every 10 glucose units.  The average molecular weight of the resultant material is greater than 400,000 and excludes Pentastarch or other medium or low molecular weight hetastarches.

'Pentastarch' means a hydroxyethyl starch, an artificial colloid derived from a waxy starch composed almost entirely of amylopectin, with hydroxyethyl ether groups introduced into the glucose units of the starch.
