Licensor Intellectual Property includes, without limitation, all ideas, methods, concepts, design features, diagrams, schematics, flowcharts, specifications, code (source and object) and any other intellectual property necessary or useful for Licensee to fully exercise its rights and perform its obligations under this Agreement or otherwise commercialize Licensor Micro-Needle Products in the Field. Notwithstanding the foregoing, Licensor Intellectual Property shall include intellectual property developed jointly by Licensor and a third party unless Licensor is prohibited by contractual agreement with such third party to license such intellectual property to another party.
