The Company, on behalf of a wholly-owned subsidiary to be formed, entered into a manufacturing agreement with an entity affiliated with a director of the Company. The agreement grants the Company the exclusive rights to manufacture patented hydrophilic urethane foam products, polyurethane gels and moisture managed foam footwear inserts and to distribute, along with the Licensor, these products in North America.  The manufacturing agreement also provides for a supply agreement between the two companies.

Field of Use

Products manufactured under this agreement are being sold for use in cosmetic, medical, and household markets including the foot-care market under the brand name DRYZ, a registered trademark. In December 2005, the subsidiary was formed as a wholly-owned subsidiary of the Company to control this activity.

License Grant

The Licensee entered into a license agreement by and between an individual who has since deceased and his wife has succeeded in interest along with two other individuals who collectively referred to therein as Licensor and the licensee, whereby the Licensor granted the Licensee (i) an exclusive right to exploit within the continental United States certain inventions, technology, know-how and patent rights relating to fire retardant urethane foam with reduced smoke toxicity, and improvements thereto, excluding those applications which are utilized in the packaging foam industry and (ii) the joint patent rights to manufacture, use, sell and sublicense the Technology.

Field of Use

The Company believes that with its foam technology it will be able to manufacture foam insulation products for the construction industry containing no chlorofluorocarbons or CFCs; major ingredient in its foam product is corn syrup rather than petroleum products.
