License Grant

Licensor hereby grants to Licensee and Licensee hereby accepts from Licensor, a royalty-bearing, exclusive right and license to use the Know-How in connection with the manufacture, use, distribution, and sale of Licensed Products during the Term in the Territory.

License Property

Licensor has developed and owns certain information, know-how, trade secrets, inventions and data relating to coatings for medical products, including urology products

Field of Use

'Coating' shall mean the coating composition defined as the 'Primer' used to allow a hydrophilic coating to be attached to silicone polymer surfaces (for example silicone Foley catheters used for urinary drainage; silicone balloons, silicone components used for urinary drainage in connection with a Foley catheter).

License Grant

Licensor hereby grants Licensee a revertible exclusive license (even to the exclusion of Licensor) to make, have made, use, sell, offer for sale and import Products in the Territory under certain Patent Rights limited to any new patents granted to Licensor for radiopaque polymer coatings and the Know-How required in Licensor's discretion, to practice these certain Patent Rights licensed hereunder. Licensor also grants a non-exclusive license to make, have made, use, sell, offer for sale and import Products in the Territory under certain Patent Rights for patents 4,642,267 and 4,769,013 limited to use on or with radiopaque coatings excluding any use for drug delivery and the Know-How required in Licensor's discretion, to practice these certain Patent Rights licensed hereunder. The rights licensed are collectively referred to as Licensed Patent Rights.

Field of Use

Products means Class 1 intravascular stents for arterial use in humans coated with a radiopaque polymer coating using the Patent Rights and  Class 2 peripheral stents for use in and around the human heart coated with a radiopaque polymer coating using the Patent Rights.

License Grant

Licensor hereby grants Licensee a non-exclusive license to make, have made, use, sell, offer for sale and import Products in the Territory under the Patent Rights.

License Property

Patent Rights means United States Patent No. 4,769,013 and foreign patents and patent applications based thereon or claiming priority from U.S. patent application # 416,906 filed 9/13/82 and further including but not limited to Canadian Patent No. 1,212,321, German Patent No. 3,379,573.8-08/EP, European Patent No. 119,248 and Japanese Patent No. 1,810,017 and any division, continuation, continuation-in-part, patent of addition, extension, substitution, confirmation, reexamination or reissue of said patents and applications.

An anti-bacterial or bio-effecting medical material which may also have anti-fungal activity, comprises (1) a polyurethane complexed with polyvinylpyrrolidone, and (2) an anti-bacterial agent (which may also have anti-fungal activity) complexed with the polyvinylpyrrolidone. The material is used per se, such as in the form of a foam, and as a coating for medical devices such as, for example, catheters and wound drainage tubes.

License Grant

The Licensor granted to the Licensee a non-exclusive License under the Licensed Patents to the Coating in order for the Licensee to make, have made, import, offer for sale, sell and use Coated Products for medical use in the territory.  The Licensor also granted to the Licensee the right to use the Licensed Marks in connection with Coated Products.

License Property

Licensed Marks means the marks STS and Slip-Coat as used in connection with marketing, promotion, and labeling of Licensed Products and related services, including marks which are registered in any country and marks acquired by usage and common law rights.

Licensed Patents means United States Patent Nos. 5,001,009, 5,069,899, 5,331,027, their foreign counterparts, patent applications on which such patents are based, and any division, continuation, continuation-in-part, reissue or extension thereof.

Field of Use

The rights granted apply for medical use.

License Grant

The Licensor grants to Licensee (ii) an exclusive license, under all proprietary rights existing on the effective date, with right to sublicense, to manufacture or have manufactured, throughout the territory, Superslip Coating, Biostatic Coating and Stay Wet Coating solely for the Licensed Application, (ii) an exclusive license, throughout the Territory, under all Proprietary Rights existing on the Effective Date, with right to sublicense, to apply (or have applied) Superslip Coating, Biostatic Coating and Stay Wet Coating to all products within the Licensed Application, (iii) an exclusive license, throughout the Territory, under all Proprietary Rights existing on the Effective Date, with right to sublicense, to use, sell, offer for sale, import and export all Product.

License Property

Product means any product within the Licensed Application which is coated with Superslip Coating, Biostatic Coating or Stay Wet Coating

Proprietary Rights -means all applications for Letters Patent, issued Letters Patent (including but not limited to United States Letters Patent No. 4,642,267).

Field of Use

Licensed Application means intermittent and indwelling urological catheters.

License Grant

The University, a research institution,  granted an exclusive license to the Licensee for the licensed patents related to the technology for graphene foam coating and deicing.  Licensee may grant written sublicenses to third parties.

License Property

Graphene foam coating and deicing-  An efficient deicing system is a silicone-graphene foam composite connected to a source of electrical energy for current promoted heating of the silicone-graphene foam composite. The deicing system can be constructed by infusion and curing a silicone resin infused into the graphene foam attached to electrical contacts.  Embodiments of the invention are directed to a deicing system where a silicone-graphene foam composite is connected to a source of electrical energy. The silicone-graphene foam composite has the graphene foam is continuous throughout the silicone-graphene composite and attached to an electrical contact. The deicing system is in the form of a coating for a metal substrate, such as an aircraft. The graphene foam can be less than 2 percent by volume, for example 0.1 percent by volume. The graphene foam is an interconnected graphene three-dimensional architecture with pore sizes of 100 to 300 µm in diameter. The source of electrical energy can provide a current of 0.8 A or less to promote heating. The power density can be 0.30 W·cm-2 or less. The silicone of the silicone-graphene foam can be the product of an addition cured polydimethylsiloxane (PDMS) resin.

Graphene is the worlds thinnest material, it also extremely high surface-area to volume ratio. This makes graphene a very promising material for use in batteries and supercapacitors. Graphene may enable batteries and supercapacitors (and even fuel-cells) that can store more energy – and charge faster, too.

Field of Use

The field of use is used in the transportation industry for deicing of aircraft.  The deicing system can be attached to surfaces of an aircraft for rapid deicing of the aircraft.

The Company has agreements with certain of its suppliers of coatings for its micro catheter, access and delivery products.  There are various undisclosed Licensors.
