License Grant

The Licensor grants to the Licensee, and the Licensee accepts from the Licensor an exclusive license to distribute, sell, develop and otherwise utilize the System anywhere in the World.

License Property

The following is a description of the Licensor’s prepaid cellular phone program and system

A. The LDXpress “Xpress-Card” which is comprised of the following features
1. No pin numbers;
2. No hidden charges;
3. Nationwide caller-ID system;
4. International calls directly from cellular phones;
5. Low international cellular rates; and
6. Clear fiber optics network.

B. The pre-paid international calling card program which is comprised of the following features
1. Dialing from the United States to over 200 overseas destinations and
2. One touch “call maker” ID which is proprietary technology upon which the Licensor has a pending patent application.

C. The LDXpress Business Opportunity Program which allows the customer to develop a home-based business opportunity using the Licenor’s product. It includes marketing and training materials.

D. The LDXpress “Flat Rate” Program With No Per Minute Billing which is comprised of the following features
1. Bulk rate priced international long distance services featuring ANI recognition and
2. One-button calling using over 450 local access numbers.

E. The LDXpress Retail Program which targets vendors of cellular phones, cellular phone supplies and accessories. The program is intended to build relationships with customers rather than making a one-time sale to the customer.

The agreement pertains to the telecommunication industry.

License Grant

Licensor has agreed to allow Licensee to sell the Products to the Customers upon the terms and conditions contained herein.

License Property

Intellectual Property. The parties acknowledge that Ron Bishop ('Bishop'), from time to time doing business as a sole proprietor under the name 'The Bishop Group') has developed a concept and product known as 'TravelPal.' Licensor has filed 'TravelPal Patent Vehicle-Mounted Wireless Phone, U.S. Patent Application No. 10/202,769 (the 'TravelPal Application'). Licensor hereby assigns such application to Licensee and agrees to assist Licensee in amending such patent application to add Bishop as an inventor thereof, and represents to Licensee that Licensor had no deceptive intent when it omitted Bishop as an inventor on the original patent application.

The products that are subject to this agreement are the MobilePAL and TravelPAL products sold to specific channels.

MobilePAL is a cellular-based emergency and concierge device with one-button access to our PAL Services Operators. The first version of the MobilePAL unit was an analog cell device. Our first unit could be configured to call 911 Emergency only, or could accept a Mobile Identification Number (MIN) and make outbound calls to either of two predetermined phone numbers. In the 911 emergency-only mode the device was programmed with a MIN, which according to FCC regulations was required to be routed to the Public Safety Access Point (PSAP) local to the cellular tower. In the concierge mode, the device is programmed to call the PAL Services Center and contains a standard cellular MIN; it operates like a normal cellular phone. This design does not permit receiving incoming calls; the unit is only powered when the user is testing it or using it to make an outbound emergency call or to contact the call center. This results in a considerable savings on the power requirements and allows for use of ordinary alkaline batteries as the power supply for the device. Our second version of the MobilePAL device incorporates GPS technology.

Field of Use

For purposes of this Agreement 'Mobile Security Services' means the provision by SAT or its affiliates to customers of Customers of access to a live call center specialist for the purposes of locating the customer and connecting the customer with appropriate police, fire, ambulance or roadside assistance in the event of an emergency or related assistance services.

License Grant

Licensor hereby grants to Licensee the exclusive, irrevocable, worldwide, transferable, sublicensable License of all rights of any kind conferred by the Patents to communication technology in the Personal Emergency Response System.

The rights granted apply to the communication industry.

License Grant

Licensor hereby licenses to Licensee the exclusive right to market, distribute and sell the Product only in the Territory during the Term and the Sell-off Period.

Licensor hereby grants to Licensee the following rights (a) The right to market, distribute, sell and advertise the Product made available hereunder in the Territory, it being understood that such right to market, distribute, sell and advertise shall be exclusive during the Term and non-exclusive during the Sell-off Period. (b) Licensee's right to release the Product at less than full 'top-line' retail prices (e.g. as any so-called 'budget' products, as any so-called 'premium' products, as any so-called 'mid-line' or any other discounted Product) in connection with any merchandising schemes or commercial tie-up arrangements. or through any direct mail or mail order method of distribution or other similar merchandising methods, shall not be exercised without the prior written consent of Licensor, which shall not be unreasonably withheld or delayed.

License Property

Licensor has certain rights in and to a prepaid telephone system, inclusive of the microchip contained therein and software package to be furnished therewith (individually and/or collectively referred to in this Agreement as the 'Product').

The Licensor's Telephone Debit Cards provide users with convenient and cost effective access to local calls, long distance domestic calls, and international calls through the Company’s switching facilities and long distance network arrangements.

Field of Use

Licensee is in a position to provide marketing, distribution and sales for the Product throughout the following countries or continents Europe. Asia, Africa and Australia (hereinafter individually and/or collectively referred to as the 'Territory')

License Grant

In 2003 we acquired a patent for VoIP communication from the undisclosed inventor.  Patent licensing revenue is derived from licensing our intellectual property.

License Property

Our VoIP Patent Portfolio is an international patent portfolio covering the basic process and technology that enables VoIP communications.  Our patented technology enables telecommunications customers to originate a phone call on a traditional handset, transmit any part of that call via the Internet, and then terminate the call over the traditional telephone network.

In connection with the acquisition of U.S. Patent No. 6,243,373, the Company agreed to remit, to the former owner of the patent, proceeds from future revenue derived from the licensing of the VoIP Patent Portfolio, composed of U.S. Patent No's. 6,243,373 and 6,438,124.

Field of Use

The rights granted apply to the telecommunication field.

License Grant

Licensor hereby licenses to Licensee of Bahamas the exclusive right to market, distribute and sell the Product only in the Territory during the Term and the Sell-off Period.
Licensor hereby grants to Licensee the following rights
(a) The right to market, distribute, sell and advertise the Product made available hereunder in the Territory, it being understood that such right to market, distribute, sell and advertise shall be exclusive during the Term and non-exclusive during the Sell-off Period.
(b) Licensee's right to release the Product at less than full top-line retail prices (e.g., as any so-called budget products, as any so-called premium products, as any so-called mid-line or any other discounted Product) in connection with any merchandising schemes or commercial tie-up arrangements, or through any direct mail or mail order method of distribution or other similar merchandising methods, shall not be exercised without the prior written consent of Licensor.

Licensee is in a position to provide marketing, distribution and sales for the Product throughout the countries in South America.  The rights granted apply to the communication market.

License Grant

The Company granted a nontransferable, worldwide, exclusive license to use, manufacture, have manufactured, market, distribute and sell the Company's one-button emergency wireless telephone device, with and without global positioning satellite technology.
