The following is a description of the Licensor’s prepaid cellular phone program and system

A. The LDXpress “Xpress-Card” which is comprised of the following features

6. Clear fiber optics network.

B. The pre-paid international calling card program which is comprised of the following features

C. The LDXpress Business Opportunity Program which allows the customer to develop a home-based business opportunity using the Licenor’s product. It includes marketing and training materials.

D. The LDXpress “Flat Rate” Program With No Per Minute Billing which is comprised of the following features
1. Bulk rate priced international long distance services featuring ANI recognition and
2. One-button calling using over 450 local access numbers.

E. The LDXpress Retail Program which targets vendors of cellular phones, cellular phone supplies and accessories. The program is intended to build relationships with customers rather than making a one-time sale to the customer.

License Property
Intellectual Property. The parties acknowledge that Ron Bishop ('Bishop'), from time to time doing business as a sole proprietor under the name 'The Bishop Group') has developed a concept and product known as 'TravelPal.' Licensor has filed 'TravelPal Patent Vehicle-Mounted Wireless Phone, U.S. Patent Application No. 10/202,769 (the 'TravelPal Application'). Licensor hereby assigns such application to Licensee and agrees to assist Licensee in amending such patent application to add Bishop as an inventor thereof, and represents to Licensee that Licensor had no deceptive intent when it omitted Bishop as an inventor on the original patent application.

The products that are subject to this agreement are the MobilePAL and TravelPAL products sold to specific channels.

MobilePAL is a cellular-based emergency and concierge device with one-button access to our PAL Services Operators. The first version of the MobilePAL unit was an analog cell device. Our first unit could be configured to call 911 Emergency only, or could accept a Mobile Identification Number (MIN) and make outbound calls to either of two predetermined phone numbers. In the 911 emergency-only mode the device was programmed with a MIN, which according to FCC regulations was required to be routed to the Public Safety Access Point (PSAP) local to the cellular tower. In the concierge mode, the device is programmed to call the PAL Services Center and contains a standard cellular MIN; it operates like a normal cellular phone. This design does not permit receiving incoming calls; the unit is only powered when the user is testing it or using it to make an outbound emergency call or to contact the call center. This results in a considerable savings on the power requirements and allows for use of ordinary alkaline batteries as the power supply for the device. Our second version of the MobilePAL device incorporates GPS technology.

Field of Use
For purposes of this Agreement 'Mobile Security Services' means the provision by SAT or its affiliates to customers of Customers of access to a live call center specialist for the purposes of locating the customer and connecting the customer with appropriate police, fire, ambulance or roadside assistance in the event of an emergency or related assistance services.
