We entered into a license agreement with our Vice President of Engineering, for commercial and intellectual property rights, including patent rights, in receive diversity technology.

We have incorporated this technology into some of our repeaters, as described under the headings Wireless System Technology and Products and Services in the Business section of this prospectus.

Our products are based on our Network Repeater technology that works in conjunction with base stations to expand the coverage area of a wireless network.  Our Repeater Hybrid Network reduces the number of base stations required to achieve an equivalent coverage area and significantly lowers the cost of the network.  Technology relates to the field of CDMA repeater technology for which a patent application has been filed (Delay Combiner System for CDMA Repeaters and Low Noise Amplifiers, Patent Application No. 09/028434, the Patent) .

License Grant
Licensor hereby grants to Licensee, one non-exclusive and non-transferable right and license, during the Term of this Agreement, to make, have made, use, offer to sell, sell and otherwise transfer the Product or Products and practice the invention covered by the claims of the Patents solely within the embodiment of the triggerable location and remote control products developed and manufactured by Licensee.  This license is granted for developing, using, manufacturing (including outsourced manufacturing), marketing distribution and sales (including extending its rights under this license to units it sells to its customers for actual use of the licensed products) of Units.  Notwithstanding anything to the contrary contained in this agreement, except for all previously granted licenses and the licenses granted to Licensee, Licensor shall not license the Systems to any other persons or entities except those against whom Licensor has alleged have infringed or may potentially infringe upon Licensor's intellectual property rights.

The System is a telematics system which combines the following components and electronic circuits (or their functional equivalents) together comprising (i) a location signal generating device such as a GPS system receiver, (ii) a telemetry communication module such as a cellular telephone or satellite transceiver for example, (iii) a central processor unit, (iv) a trigger sensor input/output interface module, (v) a location signal antenna, (vi) a communication signal antenna, and (vii) a power source (the Unit).

Identification of Patents.  Licensee agrees that all rights granted by Licensor to Licensee hereunder are conditioned upon Licensee permanently affixing to the packaging of each Unit incorporating and using the Product and permanently affixing to each Unit incorporating and using the Product a legible notice reading Licensed under Patents No. US- 6,297,768 B1, 6,476,763 B2, 6,484,035 B2, 7,710,738 B2,, substituting any future patent numbers, as applicable.

Licensor has invented, developed and patented certain inventions relating to Wireless Triggerable Location and Remote Control products and Licensor intends to continue to invent, develop, improve and patent second generation Location and Remote Control products related thereto which represent improvements or modifications to the existing inventions (collectively, the Product) which either are currently under the protection of certain Letter Patents described in detail and shown in this document (including any modifications, extensions, renewals, divisions, continuations and continuations-in-parts and all reissues thereof), or will be protected by further patents now pending and obtained by Licensor (collectively, the Patents).

Field of Use
The rights granted relates to location reporting apparatus and methods.  The patent specifications necessary for Licensee to integrate and create the functions of the Product into the Unit are defined in this agreement.  It is understood that Licensee is responsible for all engineering, designs and manufacturing required for Licensee to utilize the intellectual property embodied in the patents.

The technology utilizes the integrated use of telecommunications and informatics to enable users to remotely monitor, track, control and protect a wide variety of asset classes such as, automobiles, and other motorized vehicles, shipping containers, covert vehicles used for law enforcement, and even people. This technology is referred to as “Telematics.”

License Grant
The Licensor and Japanese Licensee, the parties, entered an existing Patent License Agreement covering certain time division multiple access or TDMA-based products manufactured and sold by Licensee.  A substantial dispute has arisen between the parties as to whether royalties are owed by Licensee for its sale in Japan of Covered Infrastructure Units and Covered Subscriber Units compliant with the PHS and PDC Covered Standards.

The parties have agreed upon a settlement of the dispute, wherein the settlement provides(i) for certain amendments to the Prior Agreement, the principal amendment providing for certain payments to ITC in lump sum amounts in exchange for a paid-up license for Covered Subscriber Units and Covered Infrastructure Units compliant with PHS and PDC Covered Standards, and (ii) for a new license agreement (this 3G Agreement) involving Covered Subscriber Units and Covered Infrastructure Units compliant with Narrowband CDMA and Third Generation

With this agreement, Licensor, for itself and its Affiliates, hereby grants to Licensee and its Affiliates a non-exclusive, non-transferable, worldwide license under the Licensed Patents to make, have made, use, import, sell and otherwise dispose of Covered Subscriber Units and Covered Infrastructure Units, including the right to make, have made, use, import, and otherwise dispose of components therefor, or the supply of replacement parts therefor.

License Property
'Licensed Patents' means any issued patent relating to TDMA or CDMA-based digital wireless communications and similar patent applications.

This agreement is for over 100 patents registered throughout the world.  The licensed patents mostly relate to the telecommunications and broadcasting industry.

'Combi-Unit' means any Subscriber Unit which has substantial functionality unrelated to basic voice or wireless data transmission, such as video phones, personal digital assistant, computers, and the like, but which performs modulation and demodulation.

'Communication Card' means a Subscriber Unit in card or similar format (e.g. PCMCIA card) which contains at a minimum all of the circuitry necessary for modulation and demodulation in accordance with one or more Covered Standards and may be readily attachable to, and detachable from, the body of an end-user terminal device, whether fixed, mobile, transportable, vehicular, portable or hand-held, with RF transmit and/or RF receive capabilities by end-user. A Communication Card shall include all attachments necessary to enable the information and/or communication unit to transmit and receive wireless communications.

'Infrastructure Unit' means mobile switching centers, radio network controllers, service nodes, Node B's, base stations, radio resource management devices and software, base station controllers, digital transceivers, digital channel cards, and software necessary to operate the aforementioned devices (including software maintenance agreements to the extent that free upgrades are provided in exchange for the maintenance fee, or to the extent that the software maintenance provides an upgrade or enhancement as to functionality), whether sold as individual items or bundled as an integrated product, which is used to interconnect a Covered Subscriber Unit to a public or private data or voice network (whether wired or unwired), including the internet. Subject to the foregoing, absent some substantial difference in design and/or function of Infrastructure Units, the parties agree, generally, the interpretation of Infrastructure Equipment and Net Selling Price (as defined in the Prior Agreement), and used in the arbitration, including for audit purposes, shall generally be considered acceptable guidelines in determining the royalty base hereunder.

'Narrowband CDMA' means standards for direct sequence code division multiple access digital cellular radiotelephone service adopted as a standard by either a standards development organization – such as ETSI, TIA/EIA or ARIB- or a major operator of public subscription systems for in-country requirements (e.g. frequency spectrum availability, interconnection with preexisting telephony networks, etc.) which limit the spread of the signal over a bandwidth not greater than 1.25 MHz, including, but not limited to, IS-95 Rev.A, IS-95 Rev. B and various derivations thereof that do not fundamentally alter the character thereof.

License Grant

License Property
Licensor is the owner of certain technology relating to wireless communications products.

'Access Point' shall mean a wireless network access point device that utilizes Aironet Technology.

'Aironet Products' shall mean all products, subassemblies, and services  that are now or hereafter become available for purchase from Licensor,  but shall exclude products or subassemblies that are custom made for  individual Licensor's customers.

'Aironet Technology' shall mean all Aironet patents, patent applications, trade secrets, know-how, software, firmware,  documentation, copyrights, and other proprietary rights existing prior  to and as of the date hereof (and as to patents, that may issue after  the date hereof based on patents existing or patent applications  initially filed as of the date hereof, including, but not limited to,  continuations, continuations in part, divisions, reissues, additions,  or extensions) and necessary to exercise rights granted under the  License.

'Bridge Products' shall mean Aironet's wireless point-to-point and  multipoint bridge products.

'Fully-Burdened Manufacturing Cost' shall mean all costs of  manufacturing a product, including labor, materials, and overhead, as  accounted for in the regular course of its business by the party  manufacturing that product, as timely adjusted for purchase price  variance.

'License' shall mean the licenses under the Aironet Technology (and all  intellectual property rights embodied therein) granted by Aironet to  Telxon in and under Aironet intellectual property  granted by Aironet to Telxon.

'Legacy Products' shall mean the products.

'Legacy Software' shall mean all current and prior source and object  code for the Legacy Products, including, but not limited to, the  software identified under 'Legacy Software.'

'MAC' shall mean a media access control unit that utilizes Aironet  Technology.

'New Software' shall mean the object code only of Aironet's (i)  revised, upgraded and otherwise modified versions of the Legacy  Software and of the 802.11 Supported Access Point Software which  incorporate significant enhancements or significant added functionality  to such software and which together with such software constitutes a  single package of new software, (ii) ports of the Legacy Software and  the 802.11 Supported Access Point Software to microprocessors not  currently supported, (iii) access point software (which, without  limitation, supports 802.11) developed on a commercially available real  time operating system and (iv) wholly new software.

'PC Card' shall mean a wireless transceiver in the pc card format that  includes both a Radio and a MAC.

'Radio' shall mean a wireless transceiver that does not include a MAC  and utilizes Aironet Technology.

'Telxon Derived Products' shall mean Telxon's improvements,  refinements, enhancements, modifications, adaptations, revisions, and  derivatives of Legacy Products, as a whole or any part.

'Telxon Derived Software' shall mean Telxon's improvements,  refinements, enhancements, modifications, adaptations, revisions, and  derivatives of Legacy Software and 802.11 Supported Access Point  Software.

'Universal Client' shall mean a stand-alone (external) client, suitable  for connection to a networked device, that utilizes Aironet Technology.

'802.11' shall mean the IEEE wireless LAN MAC/PHY specification as  ratified in July 1997.

'802.11 Supported Access Point Software' shall mean Aironet's current  Access Point software that supports 802.11 802.11 Supported Access point Software.
