License Grant

Licensor hereby grants to Licensee and its subsidiaries a worldwide non-exclusive, non-transferable, non-assignable, and non-sublicensable limited license under the Licensed Patents to allow Licensee to use the Licensed Patents, to the extent applicable, in connection with Licensee’s operation of the Licensee System. Any entities or businesses acquired by Licensee after the Effective Date shall be included hereunder only as of such date of acquisition, and this Agreement shall not apply to release any such after-acquired businesses or entities from potential claims based upon or arising out of the Licensed Patents before such date of acquisition.

License Property

The Licensee entered into an agreement to license U.S. Patent Nos. 6,269,361 and respective foreign counterpart patents.

The patent relates to a system and method for influencing a position on a search result list generated by a computer network search engine.

A system and method for enabling information providers using a computer network such as the Internet to influence a position for a search listing within a search result list generated by an Internet search engine. The system and method of the present invention provides a database having accounts for the network information providers. Each account contains contact and billing information for a network information provider. In addition, each account contains at least one search listing having at least three components a description, a search term comprising one or more keywords, and a bid amount. The network information provider may add, delete, or modify a search listing after logging into his or her account via an authentication process. The network information provider influences a position for a search listing in the provider's account by first selecting a search term relevant to the content of the web site or other information source to be listed. The network information provider enters the search term and the description into a search listing. The network information provider influences the position for a search listing through a continuous online competitive bidding process. The bidding process occurs when the network information provider enters a new bid amount, which is preferably a money amount, for a search listing. The system and method of the present invention then compares this bid amount with all other bid amounts for the same search term, and generates a rank value for all search listings having that search term. The rank value generated by the bidding process determines where the network information providers listing will appear on the search results list page that is generated in response to a query of the search term by a searcher located at a client computer on the computer network. A higher bid by a network information provider will result in a higher rank value and a more advantageous placement.

License Grant

The Parties, along with others are in a litigation case.  By this settlement agreement, Licensor grants a worldwide, non-exclusive, nontransferable, non-sublicensable, limited license under the Licensor Patents to allow Licensee or a Licensee Subsidiary to operate the Licensed Service on its own owned and operated websites, any Private Label Service at any websites, and other Licensed Services to which Licensor expressly agrees in writing.

License Property

Licensor is the owner of all right, title and interest in and to certain patents relating to search methods and apparatus for use with computer networks such as the Internet.

The websites include but are not limited to www.findwhat.com and www.espotting.com.

Licensed Service means a paid listing service operated by or for Licensee.

Private Label Service means a Licensed Service operated by Licensee for or in the name, or based on the branding, of a Private Label Partner, including systems, technologies, methodologies, services, and components to the extent used by Licensee or the Affiliated Entity to provide such Licensed Service.

Field of Use

Specified Field means Internet search and search marketing, together with  services related to the foregoing, including, but not limited to, paid listing services.

License Grant

The Licensee was found guilty of infringement on two patents related to matching ads to content and was ordered to pay the Licensor a royalty on a part of its revenues.

License Property

The Patents are U.S. Patent Nos. 6,314,420 and 6,775,664.

License Grant

The Licensor will grant the Company a 50-year License to, at the Company's sole cost and expense, in consultation with the Licensor, modify and integrate Licensor's patented Internet search technology into certain software applications the company currently markets, licenses, sells and distributes to customers to create bundled products therefrom (the 'Bundled Applications'); and develop and create modified versions and derivative works from the Licensor's Intellectual Property, which the Company intends to market, License, sell and distribute to third parties.

License Property

The Licensor hold two U.S. Patents (#6.260.041 issued July 10, 2001 and # 6.332.141 issued December 18, 2001) entitled FIRST (Fast Internet Real-Time Search Technology).

License Grant

University hereby grants Licensee an exclusive, worldwide, right and license to utilize the licensed technology, to develop licensed products and licensed processes to manufacture, sell, lease and otherwise transfer licensed products and to practice licensed processes as authorized in this Agreement until such time as this Agreement is terminated.

License Property

The licensed technology (WordCruncher Technology) includes U.S. Patent Number 5,345,551, Method and System for Synchronization of Simultaneous Displays of Related Data Sources.  The licensed technology also includes the WordCruncher software.

License Grant

Licensor, an individual from England, will be granted a right to receive a portion of future proceeds, if any, as designated below resulting from Licensee's prosecution, development, licensing, sale and/or other disposition, and, if necessary, the enforcement of the Patents as described herein.

License Property

The Licensee completed the acquisition of four patents (as well as a pending patent application) from the Licensor, a technology leader in digital watermarking content identification, digital rights management and related technologies.

The patents relate to enabling technology for identifying media content on the Internet, such as audio and video, and taking further action to be performed based on such identification, including among others, the insertion of advertising and the facilitation of the purchase of goods and services.

The patents (U.S. Patent No. 7,058,223, No. 8,010,988, No. 8,020,187 and No. 8,205,237) are based on a patent application filed in 2000 and have patent terms extending into 2023.
