NP Products means any products the design, development or manufacture of which utilize the Nickel Plaque Technologies.
Technologies means the Nickel Plaque Technology and the Vented Nickel-Cadmium and Sealed Nickel-Cadmium Battery Technologies.
Vented Nickel-Cadmium and Sealed Nickel-Cadmium Battery Technologies means (i) those aspects of a nickel cadmium manufacturing process, employed at the Colorado Springs Facility, that are not in the public domain and are either licensed or proprietary to the Licensor, and (ii) any Improvements to the foregoing.

Hydride Batteries shall mean one or more rechargeable nickel metal hydride electrochemical ceil(s) employed alone or in combination.
The patents include, but are not limited to
Beta to Gamma phase cyclable electrochemically active nickel hydroxide material;
Active nickel hydroxide material having controlled water content;
Improved hydrogen storage alloys and methods and improved nickel metal hydride electrodes and batteries using same;
Method and apparatus for continuous spin melt casting of materials;
Electrochemical hydrogen storage alloys for nickel metal hydride batteries, fuel cells and methods of manufacturing same; and,
Preparation of vanadium rich hydrogen storage alloy materials.
Licensed Consumer Hydride Batteries of all types, shapes and configurations, are for portable consumer applications, including but not limited to cell phones, cameras, toys, power tools and computers, and that embody or otherwise use the technologies described in the Licensed Patents. The use of such Hydride Batteries for all vehicular applications (including two or more wheeled vehicles and hybrid electric vehicles), whether for propulsion or SLI (starting, lighting and ignition) applications, is specifically excluded.
License is to use certain patents owned by Licensor to manufacture Ni-MH batteries for portable consumer applications (“Consumer Batteriesâ€) in the PRC.

The technological development of a nanowire battery technology (detailed in patent application titled 'Lithium-Ion Rechargeable Battery Based on Nanostructures' [application # to be assigned by the US government patent office] and certain other patent applications to be filed) conducted by Dr. Choi, and all patents, intellectual property and additional developments resulting directly from this work, constitutes the Proprietary Rights under this Agreement.
Unlike conventional nickel metal hydride (NiMH) and silver zinc batteries, our lithium metal oxide nanowire-based lithium ion battery will have unlimited activated lifetime prior to launch and high reliability. Lithium metal oxides nanowires (e.g. LiCoO2 and LiNi1-XCoXO2) will be fabricated using electrochemical processing. Electrochemical fabrication of nanowires using anodized alumina nano-membranes as template materials is a very cost effective process that lends itself to manufacturability. The dimension of nanowires including the diameter and the length of nanowires can be precisely controlled and the structure of nanowires can be optimized to increase the capacities, with charge/discharge rates greater than 100 times that of conventional electrodes. Our fabrication processes also eliminate the need of a binder by fabricating the nanowires directly on top of the current collectors.
Assignor assigned all rights, title and interest in and to a patent application (serial number 11/089781, filed on March 25, 2005) for a battery technology developed by Dr. Sung H. Choi, our Technical Advisor. This patent application, entitled Lithium Ion Rechargeable Battery Based on Nanostructures, was assigned to us by Dr. Choi in consideration for the issuance to him of an aggregate of 2,000,000 shares of our common stock plus an annual royalty of five percent of net sales of the products resulting from the technology. We have certain minimum annual royalty payments to Dr. Choi pursuant to the Technology and Patent Assignment.
