Upon commencement of the production and distribution of the electric power generators, the minimum annual number of generators to be purchased by SubLicensee in order to maintain exclusivity is 120.

Unlike conventional valves which protrude into the engine cylinder, the CSRV system technology utilizes spherical valves that rotate in a cavity formed between a two-piece cylinder head. The CSRV system technology utilizes only a small fraction of the moving parts in a conventional poppet valve assembly. The PEM fuel cell technology relating to annular feed air breathing fuel cell stacks, was invented and patented (under U.S. patent numbers 5,514,486 and 5,595,834). The fuel cell is designed to provide clean, economic low power.

A fuel cell is a device that uses a fuel (usually hydrogen) to create electricity. The method it uses to create the electricity is fairly simple Hydrogen is introduced to one side of the fuel cell (known as the anode). The hydrogen atom is stripped of its electron as it progresses through the cell. The electron goes through a conductor to create an electrical current. At the other end, the hydrogen joins up with oxygen and forms water. When a fuel cell is used it creates clean power (electricity) with pure water as the only byproduct.

Proton-Exchange-Membrane ('PEM') fuel cell is a small, stackable device (each unit is approximately the same size as a soda can) that will deliver low power (less than 50 to 500 watts) reliably and cleanly. The current configuration of the PEM fuel cell is not powerful enough to operate an automobile, but it can provide enough power for people in third world countries or in an emergency situation or other venue where no power is present to operate such items as small medical equipment, communication devices and camping equipment.

License Grant
Licensor hereby irrevocably grants to Licensee and its Affiliates for the Term a royalty-bearing exclusive license to the Patent Rights to make, use, and/or sell Licensed Products in the Field in the Exclusive Territory.

Subject to the terms of this Agreement, Licensor hereby also irrevocably grants to Licensee and its Affiliates for the Term a royalty-bearing non-exclusive license to the Patent Rights to make use, and/or sell Licensed Products in the Field in the Non-Exclusive Territory.

Licensor hereby irrevocably grants to Licensee and its Affiliates for the Term a royalty-bearing license to confidentially practice the Licensed Know How provided by Licensor to Licensee for Licensee to make, use and/or sell Licensed Products in the Field in the Exclusive Territory and in the Non-Exclusive Territory.

License Property
Licensor is the owner of certain Patent Rights and know how relating to generator technologies and methods, including methods to utilize heat and capture carbon dioxide and has the right to grant licenses under said Patent Rights and know how.

Licensed Product means any product, process or method that, in whole or in part, absent the license granted hereunder, would infringe one or more claims of the Patent Rights. For the avoidance of doubt, the Parties acknowledge and agree that Licensed Product further includes equipment used to construct any facility which would result in an otherwise infringing product or process, as well as any commodity or product made from the utilization of such product, process or method and also includes any electric energy, power, capacity or other electrical resources provided or generated from the utilization of such product, process or method.

Licensor’s patent rights and know-how related to stationary electric power generation (not in connection with vehicles), including methods to utilize heat and capture carbon dioxide.

This agreement relates to generator technologies and methods, including methods to utilize heat and capture carbon dioxide.

The ESG Clean Energy System is designed to generate clean electricity from internal combustion engines and utilize waste heat to capture ~ 100% of the carbon dioxide (CO2) emitted from the engine without loss of efficiency, and in a manner to facilitate the production of precious commodities (e.g. distilled/ de-ionized water; UREA (NH4); ammonia (NH3); ethanol; and methanol) for sale.
