License Grant

In this agreement, where the Licensor, individual, is the founder and chief executive officer of the Licensee, the parties agreed for the Company to obtain patent ownership.

License Property

The patent disclosure related to methods and apparatus for accurately calculating time with the MAC technology along with other components that can receive process and communicate information to enable locating, identifying, and tracking physical assets and data contained within the assets.

This agreement pertains to the location tracking technologies.

License Grant

Licensor grants to Licensee and its subsidiaries a non-exclusive, worldwide, non-transferable license, without the right to grant sub-licenses, under all Licensor Licensed Patents to make, have-made, use, offer to sell, sell, lease, import, export, and/or otherwise dispose of Licensee Licensed Products.

License Property

Licensed Patents means Core GPS Patents listed assigned to Licensor or its Parent or subsidiaries, which were issued or pending on effective date, including Core GPS Patents (i) which Licensor or its Parent or subsidiaries own, acquire, or control as of the effective date, or (ii) under which Licensor has the right to grant licenses of the scope granted herein, without the payment of royalties or other consideration to a third party or parties, except for payments to employees of Licensor or its Parent or Subsidiaries for inventions made by said employees while employed by Licensor or its Parent or Subsidiaries and also except for any other payments for which Licensee agrees to reimburse Licensor. For the purpose of clarification, the phrase “the payment of royalties or other consideration” hereinabove shall never be construed to include any payment made by Licensor as consideration for the acquisition of the patents, utility models, design patents, applications, or licenses or rights thereunder.

Licensor Licensed Products means the Licensor Star II and Licensor Star III product lines and future Licensed Products which are manufactured by or on behalf of Licensor or its Subsidiaries during the term of this Patent Cross License. For the avoidance of doubt, Licensor Licensed Products shall not include any products of an investor in Licensor or an acquiriing party of Licensor, manufactured by or on behalf of the investor or acquiring party.

Licensee Licensed Products means the u-N 8031, uN8130, uN3010 and uN3020 products and future Licensed Products which are manufactured by or on behalf of Licensee or its Subsidiaries during the term of this Patent Cross License. For the avoidance of doubt, Licensee Licensed Products shall not include any products of an investor in Licensee or an acquiring party of Licensee, manufactured by or on behalf of the investor or acquiring party.

Licensed Products means GPS Products. For the avoidance of doubt, Licensed Products shall not include IP Core Technology.

Core GPS Patents means the Patents of either party with claims to subject matter limited to the structures of or the methods implemented by the four corners of the GPS base band chip and/or RF chip; such as, for example, the following matched filters, correlates, I NAs, SAW filters, and multipath algorithms. The term  Core GPS Patents includes all Patents asserted in the Action, excluding U.S. Pat. No. 5,663,735, as the Action is defined in the Settlement Agreement and Mutual Release.

Patent(s) means all classes or types of patents, utility models, design patents, and applications therefore of all countries of the world, which are issued, published, or have a first effective filing date prior to the effective date including continuation(s), divisional(s), reissue application(s) and foreign counterpart(s) thereof. The term Patent(s) does not include copyrights, trademarks, mask work rights, or any know-how or trade secret rights.

Field of Use

The Licensee develops GPS ICs and software solutions for the mobile location-based services market.

License Grant

The Company entered into a license for the rights to use certain patented technologies.

License Property

The Licensee's development of GPS devices embedded with RFID modules represents its core technology and products.

License Grant

The Licensor granted the Licensee a worldwide, exclusive right under the Patents to make, have made, use, import, offer or sell products or services covered by the Patents, including the exclusive right to grant subLicenses.  The exclusive right and License granted herein shall exist for the life of the Patents.  Licensor, its parent company and their affiliates will mark of each of their products in a conspicuous manner so as to identify each of the applicable Patents embodied in such product.
