License Grant
Beginning in October 2003, the parties have been in discussions to resolve certain matters relating to the Agreement. This Amendment 2 is intended to fully resolve such matters.
The parties acknowledge that the non-exclusive license granted by Licensor to Licensee pursuant to Amendment 1 has been terminated by Licensee. Accordingly, Amendment 1 is hereby rescinded, except as stated. With this amendment 2, the royalty has been updated.
License Property
With amendment 1, the patent identified is for Low Resistivity Photon-Transparent Window Attached to Photo-Sensitive Silicon Detector.
Field of Use
With amendment 1, Field of Use means the development, production and use of photodiodes within products to perform single photon nuclear medicine procedures. Single photon, as used herein, means radioisotopes whose decay chain includes a primary gamma ray with energy greater than 50keV but does not include a positron emission tomography, the Non-exclusive Field of Use and all other kinds of x-ray imaging.
The Non-exclusive Field of Use means the development, production and use of photodiodes within products to perform x-ray computed tomography (CT) for medical imaging applications. Non-Exclusive Field of Use specifically excludes the Field of Use, the use of positron emission tomography, as well as all kinds of x-ray imaging other than computed tomography for medical imaging applications.

License Grant
The Parties are expanding the license to include a Non-Exclusive Field of Use. With this amendment, the Agreement grant is replaced in its entirety with the following The Licensor grants to a nontransferable, limited worldwide exclusive license, under Licensed Patents, only in the Field of Use, to develop, make, have made, use, practice, sell, have sold, and lease the Licensed Products. And, a nontransferable, nonexclusive worldwide license, under Licensed Patents, only within the NonExclusive Field of Use, to develop, make, have made, use, practice, sell, and lease the Licensed Products.

License Grant
The Company agrees to sell, assign, transfer, set over and convey all rights, title and interest in and to said Original Agreement, including the exclusive licenses under U.S. Patent Nos. 4,284,895 and 4,437,006 in the Medical Field. Patent Nos. 4,284,895 issued on August 18, 1981 relates to Method and apparatus for tomographic examination of an object by penetrating radiation and Patent Nos. 4,437,006 issued on March 13, 1984 relates to Method and apparatus for measuring radiation in computer-assisted tomography and radiographic applications.
License Property
Technology relates to the construction of an x-ray tomographic scanning prototype.
The Company has an exclusive license for the worldwide rights in the medical field to two patents for its proposed medical imaging camera. The two patents relate to high-speed single photon counting cameras and camera configurations which minimize the “noise†associated with the scattering of low energy photons.
IPSCIO Record ID: 26668
License Grant
The Company acquired the know-how and patent rights for positron imaging from three entities including former directors.
License Property
Positron imaging is an advanced medical imaging devices utilizing positron emission tomography ('PET') technology.
Field of Use
The Company designs, manufactures, markets and services advanced medical imaging devices utilizing positron emission tomography technology under the trade-name Posicam systems. Unlike other currently available imaging technologies, PET technology permits the measurement of the biological processes of organs and tissues as well as producing anatomical and structural images.
