License Grant
The Licensor grants to the Licensee, a non-exclusive, non-transferable, royalty-bearing license to use the Licensed Patents related to Ram accelerator technology, in connection with Licensed Uses in the Field of Use.  The Use of the Patents and related technology is solely for the purposes of research and development and resource  exploration and production activities in connection with surface and below surface drilling and fracturing processes. The license granted in this Agreement shall not become effective unless and until one of the following occurs:  there is a Change in Control or the inventor is, without cause, terminated as an employee of Licensor or removed from the Licensors board of directors.

The IP includes inventions related to ram accelerator technology. A ram accelerator is a device for accelerating projectiles or just a single projectile to extremely high speeds using jet-engine-like propulsion cycles based on ramjet or scramjet combustion processes.
Field of Use
Field of Use means all terrestrial (Earth-based ground and/or underground) fields of use below 100km MSL (Mean Sea Level) except all terrestrial (Earth-based ground and/or underground) launched orbital space applications, all terrestrial (Earth-based ground and/or underground) launched suborbital applications that have trajectories above 100km MSL (Mean Sea Level) and all necessary terrestrial (Earth-based ground and/or underground ) use for the sole purpose of developing and testing any non-terrestrial application prior to deployment.

License Grant
University hereby grants to Company, and Company hereby accepts, an exclusive license to make, have made on Companys behalf, use, offer to sell or sell, offer to lease or lease, import, or otherwise offer to dispose or dispose of Licensed Products in the Territory in the Field of Use. License Grant

U.S. Provisional Patent Application Serial No. 61/879,131 filed by Licensor, Inventor, on a certain subsurface drilling tool on September, 2013, and non-provisional applications filed on 5/29/14, U.S. Serial No. 14/290,597 and on 8/22/2014, U.S. Serial no. 14/465,907.
