License Grant
Licensor commenced an industry-wide Special Licensing Program for the '930 Patent to vendors of Power over Ethernet equipment.  The Special Licensing Program is of limited duration (through December 31, 2008) and is being implemented on an industry-wide basis to offer discounted running royalty rates and exceptions to Licensor's standard licensing terms and conditions relating to the '930 Patent to PoE vendors who are 'early adopters' and enter into License Agreements without delay and to avoid litigation and higher royalties.  Licensor is willing to grant Licensee a personal royalty-bearing, non-exclusive, License under '930 Patent for vendors of Power over Ethernet equipment.

'Power over Ethernet' or 'PoE' means the technology used to deliver electrical power over Ethernet network cabling for the purpose of supplying operating power to devices connected to an Ethernet network.

License Grant

Devices – shall mean Nodes and/or Gateways; provided, however, that Devices shall not include components or subcomponents of Nodes or Gateways (including, but not limited to, chipsets, motherboards, semiconductors, antennae and/or modules designed for incorporation into another article), but instead shall only include substantially completed items designed for use by a Customer in the form in which such items are Sold by Licensee or its Affiliates.

As used herein, Essential Claims means those patent claims that, but for this Agreement and according to Licensors, would be directly infringed by Licensee or its Affiliates making, having made, Selling, offering for Sale, importing, exporting or using the particular Licensed Product in question within the Field of Use.

Field of Use
The devices are used for communicating and/or interfacing between or among networks, at least one of which is a Network, including any integrated firmware or software. Field of Use shall mean any field of use except Industrial Automation Products. Industrial Automation Products means robotic devices, computers, and control systems used in managing, monitoring and controlling equipment used in industrial processes.

The UMC 1000 is a cost-effective, multi-service digital loop carrier system was designed and developed to enable small to mid-size telecommunications companies and other service providers to connect subscribers to the central office switch for voice and data communications.  

The UMC 1000 consists of a variety of multi-service access platforms with integrated optics and intelligent customer premises equipment.  The platform utilizes a hybrid asynchronous transfer mode/time division multiplexing (ATM/TDM) architecture which provides a variety of loop interfaces for narrowband analog and digital services including plain old telephone service (POTS), integrated services digital network (ISDN), 1.544/2.048 million bits per second point-to-point dedicated digital circuit (T-1/E-1), high bit rate digital subscriber line (HDSL/HDSL2), and asymmetric digital subscriber line (ADSL) services.

This platform also enables the delivery of broadband digital subscriber line (DSL) technologies including discrete multitone (G.DMT), ADSL, G.Lite, HDSL, HDSL2, symmetrical digital subscriber line (SDSL), and very high data rate digital subscriber line (VDSL) (collectively referred to as 'xDSL') services to end users not served directly from a central office.  These services are supported over various feeder transmission technologies including copper, fiber, and wireless.  We also design and manufacture environmentally hardened outside plant cabinets and technology ranging from 48 to 2,000 lines, as well as indoor cabinets ranging from 48 to 480 lines.  We believe we were the first vendor to ship ADSL modules that integrate ADSL circuits, POTS circuits, and splitters onto a single ADSL x+y(TM) line card for environmentally hardened multi-service access systems.

Field of Use
The purpose of the license is for developing, having developed, manufacturing, having manufactured, maintaining, enhancing and modifying and distributing Coax RF Transceivers which plug into any current or future AFC shelf/assemblies. An EMS Interface based upon SNMP and/or Q3 for network management provided, however, that AFC shall be obligated to make the Hardware modifications to the DLP and CPU System Software changes to support Tellabs' requirements for the EMS Interface; RF Access Products that communicate with the RF Transceivers referenced above. Such RF Access Products will have a coax RF modem as the transceiver interface to the UMC 1000 Products.  The data interfaces on the RF Access Products cannot be used as a transceiver to any additional digital loop carrier equipment or any equipment used by the service provider to derive voice services; and Any mechanical products or designs outside of the UMC 1000 Product plug-in cards, shelf and/or backplane.  Such RF Access Products will have a coax RF modem as the transceiver interface to the UMC 1000 Products.
