License Grant

Licensor hereby grants to Licensee, a subsidiary,  subject to the terms hereof, a worldwide, exclusive, perpetual License to exploit the Intellectual Party and Improvements for internet/intranet applications, and also for distance learning and business television, and in general for educational and training applications.

License Property

Specifically included are applications from school(s), universities, business(es), or primarily educational channels such as Knowledge TV or PBS, to homes through mass distribution systems such as cable, DBS, or broadcast. Licensor is the exclusive owner of certain individualized television programming and internet/intranet technologies.

Interactive System and Method for Offering Expert Based Interactive Program 14. Compressed Digital Data Interactive Program System.

Field of Use

The rights granted apply for distance learning and business television, and in general for educational and training applications.

License Grant

Licensor hereby grants to Licensee, subject to the terms hereof, an exclusive License to use, distribute and sublicense the Intellectual Property and Improvements throughout the Territory for individualized television based on the FOX Sports Southwest license directly to home subscribers, through the mass distribution systems of cable television, direct-broadcast satellite television, broadcast television, wireless and any future broadband distribution system located in the Territory.  Licensor is the exclusive licensee, with right to sublicense, of certain individualized television programming technologies.

License Property

The Intellectual Property includes the Patents and proprietary technologies, programming methods, Programming and Coding Language, and other trade secrets and know-how, all relating to the Intellectual Property described in the Patents, including applications thereof, regardless of distribution or delivery method.

The Company's products, in general, are tools for the creation of programming that allows viewer participation for both television and Internet platforms.  Individualized Programming significantly enhances the quality of most varieties of television programming by giving the viewer the ability to make instant and seamless changes within the live or pre-recorded television programming being viewed. Individualized Programming is a multi-path broadcast of several elements of programming material, such as instant replay, isolation cameras, statistical data, or additional features.

Field of Use

The rights granted apply in the distribution of individualized television directly to home subscribers.

License Grant

Canadian Licensor hereby grants to Licensee, its subsidiaries, divisions and affiliates an exclusive, worldwide license to use, reproduce, display, and distribute in CD or digital distribution form the Program in object code format and/or as bundled with a Licensee Product, if applicable and upon prior written approval of Licensor. Such license shall include the right of Licensee to sublicense distributors, resellers, and other third parties to achieve the foregoing.

License Property

The Knowledge Generatorâ„¢ product consists of a proprietary core technology that allows for textual information to be converted into a multi-purpose learning experience with automatically generated interactive lessons, exercises, tests and scores. The software application has more than 240 interactive enabling learning tools that allow users to transform information into knowledge quickly, providing an interactive and dynamic alternative to traditional passive (rote) learning methods.

The Knowledge Generator™ product was developed with various software user-interface enablers to promote the utilization of several of the user’s senses during the learning process; to see (visualize), listen, compose, speak, reply, interact and react to information by keyboard touch, sound and voice. The Knowledge Generator™ system addresses many learning needs of students from preschool to college, from one phonetic sound to complete pronunciation of phrases, from learning one word to understanding and writing complete sentences, from listening to speaking and comprehension and so on. Users can simply import, in various formats (i.e. word document, RTF, html, etc.), textual content they want to learn and the Knowledge Generator™ software application tools will automatically create interactive subject based learning or skills training lessons, tests and subsequently, scores.

Its patent pending e-learning engine takes a third party’s dormant textual content and automatically creates exercises, tests and scores to enable learners to acquire knowledge faster than passive learning methods.

The Licensor's current product lines to be marketed are known as the Syntality Knowledge Generator, and Complete English Real Time Intelligent Self Learning Systems.  The Syntality Knowledge Generator has been designed and developed as a complete educational integrated system that addresses individual general needs to special needs and can turn any textual information into knowledge quickly. With more than 200 individual enabling learning tools the system covers most learning needs from Preschool to College; from one Phonetic sound to complete pronunciation phrases; from learning one word to complete sentences, from writing, listening to speaking and comprehension and so on.

Master Copy shall mean the master copy of a Program, including without limitation all source code, object code and executable code embodied in the Program and any additional software necessary to replicate or reproduce such Program in CD-ROM, DVD-ROM, USB (flash drive) form or other mutually agreed upon hardware delivery mechanism with security encryption (e.g. dongle, etc.) and/or in such format to be able to host the Program on a server-based digital distribution localized or web-based (internet) network described in a SOW.

License Grant

The Company agreed to grant the Licensor, an employee, a License to use any acquired inventions outside of certain specified fields of use and the Licensor agreed not to compete with the Company within the fields of interactive program guides and interactive television.

License Property

According to the invention, the moving images of a television program are displayed in a PIP window on the screen of a television monitor and textual information related to the television program is displayed in the background on the screen. Preferably, the audio portion of the television program displayed in the PIP window is also reproduced by the sound system of the television monitor. The textual information is arranged on the screen so none of it is covered by the moving images.

Field of Use

The Company is a provider of video guidance across multiple media platforms, enabling consumers to maximize their personal entertainment experience through the use of our cross-platform products and services.

License Grant

The Licensor hereby grants the Licensee a worldwide, nonexclusive sub-licensable to Licensor affiliates and /or subsidiaries (such sub-license shall only be for business purposes and not structured to reduce Net Revenues paid to Licensor), license to the Patent to use the Patent for the development, commercialization and marketing of vision improvement software applications in the Field of Use, including without limitation, to use, have used, make, have made, reproduce and manufacture the Products; and distribute, sell, have sold, license and sub-license Products; all whether independently or through third parties.

License Property

The Kansas-based licensor is the owner of several patents in the area of perceptual learning systems and methods.  The licensee's product will compete in the market of solutions for better, faster and more effective reading.

Field of Use

Field of Use shall mean vision improvement software applications limited to near-vision deficiencies and reading improvement.

The licensee hopes to deliver products through a cloud-based client server architecture to hand-held devices, currently implemented on the Apple iOS platform (iPhone, iPod, iPad), and which is scheduled to be offered on Android and Windows Phone platforms. The technology utilizes patented technology to develop and commercialize their consumer-oriented software applications for improving near vision sharpness, by improving the image processing function in the visual cortex of the brain.

License Grant

Licensor hereby grants to Licensee, and Licensee hereby accepts, a non-transferable worldwide, royalty-bearing license under the Licensor Patents, solely in the Health Field, to make, use, offer for sale, sell, and import Licensed Products and perform Licensed Services. Licensor hereby grants to Licensee, and Licensee hereby accepts, a non-transferable worldwide, royalty-bearing sublicense under the Third Party Patents, solely in the Health Field, to make, use, offer for sale, sell, and import Licensed Products and to perform Licensed Services.

Field of Use

Educational Field means products and services designed and marketed for use to (a) improve or enhance abilities or skills related to speech, language, listening, reading or learning of children in grades preschool through twelfth grade or persons in correctional institutions or persons with autism or attention deficit disorder; (b) improve or enhance abilities or skills related to speech, language, listening or reading of adults with dyslexia or similar reading impairments; and (c) improve or enhance abilities or skills on achievement or similar tests administered in grades preschool through twelfth grade or entrance exams for college or graduate school administered to persons of any age.

Health Field means (a) products and services targeted at adults and designed and marketed for use to address, prevent or remediate issues of age-associated cognitive decline or age-associated impairment, Alzheimer’s disease or any other forms of dementia; (b) products and services designed and marketed for use to address, prevent or remediate deficiencies in fine motor control or balance or other physical motor impairments; and (c) products and services designed and marketed for use to address, prevent or remediate forms of repetitive strain injury, chronic pain or physical distress, forms of psychotic illness or disorder, forms of stroke, aphasia or brain injury, or other forms of neurological deficiency (excluding (1) autism, (2) attention deficit disorders, and (3) learning disabilities and other deficiencies related to the ability to learn in children in grades preschool through twelfth grade or in adults having dyslexia or similar reading impairments). The parties acknowledge that products or services within the preceding clauses (a) through (c) may be marketed as products or services to enhance cognitive skills, and such marketing by itself shall not remove such products or services from the Health Field if such products or services in fact address, prevent or remediate any of the conditions described in clauses (a) through (c) in the persons to whom they are sold. Notwithstanding the foregoing, the Health Field shall not include products or services, whether or not in the preceding clauses (a) through (c), that are sold or marketed in the Educational Field.

License Grant

The Company was granted a non-exclusive worldwide license, without the right of sublicense, to use The technology in its system.

License Property

The Company has developed and is marketing a real-time video insertion system (the 'L-VIS(TM) System') that through patented computer vision technology places computer-generated electronic images into television broadcasts of sporting events and other programming.

These electronic images range from simple corporate names or logos to sophisticated multi-media 3-D animated productions. The L-VIS System has been used to insert images, including advertising images and visual aids, into live and pre-recorded television broadcasts. The Company is developing a series of products for the Internet and interactive television to allow viewers to interact with live or recorded video programming.
