License Grant

Licensor hereby grants to Licensee an exclusive, worldwide, non-transferable, sublicensable, non-assignable license, right and privilege under the Licensed Patents during the term thereof to make, have made, use, sell, offer to sell and promote Licensed Products embodying the inventions covered thereby in the Territory.

Licensor hereby grants to Licensee an exclusive, worldwide, non-transferable, sublicensable, non-assignable license, right and privilege to use the Licensed Marks to make, have made, use, sell, offer to sell and promote, Licensed Products in the Territory.

Licensor hereby grants to Licensee an exclusive, worldwide, non-transferable, sublicensable, non-assignable license, right and privilege to use the Licensors Trade Dress to make, have, made, use, sell, offer to sell and promote, Licensed Products in the Territory.

Licensor hereby grants to Licensee an exclusive, worldwide, non-transferable, sublicensable, non-assignable license, right and privilege to use the Technology, Resultant Intellectual Property and Intellectual Property to make, have made, use, sell, offer to sell and promote, Licensed Products in the Territory.

The Licensee who has been selling its Teva line of sport sandals and other footwear since 1985 signed a new license agreement effective January 1, 2000. Under the License Agreement, the Company received the exclusive worldwide rights for the manufacture and distribution of Teva footwear through 2004.

License Property

The Licensed Patents and their foreign counterparts are for sandal style footwear.

The Licensed Products shall mean any footwear item that is covered by or incorporates any feature of the Licensed Intellectual Property and sold by the Licensee pursuant to this Agreement or otherwise.

Licensors Trade Dress shall mean the inherently distinctive features of any product sold hereunder, or any feature or combination of features of any product sold hereunder which has acquired or acquires distinctiveness during the term hereof.

'Licensed Patents' shall mean U.S. Patent Nos. 4,584,782 and 4,793,075 and their foreign counterparts.

Licensors Trademark shall mean Teva.

Field of Use

Terms of the agreement allow the Licensee to produce and distribute the Teva products; design in active footwear; Teva sandal; Teva's trademarks, patents and copyrights.

License Grant

The Licensor grants to the Licensee and its successors, assigns, designees, distributors, licensees, sub-licensees and affiliates during the term, exclusive, worldwide and irrevocable rights to advertise, promote, market, manufacture, distribute, sell and/or exploit the Product in any and all media, means and markets and all channels of trade and distribution.

The Licensor shall grant to the Licensee the exclusive rights to advertise, promote, market, manufacture, distribute, sell and/or exploit a footwear product tentatively entitled “SyZerz,” all related booklets, cards, materials, dvds, audio tapes, parts, attachments, accessories, components, configurations and re-configurations of such product including derivative products in the field of clothing, enhancements, improvements and additional lines of products, names , trade names, brand names, and marketing names of such products, all as available now and as may be available in the future, and to use the Licensor’s technology and intellectual property in connection therewith, all on the terms and subject to the conditions of the agreement.

License Property

Xsize is an adjustable sandal product that can be quickly adjusted over a range of five sizes, permitting the use of the sandal by several people with different size feet, or use by a child user over a period in which their feet grow. It can also be adjusted to accommodate more support, or more lose support, for a particular occasion. Xsize is very comfortable and also waterproof. In many cases the same sandal will fit both a child and an adult. Xsize comes in many beautiful colors.

License Grant

Licensor hereby grants to Licensee an exclusive worldwide license to make, have made, use, offer to sell, sell, import, modify, have modified, lease or otherwise dispose of products incorporating the Intellectual Property or any part thereof, subject to the terms of this Agreement.

License Property

Licensor, by reason of certain assignments, is the owner of certain Marks (as hereinafter defined). The Patent Rights and the Marks shall be collectively referred to herein as the 'Intellectual Property'.

Grind Shoes means any footwear products that incorporate a grind plate designed and intended to be used for the purposes of grinding.

Products  means any grind plate and/or footwear incorporating a grind plate, made and/or marketed for use in grinding, and any other footwear, apparel, accessories or other items, including but not limited to those shown in this agreement that bear one or more of the Marks.

Licensor has an exclusive worldwide license to use intellectual property related to the technology  used in our grind-and-roll Heelys-wheeled footwear. We pay a royalty of any non-footwear products, apparel and accessories or similar items that absent our license would infringe the trademarks relating to such products under the license agreement.

License Grant

Licensor, a shareholder of Licensee, grants to Licensee an exclusive, non-revocable, fully paid-up, royalty-free (except as provided) worldwide license in perpetuity to use the Licensed IP to make, have made, use, sell, have sold, import, export, have imported, have exported, distribute, have distributed, offer for sale, and otherwise commercially exploit Licensed Products and practice the Licensed Processes within the Footwear Field.

License Property

Licensee shall have the right to grant sublicenses with respect to the rights to the Licensed IP granted to Licensee hereunder.

Licensee was a shareholder and involved in the original development of the Intellectual Property purchased by Licensor and desires to continue to conduct business in the Footwear Field utilizing such Intellectual Property.

The Intellectual Property purchased by Licensor under the APA includes, but is not limited to, United States patents and patent applications including

The present invention relates generally to protective equipment and in particular to protective guards for extremities such as shins to be worn while engaging in sports activities.

Field of Use

Footwear Field shall mean the business of designing, manufacturing, and selling footwear products including, but not limited to shoes, sandals, boots, slippers, and the like, and components of such footwear products, including insoles, outsoles, uppers, supports, tongues, and the like, providing services, including but not limited to design services, logistics services, assembly services, warranty administration services, technical support services and diagnostic services, reasonably related or incidental to the development, manufacture, sale, or distribution of footwear products and components, and (iii) licensing third parties to design, manufacture, develop, provide, or sell footwear products and components or services reasonably related or incidental to the development, manufacture, sale, or distribution of footwear products and components.
