Licensor hereby grants to Licensee an exclusive, worldwide, non-transferable, sublicensable, non-assignable license, right and privilege to use the Licensed Marks to make, have made, use, sell, offer to sell and promote, Licensed Products in the Territory.

'Licensed Patents' shall mean U.S. Patent Nos. 4,584,782 and 4,793,075 and their foreign counterparts.
Licensors Trademark shall mean Teva.

The Licensor shall grant to the Licensee the exclusive rights to advertise, promote, market, manufacture, distribute, sell and/or exploit a footwear product tentatively entitled “SyZerz,†all related booklets, cards, materials, dvds, audio tapes, parts, attachments, accessories, components, configurations and re-configurations of such product including derivative products in the field of clothing, enhancements, improvements and additional lines of products, names , trade names, brand names, and marketing names of such products, all as available now and as may be available in the future, and to use the Licensor’s technology and intellectual property in connection therewith, all on the terms and subject to the conditions of the agreement.

Grind Shoes means any footwear products that incorporate a grind plate designed and intended to be used for the purposes of grinding.
