With this Agreement, Licensor discharges, releases, promises and covenants not to sue, threaten to sue or otherwise disturb Licensee, and its Affiliates, and any Licensees Licensee, subcontractor, supplier, distributor, vendor, reseller, purchaser, or user of the MR Contrast Agent Product, acquired directly or indirectly from Licensee {or its Affiliates) or a Licensees Licensee in any country in the world, for any claim or cause of action based upon the Licensor MR Intellectual Property and the manufacture, use, Sale, advertisement, offer for Sale, importation, lease, or otherwise transfer or disposition of the MR Contrast Agent Product, whether such claim or cause of action is presently known or unknown.

License Property
MR ContrastAgent(s) means any contrast agent used in, or capable of use in CEMRA procedures.  CE-MRA means contrast-enhanced MR angiography.  MR means magnetic resonance imaging and magnetic resonance angiography.

Licensor is recognized for his expertise in clinical magnetic resonance imaging and magnetic resonance angiography and as the inventor of contrast-enhanced magnetic resonance angiography techniques.

MR Imaging System{s) means any magnetic resonance transmission/receiving system, inclusive of all hardware (for example, without limitation, imaging coils) and software components, that is capable of performing CE-MRA procedures.

IP relates to the magnetic resonance imaging drug, MS-325.

MS-325 is designed to provide visual imaging of the vascular system, through a type of MRI known as magnetic resonance angiography, or MRA.

Field of Use
The use of this agreement is to develop and commercialize contrast agents used in magnetic resonance imaging and magnetic resonance angiography.

MS-325 is specifically designed to enhance the quality of magnetic resonance images of the arteries and veins and to provide physicians with a superior method for diagnosing vascular disease.

License Grant
The Licensor grants under Licensors patents personal, nonexclusive and non-transferable licenses in the U.S., Canada, and the designate countries for Type 1 and Type 2 licensed products.
License Property
SUPERCONDUCTIVE FILTER(S) means a filtering device of a design which primarily uses a SUPERCONDUCTIVE MATERIAL to perform the filtering of digital signals or RF signals by employing superconductive properties. Such SUPERCONDUCTOR FILTERS include circuits contained therein and, if provided therewith, supporting means, terminal members, packaging, housing means, and any environmental controlling means included within such housing means or unitary therewith.

SUPERCONDUCTIVE RESONATOR(S) means a resonating device of a design primarily to use a SUPERCONDUCTIVE MATERIAL to preferentially pass, reject or couple a band of digital or RF signals from one part of an electrical circuit to another by employing superconductive properties. Such SUPERCONDUCTOR RESONATORS include circuits contained therein and, if provided therewith, supporting means, terminal members, packaging, housing means, and any environmental controlling means included within such housing means or unitary therewith.

Type 1 licensed product means any device that uses a superconductive filter or superconductive resonator except a device that would constitute a Type 2 licensed product. For avoidance of doubt, such Type 1 licensed product may also include any assemblages or devices integrated with, included in the same housing means, or unitary with such superconductive filter or superconductive resonator.

Type 2 licensed product means a device that 1) uses a superconductive filter or superconductive resonator; and 2) is primarily designed to processes both received and transmitted signals in a wireless transmission system, where the processing of the transmitted signals is a substantial portion of the transit chain in a wireless transmission system; and 3) includes at least one transmit amplifier; and 4) the fair market value of such a device is at least forty thousand United States dollars ($40,000.00 U.S.).
