License Grant
This amendment removes the exclusivity for certain products.  For the DDX Technology, with respect only to the DDX Technology, the Dutch Licensee agrees to release Licensor from the exclusivity obligation and covenant undertaken by Licensor in the Agreement.

For the Full digital Audio Path, Licensor agrees to release Licensor from the exclusivity obligation and covenant undertaken by Licensee in the Agreement.

Under the original license, Licensor grants to the Dutch Licensee, under Licensors IP Rights, an exclusive, irrevocable, worldwide, nontransferable license within the Field of Exclusivity to use, operate, copy and modify, to make Derivative, the Licensed Technology.

License Property
Per the original agreement, the intellectual property rights relate to digital high efficiency audio amplification.

Product means the First Products, Future Products, and any other product that is a silicon manufactured device using the electrical properties of a p-n Junction and that is based on the Licensed Technology. Product may be in the form of a Die, packaged Die, or Die packaged with other Dice.

The licensor's patented all-digital, high efficiency Direct Digital Amplification (DDX®) technology Integrated Circuits (“ICs”) are used in a range of audio applications, including home theater systems, powered speakers, car audio, commercial audio, and PC multi-media.

DDX technology eliminates the DAC by using a patented signal processing technique to digitally control a high efficiency power device. This approach directly connects to digital audio sources, eliminates analog signal corruption and increases amplifier efficiency by over a factor of three compared to analog designs. The technology enables manufacturers to produce truly digital audio products that provide pure digital sound reproduction from the source to the speaker.

The IP Rights expressly include IP Rights under United States Patent No. 5,077,539, United States Patent No. 5,617,058.

Field of Use
This amendment alters the field of exclusivity.  The DDX and Full digital Audio Path are no longer exclusive.  The original agreement was exclusive for all applications involving amplification from a digital source providing any power output ( either greater or lesser than 1 (one) watt) to an acoustic driver load.

License Grant
The Company executed a cross licensing agreement with a UK based company. This cross license agreement is expanded by the parties to increase the fields of use to include aftermarket ground-based vehicles and aircraft sound systems and increased the royalties.
License Property
The Company patented flat panel transducer ('FPT') technology utilizes piezo electric drivers mounted on flat rigid surfaces to create a unique wide dispersion sound field. Unlike conventional speakers that deliver sound through air in a pistonic fashion, the FPT design delivers sound throughout the surface of the panel being driven. This distributed mode method of delivering wide dispersion sound is what NCT has termed Sweet Space(TM), which floods a room with sound. Uses for FPT technology include home theatre, professional, automotive and aircraft applications.
