License Grant
This agreement is to develop and commercialize certain of the antibodies produced and evaluated by the Parties pursuant to such collaborative relationship and/or other antibodies generated against the target proteins identified within the collaboration and selected by Licensee for development, and the Parties desire for Licensor to have all rights to those targets and antibodies coming out of the collaborative research that Licensee does not elect to further develop.

For the Screening license, Licensor grants a non-exclusive license under the Licensors Technology and Licensors interest in any Joint Know-How in the United States solely as necessary to carry out the Research hereunder during the Research Term.  Such license shall not be sublicensable.

License Property
Licensor has proprietary immunization and other methods for generating Mabs against cell surface proteins, and possesses certain proprietary cell lines or will acquire cell lines which have cell surface proteins with relevance to ovarian cancer.

Licensor Technology shall mean any Know-How that is and all Patents claiming inventions that are useful or necessary to generate and to screen Mabs binding to a Molecular Target, including without limitation methods of immunization, methods for maintaining and handling cell lines expressing Mabs, production and freezing media, and antibody screening facilitation tools including without limitation CellArrayâ„¢,  controlled by Licensor as of the effective date and during the term, and disclosed by Licensor to Licensee during the Term.

Joint Know-How shall mean any Know-How jointly invented by both Parties in the conduct of the Research, invented by Licensor in the conduct of the Research as a direct result of its use of Licensees Technology, or, invented by Licensee in the conduct of the Research as a direct result of its use of Licensors Technology.

Licensed Product shall mean any pharmaceutical product containing a Licensed Mab.

Cytotoxic Compound shall mean any Cytotoxic compound and all variants, fragments or derivatives thereof, whether produced by a botanical source, natural fermentation or chemical synthesis,  which is, in any case, controlled by Licensee.

Naked Mab Licensed Product shall mean any Licensed Product that is not a Cytotoxin-Coupled Licensed Product.

Antigen shall mean any protein, peptide or carbohydrate or other composition, and/or any fragment, peptide and/or epitope thereof which causes an immune response that produces antibodies.

Field of Use
The Major Indication shall mean an one of prostate cancer, breast cancer, lung cancer, colorectal cancer, non-Hodgkins lymphoma, bladder cancer, melanoma, uterine cancer, leukemia, kidney cancer, head and neck cancer, pancreatic cancer or ovarian cancer.

The Commercial Field shall mean therapeutic products employing Mabs, alone or in conjunction with other ingredients, to treat cancer in humans.

License Grant
Licensor grants a non-exclusive license, including the right to sublicense solely to Affiliates of Licensee, in the Territory under Licensor Use Patent Claims which are determined to include Infringing Claims for use in connection with Covered ODNs outside the Field to the extent otherwise not prohibited by this Agreement.

Licensor grants a non-exclusive license, including the right to sublicense to Permitted Sublicensees, in the Territory under Licensor Process Patent Claims for use in connection with the manufacture of Covered ODNs.

Major indication means First line treatment of breast cancer, second line treatment of breast cancer, first line treatment of NSCLC, first line treatment of colorectal cancer, and with respect to Japan only – first line treatment of non-Hodgkins lymphoma, prostate cancer and gastric cancer.

Intermediate indications mean all treatment non-Hodgkins lymphoma and prostate cancer (except for Japan), all treatment of Ovarian cancer, third-line treatment of breast cancer or later treatment of breast cancer,  second-line or later treatment of NSCLC, second-line or third-line  treatment of colorectal cancer.

Minor indication means all treatment of melanoma,  T cell lymphoma, renal cell carcinoma, pancreatic cancer, hematological malignancies (other than non-Hodgkins lymphoma), bladder cancer, uterine cancer, cervical cancers and any other cancers in the field.

Licensees Indication means the treatment, Control or prevention of cutaneous T cell lymphoma, including, without limitation, mycosis fungoides.

— all quantities of Biological Materials, including those in the possession or control of counterparties to Assigned Contracts;
— all clinical inventories of –X-1307 in the possession or control of Licensor as of the Effective Date; and
— the agreements that are Assigned Contracts.

License Property
Licensor owns or otherwise controls certain technology, including certain patents and know-how, relating to the use of antibodies in connection with the research and development of vaccines.

Anti-Mannose Product shall mean any pharmaceutical composition or formulation incorporating an Anti-Mannose Receptor HuMAb Antibody.

HuMAb Mouse® shall mean any of Licensors immunizable transgenic mice containing unrearranged human immunoglobulin heavy and light chain transgenes, each inserted into mouse chromosomes, but excluding the Additional Mice. HuMAb Mice® shall mean more than one HuMAb Mouse.

The patents relate to Anti-FcyRI (CD64) antibodies.

Field of Use
The field of use is the Antibody Targeting Technology Field.  The Antibody Targeting Technology Field shall mean the use of an antibody, or fragment thereof, whereby the antibody or fragment serves as a targeting means with respect to an Antigen-Presenting Cell for the purpose of modulating an immune response in any of the following manners
—  an antibody or fragment chemically attached or genetically fused to an antigen (including an antigen that is an antibody, or fragment thereof, that encodes an idiotype antigen), whereby the antibody, or fragment thereof, serves as a targeting means for delivering such antigen to an Antigen-Presenting Cell for the purpose of eliciting an immune response,
— an antibody or fragment chemically attached or genetically fused to a toxin or radionuclide, whereby the antibody, or fragment thereof, serves as a targeting means for delivering such toxin or radionuclide to an Antigen-Presenting Cell for the purpose of decreasing, down-regulating or eliminating the activity of such Antigen-Presenting Cell,

– an exclusive, worldwide right and license, under the Licensed Licensor IP Rights, other than the XenoMouse Know-How Rights, except solely to the extent necessary to enable Licensee to utilize Additional Technology applicable to such Collaboration Antigen, Antibody Technology, Collaboration Technology, Oncology Technology, Other Technology and Antigen-Specific Technology to Exploit Non-Licensed Products, other than Non-Antibody Products, XenoMouse  Patent Rights, Licensor Process Know-How Rights and Licensor Process Patent Rights, to Exploit Non-Licensed Products that bind to and are directed against such Collaboration Antigen for use in the Commercial Field.

For the Research and Development Program Licenses, with respect to each Collaboration Antigen, other than Discontinued Antigens or Failed Antigens, prior to the designation of a Candidate Drug that binds to and is directed against such Collaboration Antigen, Licensor grant to Licensee an exclusive, worldwide right and license, without the right to grant sublicenses, under and to the Licensed Licensor IP Rights applicable to such Collaboration Antigen, to conduct its obligations, and exercise its rights, under the applicable Research Program, Development Program.

For the Licensed Products, with respect to each Collaboration Antigen, other than Discontinued Antigens and Failed Antigens
— with respect to which a Candidate Drug has been selected, Licensor  grants the exclusive, worldwide, right and license, with the right to grant sublicenses through multiple tiers of sublicensees, under the Licensed Licensor IP Rights applicable to such Collaboration Antigen to Exploit Candidate Drugs that bind to and are directed against such Collaboration Antigen for use in the Commercial Field and, after Licensee has delivered an Election Notice to Licensor with respect to such Collaboration Antigen, all Licensed Products that bind to and are directed against such Collaboration Antigen for use in the Commercial Field, and,
— with respect to each Collaboration Antigen, other than Discontinued Antigens and Failed Antigens, with respect to which a Candidate Drug has been selected, Licensor grants the exclusive license and right of reference, with the right to grant sublicenses, under Licensors rights, titles and interests in and to any Registrations, to the extent not otherwise assigned, to Exploit Candidate Drugs and Licensed Products that bind to and are directed against such Collaboration Antigen for use in the Commercial Field.

For the Non-Licensed Products with respect to each Collaboration Antigen, other than Failed Antigens or Discontinued Antigens, Licensor grants
— the exclusive, worldwide, right and license, with the right to grant sublicenses, under Licensors right, title and interest in and to the Collaboration Know How Rights and Collaboration Patent Rights, Licensor Oncology Know-How Rights, Licensor Oncology Patent Rights, Licensor Other Know-How Rights, Licensor Other Patent Rights and the Licensor Subsequent Antigen-Specific Know-How Rights and Licensor Subsequent Antigen-Specific Patent Rights applicable to such Collaboration Antigen, and the other Licensed Licensor IP Rights solely to the extent necessary to enable Licensee to utilize Collaboration Technology, Oncology Technology, Other Technology and Antigen-Specific Technology, and,
— the exclusive, worldwide right and license, with the right to grant sublicenses, under the Licensor Prior Antigen-Specific Know-How Rights and Licensor Prior Antigen-Specific Patent Rights applicable to such Collaboration Antigen, in each case to Exploit Non-Antibody Products with respect to such Collaboration Antigen for use in the Commercial Field.

For the Antigen-Specific Technology, subject to any applicable Licensor In-License, with respect to each Discontinued Antigen, Failed Antigen and Non-Selected Antigen, Licensor grants
– the non-exclusive, worldwide right and license, with the right to grant sublicenses, under the Licensor Subsequent Antigen-Specific Know-How Rights and Licensor Subsequent Antigen-Specific Patent Rights applicable to each such Antigen to Exploit Non-Licensed Products, other than Non-Antibody Products, that bind to and are directed against such Antigen for use in the Commercial Field, and,
– the exclusive, worldwide right and license, with the right to grant sublicenses, under the Licensor Subsequent Antigen-Specific Know-How Rights and Licensor Subsequent Antigen-Specific Patent Rights applicable to each such Antigen to Exploit Non Antibody Products with respect to such Antigen for use in the Commercial Field.

For the Other Technology, Licensor grants a non-exclusive, worldwide right and license, with the right to grant sublicenses, under the Licensor Other Know-How Rights and Licensor Other Patent Rights for all purposes for use in the Commercial Field.

License Property
Licensor has rights in the XenoMouse® Animals, and other proprietary technology regarding the research, development, manufacture and commercialization of fully human monoclonal antibodies generated thereby.

Licensor Product shall mean a product containing an Antibody or Antibody Equivalent that binds to and is directed against a Discontinued Antigen or Failed Antigen.

Core Antibody Technology shall mean such Antibody Technology Controlled by Licensor that is Reasonably Necessary to complete the following portions of a Research Program generally in accordance with the template Research Program Work Plan, that has as its goal the delivery of Antibodies that meet the applicable Candidate Drug Target Profile criteria in accordance with industry standards
— the immunization of XenoMouse Animals,
— the generation of Antibodies from such XenoMouse Animals, and,
— the initial characterization of such Antibodies, consisting of binding such Antibodies to an antigen, epitope binning, as described in International Patent Application No. WO 03/48731, kinetic ranking, as described in International Patent Application No. WO 03/48730), affinity measurement, by BiaCore and KinExA, and sequencing; in each case as customarily practiced by Licensor, utilizing Licensor standard techniques and materials, other than transfer vectors
proprietary from Third Parties, for hybridoma or XenoMax Technology approaches.

Field of Use
The collaboration is for the development of antibody therapeutics for the treatment of oncology.
This alliance involves the joint discovery and development of therapeutic antibodies for up to 36 cancer targets to be commercialized exclusively worldwide by Licensee .

License Grant

License Grant

Licensor owns or controls intellectual property rights relating to certain drug conjugation and linker technology.

The licensors patents and technology are for Antibodies, Research Antigens, Exclusive Antigens, and Jointly-Invented Inventions Related thereto.

Antigen means any protein, including any glyco- or lipo-protein, carbohydrate, compound or other composition, and any fragment, peptide or epitope thereof, to which an antibody hinds.

Product means any and all products where the manufacture, sale or use of such products would have constituted a misappropriation of Drug Conjugation Technology, Licensor Know-How, Improvements or New Technologies, and/or an infringement of the Licensed Patents but for the licenses granted in this Agreement.

The binding of an antibody to the surface of a cancer cell rarely induces cell death by itself.  Enhancing the potency of antibodies through the linkage of drug payloads provides a means to selectively kill cancer cells while limiting damage to normal tissue.

Field of Use
The Parties will collaborate to use Licensor's toxic payload technology with Licensee's proprietary monoclonal antibodies directed against novel cancer targets derived from their analyses of the human genome.

Collaborator Patent Right means any Patent Right that (a) is Controlled by Collaborator or any of its Affiliates as of the Effective Date (including the Collaborator Patent Rights that comes into the Control of Collaborator or any of its Affiliates during the Term (other than through the grant of a license by Licensee) and (b) claims or discloses any (i) Antibody or Product (including the composition of matter thereof), (ii) method of making any Antibody or Product or materials used in any method of making any Antibody or Product, or (iii) methods of using any Antibody or Product.

Collaborator Technology means the Collaborator Patent Rights and Collaborator Know-How.

Patent Rights means any and all (a) issued patents, (b) pending patent applications, including all provisional applications, substitutions, continuations, continuations-in-part, divisions and renewals, and all patents granted thereon, (c) patents-of-addition, reissues, reexaminations and extensions or restorations by existing or future extension or restoration mechanisms, including patent term adjustments, patent term extensions, supplementary protection certificates or the equivalent thereof, (d) inventor’s certificates, (e) other forms of government-issued rights substantially similar to any of the foregoing and (f) United States and foreign counterparts of any of the foregoing.

1. The Identification and Selection of individual Human B cell donors
Pre-requisites to I-STAR screen
• Initiate blood (B cell) collection program for non-small cell lung carcinoma.
• 200 donors to be screened serologically prior to selection for I-STAR memory B cell activation.
• Perform serum binding assay against NSCLC tumor cell lines.
• Selection of top 50 subjects/ B cell donors with serum reactivity against NSCLC tumor cell lines for IgG+ memory B cell isolation and activation (I-STAR platform). Subject selection to be done by Pfizer/ Theraclone joint project team.

2. I-STAR process for selection of native human bNAbs
I-STAR Antibody Discovery Platform
• Perform activation of short-term memory B cell cultures (B cell expansion and differentiation) from a total of 50 selected individuals.
• 2000-20,000 native human memory B cell clones from each of  50 selected donors to be activated in vitro in preparation for screening assay.
• Perform a two step screening process to identify NSCLC binding antibodies.
o Primary screening by a high-throughput cell binding assay with NSCLC tumor cell lines using supernatant from cultured B cells. Primary screens will provide initial identification of antibody binding of up to 10 tumor cell lines. The NSCLC tumor cell lines will be chosen by the Pfizer/ Theraclone joint project team. Screening will utilize pools of three to four tumor cell lines to increase throughput.
o Perform secondary screens on tumor cell line binding antibodies. Secondary screens will assess binding to NSCLC tumor cell lines by suitable techniques, and lack of binding to a normal cell line. Normal cells lines will be chosen by the joint project team.
• Deep sequencing of up to 2,880 hit wells to be performed and sequence analysis allowing clustering of hits into bins (based on V-region (VH / VL sequences). All DNA and amino acid sequences delivered to Pfizer.
• Joint project team to prioritize up to 200 mAbs for small scale expression.

3. Generation of recombinant mAh protein and re-screening against target cells
• Generation (expression and purification) of transiently transfected full-length, human mAbs from mammalian cells in an appropriate human IgG format for up to 200 target antigen positive V-region hits.

In a number of laboratory models, epcoritamab has shown highly effective killing of CD20+ tumors and induced potent tumor cell lysis across a panel of B cell tumor lines. Epcoritamab is currently evaluated in a Phase 1/2 study for multiple hematological B cell malignancies.

The companies will partner to develop Licensor’s next-generation bispecific antibody programs, epcoritamab (DuoBody®-CD3xCD20), DuoHexaBody®-CD37 and DuoBody-CD3x5T4. The collaboration combines Licensor’s world-class discovery and development engine and next-generation bispecific antibody therapeutic candidates with Licensee’s deep clinical expertise, innovative antibody-drug conjugate (ADC) platform and global commercial leadership in hematological cancers. Licensor’s DuoBody-CD3 technology engages and directs cytotoxic T cells selectively to tumors to elicit an immune response towards malignant tumor cells. Licensor is a biotechnology company specializing in the creation and development of differentiated antibody therapeutics for the treatment of cancer. Licensors technology base consists of validated and proprietary next generation antibody technologies – the DuoBody® platform for generation of bispecific antibodies, the HexaBody® platform, which creates effector function enhanced antibodies, the HexElect® platform, which combines two co-dependently acting HexaBody molecules to introduce selectivity while maximizing therapeutic potency and the DuoHexaBody® platform, which enhances the potential potency of bispecific antibodies through hexamerization.

Field of Use
The field of use is for the treatment of cancer utilizing antibodies. Licensor Background Technology means any and all Know-How and Patent Rights owned by Licensor as of the Effective Date or that come to be Controlled by Licensor during the Program Term (other than the Program Technology) and, in particular, any such Patent Rights and Know-How Covering any Collaboration Target, Program Antibody or Collaboration Product, that are necessary for (a) research related to Collaboration Target(s) or (b) Research and Development, Manufacture or commercialization of Program Antibody(ies) or Collaboration Product(s). For the avoidance of doubt, the Parties acknowledge that, to the extent any Licensor Background Technology is covered by a license or other agreement with a Third Party, such Licensor Background Technology shall, for all purposes of this Agreement, be subject to the limitations, restrictions and financial obligations established in such Third Party license or agreement, with Licensee being responsible for payment of the portion of the financial obligations related to this Agreement arising as a result of the Collaboration. Licensor Background Technology excludes the Human Engineeringâ„¢ Technology.

Antibody means any immunoglobulin molecule whether in monospecific or any other form and shall include, without limitation, immunoglobulin fragments, such as Fv, Fab, F(ab’) and single-chain antibodies.

Program Antibody means an Antibody Product that (a) is identified or discovered by Licensor in the course of the Collaboration, or (b) the Parties agree to acquire from a Third Party, and, in the case of clauses (a) and (b), selectively binds to and acts through a Collaboration Target; provided, however, that in no event shall an Antibody Product that is subject to one or more Pre-existing Obligations become a Program Antibody unless such designation is affirmatively agreed to by the Joint Steering Committee after disclosure of the nature of such Pre-existing Obligation(s) by the applicable Party, such agreement not to be unreasonably withheld or delayed.

Antibody Product means any composition of matter or article of manufacture consisting essentially of an Antibody (a) alone or (b) integrally associated with a composition of matter or article of manufacture (including without limitation conjugates bound to a toxin, label or other moiety) providing therapeutic, half-life, safety or other advantages to the Antibody.

Program Patent Rights means any Patent Rights Controlled by a Party or jointly by the Parties that Cover any Program Technology or Program Materials.

Patent Rights means all patents and patent applications existing as of the Effective Date and all patent applications thereafter filed and patents thereafter issued, including, without limitation, any continuations, continuations-in-part, divisionals, provisionals or any substitute applications, any patent issued with respect to any such patent applications, any reissue, reexamination, renewal or extension (including any supplemental protection certificate) of any such patent, and any confirmation patent or registration patent or patent of addition based on any such patent, and all foreign counterparts of any of the foregoing.

Field of Use
Field means any and all uses except, until the expiration or termination of the Chiron Exclusivity Period, the diagnosis, prevention, control or treatment of Cancer.

(A) to perform research within the Research Field upon each such BMS Selected Target, including using such Licensee Selected Target to search for Collaboration Compounds,
(B) to develop, and make or have made for use in the Development Field, Licensee Products comprising or incorporating Collaboration Compounds,
(C) to develop, following the commencement of a clinical trial of a Licensee Product in the Development Field, such Licensee Product for any human indication, and
(D) to make, have made, use, import sell offer to sell and have sold Licensee Products.

For Assays, Licensor grants an exclusive, worldwide license, under any Licensor Know-How and Patents covering the composition or use of one or more Assays;
(A) to make and have made such Assay,
(B) to use each such Assay to search for, make and have made
– (1) Collaboration Compounds with activity against the Licensee Selected Target for which such Assay was developed, and
– (2) compounds that lack activity against the Licensee Selected Target for which such Assay was developed,
(C) to develop, and make or have made, for use in the Development Field, and in any defined field licensed by Licensee, Licensee Collaboration Products, and
(D) to develop, following the commencement of a clinical trial of a Licensee Collaboration Product in the Development Field, such Licensee Collaboration Product for any human indication. Such license shall convert to a nonexclusive license, on an Assay-by-Assay basis, on the earlier of the date that is twenty (20) years after the end of the Research Term, or the Licensee Selected Target relating to such Assay becomes an Abandoned Target and is selected by Licensor as a Licensee Selected Target.

For Lead Compounds/Back-Up Compounds, Licensor grants a worldwide, license, under any Licensor Know-How and Patents during the term of this Agreement covering the composition, manufacture, or use of a Lead Compound delivered to Licensee or a Back-up Compound for such Lead Compound;
(A) to make derivatives of such Lead Compounds and Back-up Compounds,
(B) to research, develop, and make or have made for use in the Development Field, Licensor Collaboration Products comprising or incorporating such a Lead Compound or Back-up Compound or derivative thereof,
(C) to develop, following commencement of a clinical trial of such a Licensor Collaboration Product in the Development Field, such Licensee Collaboration Product for any human indication, and
(D) to make, have made, use, import, sell, offer to sell and have sold such Licensee Collaboration Products.

For Pharmacogenomic Uses, Licensor grants a nonexclusive, worldwide license, under the Licensor Know-How and Patents covering the composition, manufacture or use of any Selected Target of either Party, to use such Selected Target in the research, development, manufacture, use, import, sale and offer for sale of a Pharmacogenomic Product for use
(A) in connection with the research, development, manufacture, use, import, sale and offer for sale, for any indication, of a Licensee Product or a product that modulates the same Selected Target as such Licensee product via substantially the same molecular mechanism of action (a Target Product), and
(B) in the labeling, promotion, and registration of any Licensee Product or Target Product for any indication.

For Negative Screening Using Licensor Targets, Licensor grants a non-exclusive, worldwide, bearing license under any Licensee Patents and Know-How covering the
composition, manufacture, or use of an Licensor Selected Target, to use such Licensor Selected Target solely in secondary screening assays developed by or for Licensee to identify, research and develop Collaboration Compounds and Licensee Products that lack the ability to inhibit, activate or otherwise modulate the activity of such Licensee Selected Target.

Foe Licensor Validation Protocols and Reagents, Licensor grants a non-exclusive, worldwide license under the Licensor Know-How and Patents relating to;
(A) the Licensor validation protocols and reagents listed and
(B) all validation protocols and reagents that are developed by Licensor in the course of performing its duties under the Research Plan, to use same for all purposes.

For Improvements to Licensee Validation Protocols and Reagents, Licensor grants a non-exclusive, worldwide license under the Licensor Know-How and Patents to use for all purposes, all improvements to the validation protocols and reagents licensed by Licensee that incorporate or contain any of such validation protocols and reagents licensed by Licensee.

Regarding Target Inventions
– Licensor grants an exclusive, worldwide license, under the Target Inventions invented solely by Licensee and all Patents Controlled by Licensor that claim such Target Inventions, to use such Target Inventions for all purposes other than those for which
Licensor has exclusive rights.

– Licensor grants a worldwide license, under the Target Inventions invented jointly by the Parties and all Patents Controlled by Licensor that claim such Target Inventions, to use, without any accounting or obligation to, or consent required of Licensor, such Target Inventions for all purposes other than those for which Licensor has exclusive rights. The foregoing license is exclusive, with respect to Licensee Selected Targets, for those purposes for which Licensee has exclusive rights; such license is co-exclusive for all other permitted purposes.

Licensor is a multinational biotechnology company that has expertise and proprietary
technology relating to genetic model systems, functional genomics and computational biology and is applying such technology to discover and validate targets for drug discovery in a variety of disease areas.

Collaboration Compound means any molecule that
(a) has a molecular weight less than or equal to one thousand (1,000) daltons,
(b) is known, prior to the initiation of the first clinical trial for a Product containing such molecule, to have the ability to directly inhibit, activate or otherwise modulate the activity of a Selected Target, or inhibit, activate or otherwise modulate the activity of a Selected Target or its encoded protein in an assay measuring the activity of such Selected Target, and
(c) such ability is identified by or on behalf of a Party or its Affiliate or sublicensee, after the selection of a Selected Target by such Party, through the use to any material extent of such Selected Target or any Information relating to such Selected Target.

DPI Orthologue means a human orthologue.

Eligible Target means a human gene that is
(a) a human orthologue of a Model System Target,
(b) identified prior to the Research Term and during the Research Term or, after the end of the Research Term;
(c) not subject to any previously granted, prior to the identification of such gene as a human orthologue of a Model System Target, and currently in effect license from
Licensor to a Third Party for such Third Party to use such gene or its encoded protein for research in the Research Field or development, in the Development Field, of a small molecule product directed at such gene or its encoded protein or to make, use, import, offer for sale or sell such a product; provided, that so long as such license is not exclusive, the Licensee members of the JSC may elect to waive the requirements under this subsection (c) as to any given gene, and
(d) either not claimed in an issued Third Party patent covering its composition of matter or method of use in oncology,

Model System Target means an invertebrate or non-human, vertebrate gene.

Phenotypic Screen means a screen performed in a wild-type cell or organism in which certain genes are turned on or off and the effect thereof is measured through the use of an assay that measures a biological response in the Research Field.

Field of Use
Research Field means cancer research regarding
(a) growth regulation,
(b) cell cycle control,
(c) DNA damage response,
(d) cell survival,
(e) cell adhesion, or
(f) apoptosis as they pertain to cancer, as well as the adenomatous polypossis coli gene (apc} For clarity, the Research Field does not include angiogenesis/lymphangiogenesis research or research regarding cell motility or cell-cell communication (it being understood that cell-cell communication does not encompass cell adhesion which shall be included within the Research Field.

Development Field means the treatment or prophylaxis of any type of human cancer.

The Parties are establishing a collaboration to apply such Licensor technology and expertise to the identification and characterization of biochemical pathways and targets in specific research areas relevant to cell growth and proliferation, to generate small molecule therapeutic or prophylactic compounds directed against such targets, and to provide for the development and commercialization of novel therapeutic and prophylactic products based on such research.  In a cooperative effort that will leverage each Licensees technology and expertise in the fields of genomics and target validation, Licensor will identify and validate molecular targets that trigger cell death in cancer cells, while leaving normal cells unharmed. Licensee will then further validate these targets in human models.

Major indication means First line treatment of breast cancer, second line treatment of breast cancer, first line treatment of NSCLC, first line treatment of colorectal cancer, and with respect to Japan only – first line treatment of non-Hodgkins lymphoma, prostate cancer and gastric cancer.

Licensors Indication means the treatment, Control or prevention of cutaneous T cell lymphoma, including, without limitation, mycosis fungoides.

Field of Use
The field of use includes the treatment, Control or prevention of cancer in humans.

Compound means any native, mutated, or chimeric protein or peptide therapeutic that directly modulates a Target (a 'Target Modulator') and was identified, and such modulation confirmed, by Licensor or Licensee in the performance of the Research Collaboration. For clarity and purposes of this Agreement, antibodies, antibody fragments, chemical compounds, antisense therapeutics, RNA and DNA therapeutics are not Compounds or Target Modulators.

For the General Grant to the German Licensee, Licensor grants an exclusive license, including the right to sublicense through multiple tiers, under the Licensor Technology, Licensor Platform Technology, Licensor Manufacturing Technology and Licensors interest in the Joint Technology, to Develop the Product in the Licensees Territory in the Field; and during the Term, an exclusive license, including the right to sublicense through multiple tiers, under the Licensor Technology, Licensor Platform Technology, Licensor Manufacturing Technology and Licensors interest in the Joint Technology, to Commercialize the Product in the Field in the Licensees Territory; and during the Term, a non-exclusive, perpetual, worldwide license under the Licensor Technology, Licensor Platform Technology, Licensor Manufacturing Technology and Licensors interest in the Joint Technology, to perform Development Activities in the Licensor Territory solely in accordance with the Development Plan and for Sole-Funded Activities by Licensee.

For the Manufacturing Grant to Licensee, Licensor grants a co-exclusive license, including the right to sublicense through multiple tiers, under the Licensor Manufacturing Technology, Licensors interest in the Joint Technology, Licensor Patents and the Licensor Platform Technology, to Manufacture the Product for Development worldwide in the Field and for Commercialization in the Field in the Licensee Territory.

By this agreement, Licensor will have the exclusive commercialization rights in the United States and Canada and Licensee will have the exclusive commercialization rights in the rest of the world.

Licensor has developed and is currently further developing the novel compound xx414.

Compound xx414 means a bispecific polypeptide containing a Prostate Specific Membrane Antigen or PSMA Binding derived from murine antibody 107-1A4 and a CD3 Binding Domain derived from murine antibody CRIS-7 (xx414), and any back-up or follow-on compound comprised of a PSMA Binding Domain with or without other Binding Domains, including both a PSMA Binding Domain and a CD3 Binding Domain or both a PSMA Binding Domain and a Binding Domain other than CD3 Binding Domain; and any modification or derivative of the foregoing (including conjugated or mono/multi-specific forms thereof).

CD3 Antigen means the T cell receptor (TCR) complex or any one or more of the CD3 group of cell surface molecules found on T-cells, including TCRa, TCRb, CD3y, CD3d, and CD3e.

CD3 Binding Domain means a Binding Domain that binds the CD3 Antigen and which has greater binding selectivity for the CD3 Antigen versus other antigens (and, for purposes of this definition, disregarding any residual binding activity).

Product Inventions means all Inventions relating to a PSMA Binding Domain, including Inventions relating to composition of matter, method of use and method of manufacture of the Product.

PSMA Antigen means prostate specific membrane antigen (PSMA), also known as the enzyme glutamate carboxypeptidase II (GCPII), N-acetyl-L-aspartyl-L-glutamate peptidase I (NAALADase I), or NAAG peptidase.

The collaboration agreement is for the joint worldwide development and commercialization of MOR209/ES414, a targeted immunotherapeutic protein, which activates host T-cell immunity specifically against cancer cells expressing prostate specific membrane antigen, an antigen commonly overexpressed on prostate cancer cells.

The mAb is novel, proprietary, and fully human. This could be either directly, such as (i) recruitment of immune effector functions, including, but not limited to, antibody-dependent cellular cytotoxicity, or ADCC, or (ii) antagonistic suppression of cellular signaling processes required for cancer proliferation and metastasis; or indirectly, via modulation host biology, such as (a) enhancement of immune activity in the tumor, or (b) normalization of the tumor microenvironment, including anti-angiogenesis for cutting off blood supplies to the tumor.

License Grant
Licensor grants, in the Field and within the Territory
– an exclusive right and license, with the right to sublicense, under Licensor’s interests in any Program Patent Rights and Program Technology relating to a Program Antibody, to make, have made, use, sell and import such Program Antibody;

Licensee has designated VEGF-A the initial Target, and Licensor has accepted such Target into the Collaboration.

VEGF-A means the 165 amino acid polypeptide known as Vascular Endothelia Growth Factor-A, or any variant form thereof.

Field of Use
The antibodies are for use in the prevention or treatment of human diseases and conditions.  Field means the diagnosis, prevention, control and treatment of any human disease or condition excluding, until the expiration of the Chiron Exclusivity Period, Cancer. Upon expiration of the Chiron Exclusivity Period, Cancer shall immediately be included within the Field.
