License Property
The equity partnership deal calls for the development of hydrogen storage devices that could make future fuel cell electric vehicles competitive with today's gasoline vehicles in terms of range.

Fuel Cell System means a cell or cells, and/or its/their related customary support equipments, for the electrochemical generation of electricity from hydrogen and oxygen, or generation of hydrogen from electricity and water, including fuel cells and any other devices that generate electricity from hydrogen or hydrogen-rich fuel, electrolyzers and any other devices that generate hydrogen from water, and, fuel processors and any other devices that produce hydrogen from hydrogen-containing materials other than water.

Licensor Interface Technology means Interface Technology used specifically to integrate the Licensee Products with the Licensor Products, created during the performance of a Licensor Program.

Licensor Modifications means any and all Intellectual Property pertaining to the Licensee Products developed solely by Licensee during the performance of a Licensor Program.  

Licensor Product means a Fuel Cell System, and such related products that have been developed by or for Licensor using Intellectual Property owned or controlled by Licensor, or under which Licensor has rights, prior to the commencement of the relevant Project.

Licensor Program means a specific agreed cooperative activity under the purposes contemplated in this Development Agreement, and described in a Statement Of Work, the results of which are intended to facilitate the integration, interface, and optimization of the Licensee Products/Licensee Technology/Licensor Modifications for exclusive application to Licensor Fuel Cell Systems/Licensor Products/Licensor Technology/Licensee Modifications.

Licensor Program Technology means any and all Intellectual Property in each case created, conceived, discovered, developed and/or invented by or on behalf of one or both of the Parties during the performance of a Licensor Program ( excluding Licensor Interface Technology). Licensor Program Technology, for purposes of this Development Agreement, can be further divided into Licensor Technology, Licensor Modifications, Licensee Technology, and Licensee Modifications.

Licensor Technology means any and all Intellectual Property pertaining to the Licensor Fuel Cell Systems developed solely by Licensor during the performance of a Licensor Program.

Generic Interface Technology means Interface Technology that is conceived or first reduced to practice in the course of the work performed pursuant to this Development Agreement and is generally applicable, or common, to many interface technologies, but not specific to any one such technology. Hence, Generic Interface Technology would include general principles/concepts relating to interfacing, but not include the specific Licensor configuration that is Licensor Interface Technology, or specific Non-Licensor configurations that are Non-Licensor Interface Technology.

Non-Licensor Interface Technology means Interface Technology, other than Licensor Interface Technology, that is used specifically to integrate Licensee Products with non-Licensor Fuel Cell Systems.

The licensee patents include, but is not necessarily limited to, engine injection systems and devices.

Field of Use
Licensee designs, develops and manufactures advanced gaseous storage and handling systems and sub-systems for Fuel Cell Systems, for use in transportation, mobile, stationary, portable and infrastructure applications.

In comparison to other means of producing hydrogen, we believe our products provide more efficiency, lower emissions, lower capital costs and greater fuel-flexibility.  Our proprietary UOB-TM- system produces hydrogen from hydrocarbon feedstocks, such as natural gas, propane, diesel and gasoline, and can be utilized as an on-site source of hydrogen in a variety of applications.
