License Grant
The Canadian Licensor granted the Licensee an exclusive, non-transferable, non-sub licensable license to manufacture, sell, represent, market, distribute and advertise the Licensed Products within the Territory and shall include access to, and use of, the Licensors Licensed Products and Services, Marks, Manuals, brands, and the business format, formulations, methods, specifications, standards, and operating procedures in the field of pet products.
License Property
'Marks' means the trade names 'Apawthecary Pets', the trademark 'Apawthecary Pets USA' (with a disclaimer for the word '. com'), together with such other trade-names, trade-marks, symbols, logos, distinctive names, service marks, certification marks, logo designs, insignia or otherwise which may be designated by Licensor and not thereafter withdrawn.

The Licensor exclusively owns the brand and property rights to a distinctive pet line of products for treats, skin care and treatments for pets.

Field of Use
The Licensee will manufacture, distribute and sell all of Licensors current and future intellectual property, including formulas, extraction, research, and development technologies applicable to the pet products.

License Grant
The Canadian Licensor hereby grants to the Licensee the exclusive right and license to utilize and exploit the Trademarks, Domain Name and Know-How in connection with the distribution, marketing and sale of Products in the Territory, including but not limited to

(a) distribute, use, market and sell the Products covered by the Trademarks so manufactured;
(b) use the Trademarks in conjunction with and as they relate to the Products and all advertising, packaging and promotional material;
(c) use and exploit the Domain Name in the distribution, marketing and sale of the Products;
(d) use and exploit the Know-How in the distribution, marketing and sale of the Products.

License Property
Licensor is the owner of certain trademarks, trade names, registrations, and/or applications therefore as well as all rights therein and all technical knowledge with respect to products produced or marketed in connection therewith, as further set forth in this Agreement;

Products shall be deemed to be all cosmetics and cosmetics-related products sold under the Trademarks and the trademarked names and similar products developed and sold now or in the future under the Trademarked names or the Trademarks.

“Know-How” includes, among other things, all technical information, procedures, processes, trade secrets, formulae, methods, practices, techniques, information, diagrams, drawings, specifications, blueprints, lists of materials, labor and general costs, production manuals and data relating to design, manufacture, production, inspection and testing of the Products known.

Trademarks shall refer to those trademarks, service marks, imprints, logos, trade dress and trade names whether or not registered, and all issued registrations, pending applications, or future applications relating to the name Nacara and other names used by Nacara for its Products.

Field of Use
The Products include a full line of cosmetic products aimed at women with darker complexions and is currently available in Canada at drugstores including Pharmacie Jean-Coutu and Shoppers Drug Mart and in France at retailers including Galeries Lafayette, Marionnaud, Nocibé and Beauty Success.

License Grant
The Canadian Grantor grants to the Licensee the exclusive license in the Territory to use the Technology for use and sale of the Product within the Territory.  The Company was granted the right to acquire the exclusive license to market and distribute the PetsCell Technology and the PetsMobility brand products and services in the pet industry.
