The Company entered into an exclusive license agreement with the Japanese Licensee primarily licensing its Sprocket, Immersive, and Lifestyle Patents in a predetermined territory.

The Company’s signature product, the Sprocket, is a unique technology and robust patent portfolio.   The platform enables users to connect to internet-based content on any type of device.

The Sprocket can be easily downloaded onto any type of device (such as mobile phone, tablet, laptop, smart TV, VR and AR devices, gaming consoles etc.) and then easily customized to provide the user with access to all web-based content, social media outlets, video-based content, private networks, social networks, personalized files, intelligent search, and virtually all other media. In short, the Sprocket provides easy and expedited access to content in the manner and choices selected by the user.

The Sprocket also provides detailed analytics and data on the end-users, delivering tremendous value as a marketing tool to the content providers and advertisers.

Mobile technologies are accelerating the adoption of products and services designed to stimulate our human senses with realistic feedback that is truly immersive and that allows intuitive interactions and focused on the intersection of cloud-based cross platform applications synchronized across all screens for enhancing the digital lifestyle.

The technology of Virtual Reality can reshape existing forms of entertainment and commerce.

“Technology” shall be defined for the purposes of this agreement in its broadest sense as the development methods, programming languages, source code, object code, software applications, underpinnings and tools to that may be used in the development of software related to wearable products and services.

It is the desire and the intention of the parties that the Licensee be permitted to use the Licensed Works solely for its app and online Website.

A technology development and licensing company that holds an extensive portfolio of patents across multiple technology market verticals, announced on November 2, 2015 that it has entered into an Exclusive License Agreement with another party to build the Company’s Apple Wearable platforms.

Licensor has developed and maintains the US and foreign patent rights to a digital dashboard/navigation tool, a software solution commercially known as “Sprocket”.

Technology means the Method and Apparatus for digital dashboard/navigation software solution and any accompanying proprietary software, hardware, apparatus, intellectual property, and/or know-how developed and/or created by Licensor during its creation of the software or as part of the Patent Technology.

The Sprocket is an industry leading, intuitive, immersive consumer experience for all webbased activity, and allows for the personalization of all content, whether public or private, in a unique, accessible way.

Sprocket is an intuitive user interface making access to all content from any device in a simple, consistent format, has enabled the search and identification of any object and image in all video and digital media, and has developed a platform for mobile transaction including the integration of payments, money transfers, coupons and gifts.

This agreement is a key ingredient to launching the trailblazing technology and its signature product.  The product will enable users to be in touch with their personal and global community of contacts anytime, anywhere, while having a mobile lifestyle that’s more centralized and easier to use due to this unique Platform.

Licensor, who becomes the majority shareholder of Licensee with this agreement, grants to Licensee of Hong Kong, a domestic and international Non-exclusive license to make, use, copy, have copied, sell, have sold, and distribute products and services based upon the Technology and any and all Derivative Works in Licensee’s Field of Use, together with a right to grant sublicenses.

Field of Use

Licensee is engaged in the process of developing a software platform and mobile container product for commercial customers and desires to License the Licensor’s digital dashboard/navigation software solution commercially known as “Sprocket”; and to obtain modification and adaptation of the program to its particular needs.

License Grant

The Licensor grants the Licensee a nontransferable, non-sub licensable, limited right to remotely access the proprietary Licensor Software which includes the web based hosted software platform.

The Licensor grants the Licensee a perpetual, non-exclusive License to access, use, exploit and commercialize the patent pending and Licensed AR technology as enhanced, modified, improved or replaced from time to time, for all purposes consistent with the Licensee's business plans anywhere where Licensee does business throughout the world.

The Licensor has a patent pending augmented reality (AR) technology that allows businesses to upload a target image such as a logo or advertisement and allows users to point a mobile device at such target and view an AR video or image.

Augmented reality (AR) is a live, copy, view of a physical, real-world environment whose elements are augmented (or supplemented) by computer-generated sensory input such as sound, video, graphics or GPS data. It is related to a more general concept called mediated reality, in which a view of reality is modified (possibly even diminished rather than augmented) by a computer.

Field of Use

The Licensee is a performance-based online video marketing company.

The Licensee desires to License the AR technology and to utilize the software services offered by the Licensor in a branded mobile application to be designed and built by the Licensor.

The Licensee's Mobile Engagement System will include an augmented reality (AR) user interface that will allow businesses to make their printed images “come to life” in video. This is accomplished through image recognition technology that causes an image to be recognized by a smart phone or similar mobile device when the Engage AR app has been downloaded and the device is held up to the image. At that moment the image is sent to the cloud where it is associated with a particular video asset and a video is then played for the user on top of the printed image. The video asset is created, selected and managed by the business owner through our back end Mobile Customer Relationship Manager (MCRM).

License Grant

The Licensor announced today that it has reached a settlement in its patent infringement dispute with the Licensee.

The Companies have entered into a settlement and a licensing Agreement which end all outstanding litigation between the two companies.
