License Grant

The Licensor finalized an agreement with Japanese companies to form a company to market to processing fly ash from solid waste incinerators.  The agreement grants the joint venture the exclusive right to introduce CEP to the Japanese municipal incinerator ash market.

License Grant

Licensor hereby grants to the Licensee a Non-Exclusive (except as otherwise limited herein) license to the Invention, the Patent Rights (including any Foreign Patent Rights), now held or hereafter acquired, to develop, invent, make or have made, use, promote, distribute, sell and sub-license the Invention, and to use and sub-license the Invention, the Patent Rights and the technology and inventions inherent therein for Licensee Applications involving the Licensee Wastes and By-Products set forth above within the Territory defined below; provided, however, that Licensee may only sublicense the Invention and Patent Rights and the technology and inventions inherent therein to Licensee portfolio companies and affiliates and only for so long as they remain portfolio companies and affiliates Hereinafter the foregoing grant license, taken in conjunction with the grant in Section 2(b) below, is referred to as the License.  Licensor has invented new patented and patent-pending implementations of a vapor compression water distillate process and a new Clean Water Appliance (collectively, the Invention), with possible applications in activities relating to the Licensee Applications, as such term is hereinafter defined.

Licensee Wastes and By-Products

Hazardous Wastes. Wastes that are hazardous or otherwise harmful to human and animal health and the environment, including medical or other biologically active wastes;

Brownfield Wastes. Wastes that derive from environmentally impaired real property, including fixtures on or any appurtenances to such property;
•
Municipal Solid Wastes. Wastes that derive from the centralized processing, storage, disposal and/or incineration of by-products, garbage, trash or other discarded materials;
•
Human Waste. Wastes that derive from the centralized processing of sewage at municipal or other sewage treatment plants;
•
Agricultural Waste. Wastes that derive from farming activities, including the production of crops and raising livestock, and including septic wastes and other wastewaters deriving from livestock and meat processing;
•
Food Service Waste. Wastes that derive from the preparation of food and other related activity at establishments that prepare and/or serve food;
•
Mining Wastes. Wastes that are or derive from mining activity, mining tailings and/or acid mine drainage.

The rights granted apply to wastes and by-products.

License Grant

The Companies have agreed to expand M4 Environmental's Catalytic Extraction Processing (CEP) technology licensing rights to include Japanese chemical weapons; processing chemical weapons.

License Property

Catalytic Extraction Processing ('CEP') dissolved waste compounds to their constituent elements in a molten metal bath and reconfigure the elements into useful raw materials.

License Grant

The Agreement further provides Licensee and its affiliates, the right at Licensee's option to become an operator of certain Licensor waste to energy plants as well as a distributor, on the condition that should Licensee or any of its affiliates elect to become an operator of one or more Licensor waste to energy system plants

The Licensee was appointed as exclusive distributor for the Licensor's waste to energy systems in North America, provided however, the Licensor, or its affiliated companies shall be entitled to establish their own or joint venture with third parties up to 10 waste to energy system plants in the territory.

The “QES Systems” is a non polluting energy conversion and waste disposal system designed to convert organic waste to fuel and valuable by-products such as activated carbon, fertilizer, producing no measurable air pollution or ash to be land filled.

License Grant

The Company entered into a Licensing Agreement with the Licensor for exclusive licensing rights for technology relating to the processing of organic waste to marketable by-products via the Advanced Pyrolysis System 200 (“APS200”).
The Company will have exclusive rights to sub-license, establish joint ventures to commercialize, use and process organic waste, and sell related by-products in the territory of Jamaica, WI.

The APS200 system is designed to handle commonly generated waste stream, whether liquid, solid, mixed or unmixed (including whole tires, all types of plastics, e-waste, shredder residues, sewage sludge, animal wastes, biomass, ligneous and infectious biohazard medical waste) and represent an environmentally friendly and commercially viable alternative to traditional methods of processing waste. The solutions are commercially viable ecological recycling models based on zero-waste philosophy. We will initially be focused on using the application for processing waste tires for conversion to biochar and fuel oil.

License Grant

Japanese Licensor grants to Licensee the exclusive right to use the Technology to make, have made, use and sell the Licensed Products and practice Licensed Method in Malaysia.

License Property

Certain inventions, generally characterized as the Amanasu Plasma Furnace Technology, is a positive ion breeder incinerator process that converts domestic and industrial wastes to atoms through very high temperature plasma exposure.  The process leaves about 2% residue of inert slag pellets that may be used for road fill.  The process produces oxygen and no dioxins, carbon or other emissions, and has now been perfected for commercialization by Licensor.

The rights granted apply to Furnace Technology.

License Grant

The Licensor entered into a Sub-License Agreement with the Sub-Licensee, to grant exclusive rights to sub-License, establish joint ventures to commercialize, use and process organic waste, and sell related by-products for a period of 25 years in the state of Johore, Malaysia.

License Property

The Sub-Licensee is entitled to purchase the QI System (one treatment application – used tires) for a fixed price of $ 400,000 for a period of 25 years.

The Agreement with the Sub-Licensee is an arms-length transaction. Our business objective is to License the QI System through qualified interests and establishing waste conversion operations through joint ventures.
