License Grant
Letter Agreement for your services and our joint rights  (50/50) to use the technology, to consistently extract gold and other PMs from desert sand,s and are tailoring to suit the Licensees deposits. Upon  payment  of  the Bonus, the recovery process technology and any enhancements subsequently developed will be the joint property of Licensor and the Licensees.
License Property
Licensor will  deliver to Licensee a process manual which will include all formulae,  process  designs and systems engineering necessary to implement and repeat the recovery process on a consistent, large scale, basis.

The Licensee desires to consistently extract gold and other PMs from desert  sands on a large – scale  commercial basis using the technology.

License Grant
The Licensee holds under license, a process for the recovery of precious metals from coal ash and other materials from an Undisclosed Licensor. The Licensee has developed and demonstrated the Technology at its Scottsdale Facility. Royalties shall be paid to the Licensor on the sale of gold produced using the technology.
The Creditor and the Licensee have developed a joint venture. The Licensee shall grant the Joint Venture licensed authority to use the Technology via the Licensee's license consistent with the terms of this Agreement.
License Property
Scottsdale Operations means the development and operations of a processing plant at the Scottsdale Facility for the extraction of precious metals from fly and bottom ash using the Technology.

License Grant
The Canadian Licensor agrees to provide the Canadian Licensee with the technology to recover gold from contaminated refractory tailings.  For the period of this Agreement, Licensor agrees not to provide a licence or any of the technology provided under the license to any other party for the purposes of the Project .
License Property
The proprietary gold recovery technology includes but is not limited to all the proprietary knowledge, information, methodology, specifications, engineering requirements and design parameters and operational practices necessary to achieve a minimum recovery of 90%.

This proprietary bacterial oxidation technology liberates precious and base metals from difficult-to-treat sulphide ores and concentrates.  This is a safe and environmentally-friendly process that has the advantage of improving metal recovery at significantly lower capital and operating costs when compared with traditional treatment methods of smelting, roasting and pressure oxidation.

The technology relates to recover gold from contaminated refractory tailings.

The license is limited to the Project which is defined as the Regional Municipality of Snow Lake in the Province of Manitoba.
