License Grant

License Property

This project involves providing three distinct products  (1) a multimedia gaming device for game deployment (Hardware), (2) the content which includes the program code and the related game concept, game play, art and sound (Software), and (3) certain content production software tools  (Development Tools).

This agreement pertains to the entertainment industry relating to a gaming system in Casinos.

License Grant

The parties have agreed to enter into this agreement that combines the Licensors product with the Licensees product for casino placement.

License Property

The products include a slot machine referred to as an S+ Slant Top slot machines ('Slant Top') and a bonus top component ('Bonus') which secures to the top of slot machines for bonus play.

License Grant

Licensor hereby grants Licensee a limited, non-exclusive, non-transferable, non-assignable (except as provided in this Agreement), non-sub-licensable, world-wide license to use the Licensed APIs and Protocols in association with the Licensor Systems for the limited purpose of facilitating design, development and implementation of Licensee Developed Applications but only to the extent that any of the individual APIs and protocols of the Licensed APIs and Protocols are applicable and necessary to the Licensee Developed Application and provided that such Licensee Developed Applications are designed and developed for delivery only through PlayerVision® Devices or Licensor sb Systems.

License Property

Licensed APIs and Protocols means (1) Slot Accounting System (SASâ„¢) protocol, including Ticket In, Ticket Out protocols (TITO);  (2) NetPlex protocol; (3) Casino Terminal Network (CTN) Kiosk protocol; and (4) subject to the written approval of Licensor, Media Manager protocols and Media Manager APIs.

Licensor Systems means all Licensor sb Systems, Advantage® systems, including, but not limited to, TITO systems, and any other computer system and/or operational network licensed, sold, or Placed by Licensor or its distributors and related to or associated with Gambling.

Licensor sb System or ISBS means Licensor’s server-based network systems, which utilize the following Licensor user interfaces sbNexGenâ„¢, Service Windowâ„¢, and other interfaces to Licensor systems as may be necessary, subject to final approval by Licensor.  For the sake of clarity, this excludes the non-sb NexGen, Advantage Systems, and TITO systems.

Licensee Developed Applications means software applications that are all of the following 1) developed by Licensee; 2) utilize the Licensed APIs and Protocols under this Agreement or the Licensor Licensed IP pursuant to the Retrofit License Agreement; and 3) are deployed on the casino floor through an Licensor sb System or PlayerVision Device (defined below).

Intellectual Property means all intellectual property rights including all past, present and future rights in patents, industrial property rights, copyrights, trademarks, and trade secrets.

“Electronic Gaming Machine” or “EGM” means the entire electronic or electro-mechanical device including the peripheral components housed in its enclosure that is primarily designed and used for Gambling, and that has all of the following characteristics (a) is used by the player to input the wager amount and otherwise initiate game play; (b) displays the amount wagered, the outcome of the wager, and the credit amount available to the player; (c) displays the outcome of the Gambling event to the player within five minutes of initiating the wager; and (d) is provided to the player by the EGM operator.

Field of Use

Field of use is for the purpose of designing, developing, and implementing software applications for delivery through PlayerVision Devices and Licensor sb Systems relating to gambling with the electronic gaming machine.

Gambling means playing or exposing for play any activity or event involving a wager or a placing at risk a sum of money or other representative of value, whether or not redeemable for cash, on an occurrence the outcome of which is uncertain, including events that include some element of skill (e.g., sports, card games, and racing).  The award corresponding to the outcome of such event or activity can be cash or any other prize.

Electronic Gaming Machine or EGM means the entire electronic or electro-mechanical device including the peripheral components housed in its enclosure that is primarily designed and used for Gambling, and that has all of the following characteristics (a) is used by the player to input the wager amount and otherwise initiate game play; (b) displays the amount wagered, the outcome of the wager, and the credit amount available to the player; (c) displays the outcome of the Gambling event to the player within five minutes of initiating the wager; and (d) is provided to the player by the EGM operator.  The definition of an EGM is limited to the device in close proximity to the player and does not include supporting software and servers remote from the device.

License Grant

The Seller hereby irrevocably sells, assigns, grants, transfers and delivers to the Purchaser and its successors and assigns,  all of the right, title and interest of the Seller in and to the Assets, including the Patent Rights and all causes of action and enforcement rights whether currently pending, filed or otherwise for the Patents, including all rights to pursue damages, injunctive relief and all other remedies for past, current and future infringement of the Patents.

License Property

The Seller  owns and controls certain physical and intellectual property assets as described hereto associated with Real Deal Poker, a system conceived and developed by the Seller to be used as a poker gaming platform to be used principally in online poker, including mobile applications

The Intellectual Property includes certain physical and intellectual property assets associated with Real Deal Poker, a system conceived and developed by the Seller to be used as a poker gaming platform to be used principally in online poker, including mobile applications and including the Patent Rights.

Licensed Patents means all rights relating to Gaming Tables owned or held by the Licensor including all existing and future divisionals, continuations and continuations-in-part and all pending patent applications including but not limited to United States patent number 5,735,742 for Gaming Table Tracking System and Method, issued 4/7/98 and United States patent number 5,651,548 for Gaming Chips with Electronic Circuits Scanned by Antennas in Gaming Chip Placement Areas for Tracking the Movement of Gaming Chips within a Casino Apparatus and Method, issued 7/29/97 together with all present, past, and future applications, divisionals, reissues, reexaminations, continuations, continuations-in-part, or extensions thereof throughout the world.

Licensed Products means Gaming Tables.
