License Grant

Licensor hereby grants an exclusive perpetual license under any and all intellectual property rights owned or otherwise assertable by Licensor relation to the licensed product and user documentation, including but not limited to Licensors rights under any patents, copyrights or trademarks.  The license includes, but is not limited to, the right to manufacture, make, have made, use, copy, reproduce, distribute, prepare derivatives, perform, display, market, sell, offer for sale, import or export the licensed product or user documentation and includes the right to sublicense others.

The License includes a grant by Licensor to Licensee of the right to engage in any activity relating to the manufacture, use, copying , distribution, performance, display, marketing, sale, or offer of sale of the impact unit, and all ownership rights, title and interest, in any intellectual property rights relating to the licensed product  and user documentation or in any copy or any part of the licensed product of suer documentation.  The License is non-exclusive and extends through out the world including the United States and its territories.

License Property

Licensor agrees to assign its interest in the Impact trademark and U.S. Trademark Application Serial No. 74-584,649 for Impact and Design in class 9.

The licensed product is the Impact Unit hardware, the software used to design, build, manufacture, operate and control the operation of the Impact Unit together with all designs, schematics, drawings, layouts, parts lists, source code, object code, enhancements and modifications, and all files, including input and output materials relating to the Impact Unit and its software.

Licensor represents and warrants that it owns and has the exclusive right to use the trademark Impact for keyboards and represents and warrant that it owns U. S. Trademark Application Serial No. 74-584,649 for Impact and Design in Class 9.

The terms of the agreement allow the Licensee the right, among other things, to manufacture, market and sell a state-of-the-art computer and keyboard system which significantly reduces the number of keystrokes (every keystroke on a CTSS keyboard is equal to 4-4.5 strokes on a standard keyboard) needed for direct voice-to-text transcription and data capture services. CTSS products are sold under the name 'IMPACTwriter'.

The input speeds of the IMPACTwriter are three to five times faster than a traditional typist using a standard keyboard. This increased productivity translates into lower expenses for the employer, and the ergonomic benefit of reduced keystrokes should help decrease the instances of repetitive stress injuries.

Field of Use

Licensee is a developer, manufacturer and marketer of customized, high-end ergonomic products that re-engineer the workplace and the home office by scientifically minimizing the physical stress imposed upon the human body.

License Grant

Assignor agrees to assign and transfer to the Receiving Party all  right, title, and interest in and to its copyrights in any software, documentation, and other software and materials related to the Property project or any other project for which Receiving Party has retained Assignor’s services.

License Property

Intellectual Property Rights means intellectual property rights including any patent (excluding United States Patent 7,145,548).

We transferred to a former officer, who remains a director of our Company, 100% of the capital stock of Designer Appliances, Inc. and all other assets and liabilities of our Company relating to our Company’s computer mouse and software business, including intellectual property and physical materials, including hardware and software and all rights pertaining thereto.

License Grant

Licensor granted the Licensee a non-exclusive  worldwide, nontransferable, and nonsublicensable right to use, sell and otherwise incorporate split computer technology.

License Property

'TECHNOLOGY' shall mean all split computer technology represented by United States Patent Application No. 09-430,163 for a'split computer architecture' and United States Continuation Patent Application No. 09-430,162, and all related intellectual property, including without limitation software, patents, patents pending, trade secrets, ASIC chips and related intellectual property blocks, designs, specifications, and any future enhancements, modifications, variations thereto, and all intellectual property associated with the adaptation of cables and connectors adapted for use with such technology and future generations of any of the above.

License Grant

Licensor hereby grants to Licensee a license under the Patents and any Improvements to develop, market and sell the Product. The License shall be exclusive, with the right to grant sublicenses.

License Property

The Patents are United States Letter Patent No. 5,674,423 for Heated Mouse Pad, and United States Letter Patent No. 5,686,005 for Heated Computer Pad.

The Product means the heated mouse pad and heated computer pad covered by the Patents, commonly referred to as Heatwave.

License Grant

Licensor grants a non-exclusive, non-transferable, worldwide license, without the right to sublicense, under Licensors Patents to
(a)   make, use, sell (directly or indirectly), offer to sell, import and otherwise dispose of all Licensee Licensed Products;
(b)   make, have made, use and/or import any equipment and practice any method or process for the manufacture, use and/or sale of Licensee Licensed Products; and
(c)   have made Licensee Licensed Products by another manufacturer for supply solely to Licensee for use, import, sale, offer for sale or disposition by Licensee pursuant to the license granted.

Licensor grants for use in or with a Licensee Licensed Product, licenses under Intels copyrights in any Processor instruction mnemonic for an instruction developed by Intel, and the related opcodes, instruction operand mnemonics, byte format depictions and short form description for those instructions; to copy, have copied, import, prepare derivative works of, perform. display and sell or otherwise distribute such mnemonics. opcodes and descriptions in user manuals and other technical documentation.

License Property

The licensed Product shall mean a Licensee Licensed Product or a Licensor Licensed Product as applicable.

Licensee Proprietary Production shall mean any Processor that contains any Licensee Processor Bus or is pin for pin, electrically and mechanically, compatible with a Licensee processor where the pin configuration of such Licensee Processor was first made publicly available on an Licensee Processor.

Licensor Licensed Products shall mean any Licensor product that constitutes an information System Product software or any combination thereof, that are sold by Intel as Intels own product and not on behalf of another, provided that Intel Licensed Products shall not include any Licensee Proprietary Products.

Licensor Proprietary Product shall mean any processor that contains any Licensor Processor Bus or is pin for pin, electrically and mechanically, compatible with an Intel processor where the pin configuration of such Intel Processor was first made public on an Licensor Processor.

This agreement is for the computer processor industry.

License Grant

The Licensor hereby grants to Licensee an exclusive, perpetual, non-transferable right and license throughout the Territory to develop, manufacture, distribute, market, advertise and sublicense the Licensor Products throughout the Territory during the Term.

License Property

The rights to manufacture and distribute the Extreme Gamer®, Zaaz™ keyboard and the Reality Pro™ handheld gaming system.

Reality Proâ„¢ is handheld gaming system.

Zaaz™ is a wireless keyboard. The Zaaz™ keyboard features a customized set of “one touch access keys” that allows users to access specific, user defined features of the consumers smart TV.

The Extreme Gamer® is a patent pending (patent application 12/543,296) multi-disc video game changer that connects to current generation video game consoles.

The Licensor has created, developed and owns certain gaming technology products and related intellectual properties, documentation, domain names and materials more.

Extreme Gamer – all associated patents, copyrights, trademarks, trade names, service marks, acquisition of any and all design documentation including prototypes, beta units, any work in process, CAD files, portfolios, marketing materials, and the rights to patent “Multi Video Game Changer #20100048306”. Also to include any prospective customer lists, marketing research, business, marketing, manufacturing, distribution, or operational plans, including the following domain names

License Grant

The Japanese Licensee hereby grants to Israeli Licensor an irrevocable, perpetual, worldwide, unlimited and unconditional (except for the condition set forth in the continuation of this sentence), paid-up license to make, have made, use, sell, offer for sale, import, copy and distribute the MDOC-512`s and products incorporating MDOC-512 design and maskworks (including without limitation all related documentation, schematics, codes and all other relevant information), including the right to sublicense any or all of these rights through multiple tiers, subject only to Licensor complying with its payment obligations with respect to the Licensor NRE Payments of this Agreement; provided that such license expressly excludes Licensee Technology including Licensee NAND flash technology, design or maskworks incorporated in the MDOC-512 and further excludes the right to disclose or license the Developed Technology to any third party.

Licensor hereby grants to Licensee a further non-exclusive, worldwide, royalty-bearing license under Licensors intellectual property rights in the Licensor Technology as and to the extent needed to make, have made, sell, offer for sale, import, copy, and distribute the MDOC-512 Units and Combo Units to third parties either (a) under a Licensee trademark and/or tradename, and/or (b) for incorporation by Licensee`s customer into another product bearing such customer`s trademark and/or tradename which adds substantial additional value. Licensee shall not have the right to sublicense any of these rights except in connection with the distribution of MDOC-512 Units and Combo Units as specified in the preceding sentence.

License Property

The MDOC512 Monolithic Flash Disk is a complete monolithic single-chip Nand flash memory subsystem. Requiring only minimal external address decoder logic, the MDOC easily interfaces with any CPU bus such as local bus or ISA bus. Hardware generated EDC (Error Detection Code) and ECC (Error Correction Code) ensure highly reliable data storage with minimal CPU time or memory space overhead. Combined with Licensor TrueFFS® software, the MOOC provides a total solution for a completely integrated solid-state bootable disk drive with minimal circuitry and design effort.

MDOC-512 means the 512 MBit Monolithic binary and/or Multi-Level-Cell ('MLC') DiskOnChip die that combines Licensees 512 Mbit binary or MLC NAND flash design with Licensors flash file system and NAND Flash Disk Controller technologies in a single NAND flash die.  MDOC-512 Unit means any form of packaged MDOC-512.

Licensor Technology means the DiskOnChip design and technology, including NFDC, and True Flash File System design and technology.

Licensee Technology means the MDOC-512 design and maskwork, but not any Licensor Technology incorporated therein, and NAND flash.
