Licensor hereby grants to Licensee during the term of the Agreement an exclusive license solely for the purpose of fulfilling License's duties hereunder (i) to use the intellectual property licensed from Playboy to manufacture, sell and distribute the Products in the Territory (ii) to use the trademarks licensed from Playboy for the Purpose; and (iii) to use the recipes, formulas, manufacturing specifications and know-how related to the Product for the Purpose. The intellectual property described in clauses (i), (ii) and (iii) of the preceding sentence is referred to as the Product Intellectual Property.

Names and Marks means the names, insignias, labels, slogans and other identification, trade marks, service marks and trade names and/or applications that have been used by Licensor and that may be used from time to time by the Licensor in connection with the Technology and the sale and distribution of the Products, including the name 'Avani';
The Products mean all oxygen enriched water products developed by Licensor to date, including all of its bottled water products, and includes all enhancements, derivatives, modifications and replacements thereof, and the Proprietary Rights associated therewith.
Proprietary Rights means copyrights, rights in and to trade secrets, patents, patent applications and patents pending, trademarks and trade names, proprietary and confidential information and data, and all equivalent rights throughout the world.
Technology means all information, data, processes, know-how and concepts now owned or which may in the future be developed and owned by the Licensor associated with the development, use and manufacture of the Products and the Proprietary Rights.

Avani Oxygen Enrichment Equipment is to stimulate the atmospheric conditions of rain water. Ozone and ozone lattices allow the oxidation potential to be multiplied tremendously. The equipment is composed of three processes including electron bond angle shifter , oxygen infusion process and the vortex cyclonic shifter. AVIG will continuously work on R & D to improve the preceding mentioned processes.

The Swiss Licensor will use reasonable efforts to assist Licensee in the manufacture of Licensed Products containing Licensed Compounds which are Bitter Blockers Compounds for use or commercial exploitation outside the Field, provided such assistance does not contradict Licensees commercial interests. In any event, such assistance may only be granted against appropriate remuneration and subject to a separate agreement to be negotiated in good faith.
The parties are developing compounds to improve the taste of pharmaceutical, food and beverage products.
Licensed Product means a Simple Product or an Incorporated Product.
SCC or Selected Collaboration Compound, means a Collaboration Compound that is selected by the Steering Committee pursuant to this agreement for development under the Development Plan.
Incorporated Product means a flavour or food ingredient system containing a Licensed Compound.
Licensed Technology means, with respect to a Licensed Compound, all Licensee Technology owned or Controlled by Licensee as of the date of the license grant by Licensee to Licensor pursuant to this agreement, that is necessary for making, having made, use, sale, and offer for sale of such Licensed Compound.
Licensed Compound means a SCC that is licensed and provided by Licensee to Licensor pursuant to this Agreement.
Bitter Blocker Compound means a compound that blocks or desensitizes bitter taste as determined by a human taste panel evaluation.
Enhancer Compound means a compound which enhances sweetness or savory sensation as determined by human taste panel evaluation.
Field means all uses in foods and beverages by human or animals. For clarity, â€œFieldâ€ shall not include any use as nutritional supplements, dietetics, nutraceuticals, prescription and non-prescription medicines. Notwithstanding the foregoing, â€œFieldâ€ shall include the healthy foods and beverages specified below

Commencing January 1, 1998, Licensee may purchase soft drink concentrates or syrups for making Licensors soft drinks from any supplier New Products. In addition to all rights granted under the Prior Master Agreement and this letter agreement with regard to soft drinks, Licensee shall also be permitted to use the Licensors trademark, mark or other identifying means on any other product of any type, provided that such New Products comply with the quality standards. Licensee agrees that all labels, containers, advertising and other promotional material of Licensee bearing the Licensors mark shall be in good taste and of good quality. Owner shall not have approval rights with respect to any labels, containers, advertising or other promotional matter of Licensee and its sublicensees.

The term 'Trademarks' shall mean those trademarks and the trade names, distinctive bottle and label designs, electronic and printed promotional and advertising materials and all other communications in whatever form used or to be used in connection with the manufacture, preparation, bottling, packaging, advertising, promotion, production, marketing, sale or distribution of the Products, including, without limitation, the trademarks, designs and trade names set forth in Schedule 1(J) currently owned by Licensor or hereafter acquired and/or developed by Licensor. Notwithstanding any other provisions of this Agreement, Licensor discloses, and Licensee acknowledges, that (i) there are currently pending certain challenges to, and/or issues with, the Xcel Trademark and (ii) that the Opti-Woman Trademark is still pending and may be subject to challenge. Licensor shall have the sole responsibility for obtaining the Opti-Woman Trademark and to defend the Xcel Trademark. If Licensor is not able to obtain the clear use for either Xcel or Opti-Woman then it shall so inform Licensee and Licensee shall immediately cease the use of said Trademarks, if such use is prohibited to Licensee or otherwise.
