License Grant
Licensor grants an indivisible, non-assignable right and license to make, use, lease,  sell, and otherwise practice commercially the defined Licensed subject matter.
License Property
Licensor has been developing and disclosing,  as in patents and technical papers,  what he calls Balanced  Pistons Valve (BPV) Technology;  for Balanced Piston Fluid Valve;  and for Fluid Valve Mechanism and Valving Method; and a half dozen BPV foreign patent applications pending.  The licensed product includes any apparatus whose appearance,  composition, design, manufacturing, structure, operation, or use embodies any Licensed Know-how, is defined by a claim of a Licensed Patent or disclosed patent  application and/or would infringe a Licensed Patent in the absence of this License Agreement, or displays or is commercialized by a Licensed Trademark.

Licensed Trademark means BP, BPV, BASCULE, or other word and/or design–used with or without any other word and/or design, in or as a brand name for Licensed Products or Licensed Services or Licensed Systems.

The ownership of the BP Valves is based on United States Patent 5,309,934 Balanced Piston Fluid Valve issued May 10, 1994 and United States Patent 5,421,358 Fluid Valve Mechanism and Valving Method issued June 6, 1995. The BP Valve invention relates to regulating the flow of fluids in piping systems and machinery through a valve closure made by fitting together old and well known elements to form a new result. The ease of closure achieved through the BP Valve invention translates into higher speed – smaller automated valve assembly size – lighter weight – longer life – reduced system costs reduced system complexity – ease of computer control and monitoring.

License Property
One of the principals of the Licensor has developed a process of producing oil with minimal water production. The principals of the Licensor in the past have been investigating a pumping device for oil wells to complement the production process and together with Licensee, are now improving a pumping device for oil wells that is referred to as the Balanced Oil Recovery System Lift ('BORS Lift') and desires to grant an exclusive, world-wide license to commercialize the balanced oil recovery system and the BORS Lift

'Licensed Know-how' means unpatented proprietary technical, professional, or commercial information disclosed to Licensee by Licensor and useful in designing, making or using Licensed Products or performing Licensed Services.

'Licensed Patent' means any patent (or disclosed patent application) licensed to Licensee herein and containing a claim defining the composition, design, machine, process, manufacturing, structure, operation, or use THE BORS LlFT subject matter, insofar as owned or licensable by Licensor and so licensed to Licensee in or for the License Territory.

'Licensed Trademark' Balanced Oil Recovery System Lift, BORS Lift or other word and/or design, used with or without any other word and/or design, in or as a brand name for Licensed Products or Licensed Services or Licensed Systems.

The fluid lifting equipment called Balanced Oil Recovery System is designed to bring oil to the surface without the accompanying formation water.  The BORS Lift System uses and innovative strap mechanism that takes oil from the top of the downhole oilwater column and lifts it to the surface, eliminating production of formation water.

Field of Use
Our Balanced Oil Recovery System Lift, or BORS Lift, is a device that extracts oil from shallow, low-volume stripper wells, which are defined as those wells which produce up to 10 barrels per day.  By lifting oil rather than pumping, the BORS Lift eliminates conventional rods, tubing, downhole pumps or pumping units and related maintenance costs typically associated with conventional methods.  The operating concept is based on a balanced technology of extracting oil at the same rate as its recovery through a collection tube and discharging it into a collection tank without collecting water.  Using the BORS Lift, wells that have historically produced 25 barrels or more of salt water in a day are now collecting only oil.  This eliminates the need for salt water disposal.  Based on independent tests, we believe that the BORS Lift can increase oil production in shallow, low-volume 'stripper' wells by up to 400 percent, while significantly decreasing operating costs.

'Licensed Trademark 'Eletion(TM), Magnetion(TM) or ElectroMagnetion(TM) Technology or other word and/or design, used with or without any other word and/or design, in or as a brand name for Licensed Products or Licensed Services or Licensed Systems.  License of electromagnetion(TM) technology, (liquid waste-to-energy technology).

Field of Use
'Licensed Product(TM) means by-product or related composition whose production, structure, or use embodies any Licensed Know-how, is defined by a claim of a Licensed Patent or disclosed patent application and/or would infringe a Licensed Patent in the absence of this ElectroMagnetion(TM)-AquaFuel(TM) License.

'Licensed Service' means any designing, making, specifying, or any  instruction, leasing, or performance of other services relating to any Licensed Product for, to, or with a customer or other party.

'Licensed Specification' means any requirement or standard identified by Owners to Licensee relating to composition, design, manufacturing method, structure, workmanship and/or resulting appearance, form, identity, quality, or presentation of a Licensed Product or a Licensed System.
