License Grant

The Licensor of Hong Kong hereby grants to the Chinese Licensee an exclusive license to use the Essuranceâ„¢ and related Technologies solely in China, for the only purpose of localization, R&D or improvement on this system to manufacture products and sales which suit to China Market.

License Property

The Licensor owns Essuranceâ„¢ system and related proprietary technologies, the most advanced Internet, communication and information management system which comprises of several US and International pending Patents.

Essuranceâ„¢ system software and related technologies means know-how and experiences, technology and technical information engaged in the internet, information supervision, control and management which related to Essuranceâ„¢ system software and related technologies.

Field of Use

The license is for licensor's proprietary and patent-pending Hyperswarm Engine, RDMMOS performs as a platform for cellphone users.

The Message Organiser System will initially be free to cellphone users and will be supported by advertising revenues.  Based on the platform of the Hyperswarm Engine, it does R&D and design, provides solutions against various digital information, including high efficient anti-spam solutions in email and SMS, anti-phishing solutions, as well as solutions and application services on message verification, information personalization, etc.

The RD Mobile Message Organiser System (RDMMOS) is capable of sending, receiving, storing, searching and organising short messages, multi-media messages, photos and music files between mobile terminals, such as cell-phones and internet sites.

License Grant

Licensor of Hong Kong hereby grants to Licensee a non exclusive right and non-transferable license, including the right to grant sub-licenses to its subsidiaries.

License Property

Licensor is the exclusive owner of U.S. patent # 8,089,943 and has developed certain proprietary technologies for use by GMT in offering location-based advertisement supported mobile microblogging applications and services.

The License Agreement relates to how data stored in an array of protocols are converted and seamlessly integrated into value-added solutions in different formats and transmitted to mobile phones.

The platform provides the essential business logic, platform intelligence and central management that drives the platform and enables the application of flexible business models. We have achieved our objective by integrating our platform with internal and external enablers that are embedded in our advertising server (ad server). Our platform enables the conversion of media (text, voice, video and graphics) into value-added solutions in different protocols and formats that are seamlessly integrated for transmission to mobile phones.

License Grant

GRANTOR, a Malaysian corporation, hereby grants to GRANTEE the right to sell the Products and related mobile VoIP services in the Territory in all markets on an exclusive basis for a period of five years from the effective date of this Agreement. If required, GRANTEE shall obtain independent certification, various licenses and verification to operate in the Territory, from the Federal Communications Commission, if applicable, and state regulatory authorities.

License Property

GRANTOR is a technology based company engaged in the business of development, sales and marketing of mobile Voice over Internet Protocol (“VoIP”) products, services and mobile VoIP software in wide variety of applications throughout the world.

GRANTOR is the legal owner of certain Patent Rights and Technology Rights under patent application No. 12/164,259 filed with the United States Patent and Trademark Office.

GRANTOR has developed and commercialized patented proprietary technology for a number of applications that include mobile advertising, mobile VoIP calls and mobile multimedia sharing (collectively “the Products”).

“Products” mean mobile VoiP products, services and mobile VoIP software, including supplementary products or any successor products and all technology required to commercially sell or market VoIP products and services developed by GRANTOR and utilized by GRANTEE in the Territory.

Proximity marketing allows companies to distribute advertising contents associated with a particular place using localized wireless communication technologies such as Bluetooth, Wi-Fi, WiMAX, GSM, or the like.

Field of Use

The License relates to Voice Over Internet Protocal services for the express purpose of selling products and related VoIP services in North America.

License Grant

Licensor hereby grants Licensee, a Korean company, an exclusive, non-transferable, revocable, royalty bearing license to the Software, limited to the geographic territory of the country of Korea.

License Property

Software Products which consist of the software capable of creating rich rich-media email messages and a hosting system.  The Licensor is a technology-based, global Internet multimedia email solution company that has developed proprietary patent pending multimedia technology that permits global distribution of extremely high quality rich media email solutions.

License Grant

Licensor, who becomes the majority shareholder of Licensee with this agreement, grants to Licensee of Hong Kong, a domestic and international Non-exclusive license to make, use, copy, have copied, sell, have sold, and distribute products and services based upon the Technology and any and all Derivative Works in Licensee’s Field of Use, together with a right to grant sublicenses.

License Property

Licensor has developed and maintains the US and foreign patent rights to a digital dashboard/navigation tool, a software solution commercially known as “Sprocket”.

Technology means the Method and Apparatus for digital dashboard/navigation software solution and any accompanying proprietary software, hardware, apparatus, intellectual property, and/or know-how developed and/or created by Licensor during its creation of the software or as part of the Patent Technology.

The Sprocket is an industry leading, intuitive, immersive consumer experience for all webbased activity, and allows for the personalization of all content, whether public or private, in a unique, accessible way.

Sprocket is an intuitive user interface making access to all content from any device in a simple, consistent format, has enabled the search and identification of any object and image in all video and digital media, and has developed a platform for mobile transaction including the integration of payments, money transfers, coupons and gifts.

Field of Use

Licensee is engaged in the process of developing a software platform and mobile container product for commercial customers and desires to License the Licensor’s digital dashboard/navigation software solution commercially known as “Sprocket”; and to obtain modification and adaptation of the program to its particular needs.

License Grant

Licensor hereby grants to Licensee the sole and exclusive, worldwide right and license to the Licensor Patent Rights, solely for use within the Field of Use, to (i) make, have made, import, use, offer for sale, and sell products and services covered by a valid claim under the Licensor Patent Rights, and (ii) make improvements to the Licensor Patent Rights and make, have made, import, use, offer for sale, and sell products and services covered by a valid claim under such improvements to the Licensor Patent Rights (provided that the grant of such right to make improvements is subject, in each instance, to Licensee granting Licensor a license to such improvements.

License Property

Licensor owns certain patents and patent applications relating to the facilitation of secure communications over networks.

The company also hopes to license their patent portfolio, technology and software, including their secure domain name registry service, to communication service providers as well as to system integrators. Much of this technology was licensed in from a smaller company that is now owned by a very large engineering and technology applications company.

Field of Use

Field of Use shall mean the field of secure communications in the following areas Virtual Private Networks (VPN); Secure Voice Over Internet Protocol (VoIP); Electronic Mail (E-mail); Video Conferencing; Communications Logging; Dynamic Uniform Resource Locators (URLs); Denial of Service; Prevention of Functional Intrusions; IP Hopping; Voice Messaging and Unified Messaging; Live Voice and IP PBX’s; Voice Web Video Conferencing and Collaboration; Instant Messaging (IM); Minimized Impact of Viruses; and Secure Session Initiation Protocol (SIP).

The Field of Use is not limited by any predefined transport mode or medium of communication (e.g., wire, fiber, wireless, or mixed medium).  A company with technology for use by original equipment manufacturers, or OEMs, within the IP-telephony, mobility, fixed-mobile convergence and unified communications markets.

Licensee is in the business of developing and manufacturing products and providing services in the Internet, enterprise networking, and communications markets.
