License Grant
Licensor grants to Licensee of the Netherlands, a non-exclusive, nontransferable, non-sublicensable,  worldwide license under Licensors interest in the Research Results and Patent Rights, and any assay technology owned or controlled by Licensor.

License Grant
Licensor agrees to grant, and hereby grants to the United Kingdom Licensee a non-exclusive, non-transferable and non-sublicensable (other than to Licensee Affiliates and Third Parties as agreed by the Research Committee), royalty-free, worldwide license under Licensors interest in the Program Technology,  Licensor Materials and Licensor Improvements, solely to conduct the Research Program.

License Property
Program Technology means all Program Patent Rights, Know-How and Program Materials, in each case, which is necessary or useful for the development, testing, use, manufacture or sale of Licensee Products or Licensor Products. It is understood that the Program Technology does not include any Shuffling Technology or Licensee Proprietary Technology.

Licensee Product means any product sold or intended to be sold by Licensee or its Affiliates or Sublicensees which incorporates or is made through the use of a Shuffled Gene, or is derived from a Plant which incorporates or is made through the use of a Shuffled Gene.

Class A Licensee Product means a product commercialized by Licensee or its Affiliates or Sublicensees which incorporates or is made through the use of one or more Class A Shuffled Genes.

Class B Licensee Product means a product commercialized by Licensee or Affiliates or Sublicensees which incorporates or is made through the use of at least one Shuffled Gene, but which does not incorporate and is not made through the use of any Class A Shuffled Gene.

Licensor Materials means all Materials provided by Licensor to Licensee in order that Licensee can perform its obligations under the Research Program or which Licensor owns and Controls and uses internally in connection with the Research Program. It is understood and agreed that all Nucleic Acid Sequence Libraries, Gene Variants and Shuffled Genes shall be Licensor Materials.

Licensor Product means any product sold by Licensor or its Affiliates or Sublicensees which incorporates or is made through the use of a Class B Shuffled Gene, or is derived from a Plant which incorporates or is made through the use of a Class B Shuffled Gene.

Class A Shuffled Gene means any Shuffled Gene which results is or derived from the Shuffling in the Research Program of [ at least one Licensee Starting Gene, whether or not Shuffled with another Licensee Starting Gene, an Other Starting Gene and/or a Licensor Starting Gene.

Class B Shuffled Gene means a Shuffled Gene that is not a Class A Shuffled Gene.

Gene means a polynucleotide sequence encoding a protein, optionally together with its regulatory sequences, which is selected for Shuffling in the Research Program by the Research Committee.  Each Gene shall be designated by the Research Committee as (i) a Licensee Starting Gene or (ii) a Licensor Starting Gene or (iii) an Other Starting Gene.

License Grant

Licensor grants, a worldwide, license under Licensors interest in the Intellectual Property as follows
– an exclusive license to make, have made, sell, offer to sell, import and use Shuffled Genes, excluding Licensor SGDs, in Plants other than Licensor Crops and Licensee Crops, and for uses other than in Plants, and to develop, make, have made, use, import, offer for sale, sell and have sold Licensee Licensed Products derived therefrom, including the right to grant sublicenses; and
– a non-exclusive license to make, have made, sell, offer to sell, import and use Research Results subject to and in Plants other than Licensor Crops and Licensee Crops, and for uses other than in Plants, and to develop, make, have made, use, import, offer for sale, sell and have sold Licensee Licensed Products derived therefrom, including the right to grant sublicenses.

License Grant

The Licensor Break-through Invention shall be an invention that is the result of extraordinary research and development activities and shall result from or be based on materially new and/or different application(s) of Shuffling, as compared to technology already in-licensed by Licensee hereunder or from third party or otherwise available to Licensee, that was neither invented nor foreseen by Licensor as of the Effective Date, thereby enabling Licensee to develop either new market(s) or materially improved profitability in existing markets for Industrial Proteins, including but not limited to materially reducing the cost of a manufacturing process, as compared to average existing industrial enzymes markets.

The term Shuffling shall mean new methods for recombination of genetic material for creation and screening of genetic diversity.   The term In Vitro Shuffling shall mean Shuffling where the gene recombination event occurs outside of a cell, but shall not include any Assay Technology.   The term In Vivo Shuffling shall mean Shuffling where the gene recombination event occurs inside of a cell, but shall not include any Assay Technology.

Field of Use
The Licensees Field shall cover development, production and sales of Industrial Proteins for use in
• textiles and leather,
• laundry and cleaning products,
• starch processing, which shall include carbohydrate synthesis and modification as they may be applicable to starch processing,
• baking,
• food (including, without limitation, fats and oil, protein hydrolysates, bulk flavor ingredients, thickeners, emulsifiers, texturizers, alcohol, brewing products, vegetable and fruit processing, wine, juice, OTC digestive aids that have never been non-OTC pharmaceutical products,
• feed,
• personal care products, skin care (including bath and shower) and hygiene products, but not including any therapeutic or pharmaceutical products,
• paper and pulp manufacture,
• oil drilling,
• dyestuffs and dyeing processes, insofar as no pathways other than Industrial Protein Expression Pathways are Shuffled,
• wood, pulp, paper, lignin, and cellulose processing,
• The Licensee Preferred Area(s) upon activation by Licensee as well as  the use of Shuffling for the development of organisms and vectors for the expression of the foregoing Industrial Proteins, including, but not limited to, the use of Shuffling to improve Industrial Protein Expression Pathways and competency of recombinant hosts, provided that the use of such organisms and vectors by Licensee or its Affiliates or licensees shall be limited to such purpose.
