INTEGRATED CIRCUIT means an integrated unit comprising one or more active and/or passive circuit elements associated on one or more substrates, such unit forming, or contributing to the formation of, a circuit for performing electrical functions (including, if provided therewith, housing and/or supporting means). The definition of 'Integrated Circuit' shall also include any and all firmware, microcode or drivers, if adapted to cause such circuit to perform substantially all of its intended hardware functionality, whether or not such firmware, microcode or drivers are shipped with such integrated unit or installed at a later time.
Microprocessor means an Integrated Circuit (including, without limitation, digital signal processors, microprocessors, microcomputers, math coprocessors, and microcontrollers) containing functional elements including but not limited to registers, control logic, decision logic, input/output circuitry, interconnections such as data buses, address buses, or control buses and having a capability of executing temporarily or permanently stored program instructions or microinstructions, and which also may have other elements on the integrated circuit, including but not limited to memory, clock circuitry, input/output interface circuitry, memory controller, graphics circuitry and/or other functions ordinarily associated with or connected to central processing units.
AMD MICROPROCESSOR means a MICROPROCESSOR that (i) is designed solely or jointly by or for AMD, and (ii) is either (x) manufactured by AMD or (y) manufactured for AMD by a third party in compliance with provisions of Section 3.2 hereof. 'AMD MICROPROCESSOR' also includes any PC BOARD that (i) is designed solely or jointly by or for AMD, and (ii) is either (x) manufactured by AMD or (y) manufactured for AMD by a third party in compliance with provisions of Section 3.2 hereof, provided that the MICROPROCESSOR cooperating socket or other MICROPROCESSOR connection means on the PC BOARD has been designed to work with a MICROPROCESSOR.
PC BOARD means a printed circuit board, including but not limited to add-on cards (e.g. daughter cards) that has been designed primarily for use in supporting a MICROPROCESSOR and which has at least one cooperating socket or other connection means for such MICROPROCESSOR.
LICENSED PRODUCT means a product with or into which an AMD MICROPROCESSOR is combined.

'Licensed Patents' means U.S. Patents 5,560,028; 5,794,003; and 6,360,313.
'Licensed Products' means (i) TI Digital Signal Processors utilizing TI's TMS320C6000 architecture or structure or any derivative thereof, (ii) other TI products incorporating the same core architecture as TI's TMS320C6000 architecture or any derivative thereof, and (iii) any other TI DSP or other TI product (including combinations), any part of which is within the scope of any claim of any Licensed Patent.
Licensed Products specifically includes any general purpose microprocessor (other than a DSP), that is within the scope of any claim of any Licensed Patent, and which is used as the primary processor within a general purpose personal computer system, computer workstation system, or computer server system where such primary processor itself executes all the operating system software for the operation of computer software applications by an operator of the computer system ('General Purpose Microprocessor').

'ASICMAKER' means the proprietary hardware programmer developed by Gatefield for programming GateField ProASIC Products. 'EMBEDDED APPLICATIONS' means the integration of GateField's ProASIC Technology as a subset of a silicon device in the same chip.
'GATEFIELD PROASIC TECHNOLOGY' or 'PROASIC TECHNOLOGY' means the proprietary ProASIC technology developed and owned by GateField including the architecture, switch cell design and operation, programming logic, analog and high voltage circuit design, simulation, verification and testing, and methodologies, but excluding all software except for the architectural file generation software which shall be included.
'GATEFIELD'S CURRENT PROASIC PRODUCTS' means GateField's standard field programmable gate array GF100K, GF250F and GF260F Product families utilizing GateField ProASIC technology as specified in GateField's current product list.
ProASIC Product or ProASIC Technology means the proprietary ProASIC technology developed and owned by Licensor including the architecture, switch cell design and operation, programming logic, analog and high voltage circuit design, simulation, verification and testing, and methodologies, but excluding all software except for the architectural file generation software which shall be included.
ProASIC Chip on Chip Products means the application of Licensor's Standard ProASIC Products with other silicon products directly placed on the mother chip utilizing Rohm's Chip on Chip packaging technology as developed by Rohm including, but not limited to the drawing attached hereto as Attachment A, as an example.
ProASIC Technology on the chip to the total chip area for any Embedded Applications; application specific integrated circuit ('ASIC') technology; ProASIC–are based on two proprietary and patented technologies a flash-based switching element and a fine-grained, gate array-like ProASIC architecture.
The Company believes that the principal advantages of its products over alternative SRAM-based and antifuse devices are smaller chip size for the same geometries; reprogrammability and non-volatility; and the ability to use a standard electronic design automation (EDA) ASIC design flow.

Licensor grants a permanent, irrevocable, exclusive, non-sublicensable, worldwide, non-transferable license to design, develop, manufacture, have manufactured, make, have made, use, include in downstream products, sell or otherwise distribute products using Phoenix 2 Data Base and LMX 2 Data Base Phoenix 2 Products and LMX 2 Products shall only be sold for, distributed into, or used in Standard DVD Player applications.
Licensor grants a non.exclusive, non-sublicensable, non-transferable, and territory-limited distribution license to sell the Licensor Phoenix II integrated circuit to customers in Greater China (China, Hong Kong, Macau, and Taiwan) only for Standard DVD Player applications, and not for automotive DVD player applications.

Product, Licensor grants an exclusive, non-sublicensable, non-transferable and worldwide distribution license to sell the Licensor Phoenix 2 Product integrated circuit to customers for Standard DVD Player applications.
The Phoenix II processor is a single-chip DVD processor supporting DVD video, MPEG-4 ASP and DivX® Home Theater playback.
Phoenix LMX II is a single-chip DVD processor supporting DVD video, MPEG-4 ASP and DivX® Home Theater playback. Its advanced memory architecture supports video decoding with the built-in SDRAM.
Licensor DVD Technology means all hardware and software intellectual property in DVD products owned by Licensor. Hardware intellectual properties include Licensor design methodology, chip architecture, and functional blocks, including but not limited to Servo, Video encoder, MPEG1/2/4 decoder, USB, JPEG, CPU, DSP, PWM, Audio DAC, Video DAC, etc. Software intellectual properties include but are not limited to firmware in CPU and DSP, application software, GUI, OSD, etc.
Licensor Servo Technology means the Licensor servo processor owned by Licensor interfacing with laser optical pickup and disc/tracking motor drive(s) to provide data stream(s) to backend processing circuitry. It includes all related hardware and software intellectual properties and Licensor source code owned by Licensor and embedded in Phoenix 2 and LMX 2 database.
Licensor DVD Navigation Technology means Licensor navigation source code owned by Licensor and embedded in the Licensor reference DVD platform for Phoenix 2 and LMX 2.
Phoenix 2 Data Base means documentation, algorithms, source codes and files in RTL, simulation, layout, and test patterns, as well as a chip development environment (i.e. FPGA board, schematics and layout files) and chip validation environment (i.e. test and system level board schematics and layout files).
LMX 2 Data Base means documentation, algorithms, source codes and files in RTL, simulation, layout, and test patterns, as well as a chip development environment (i.e. FPGA board, schematics and layout files) and chip validation environment (i.e. test and system level board schematics and layout files).
Phoenix 2 Product means an integrated circuit that contains both Licensor Servo and Licensor MPEG circuitry from Phoenix 2 Data Base.

Licensor hereby grants, to Licensee, a non-transferable (subject to the TLA), non-exclusive, world-wide license for the Term to; Technical Reference Documentation (i) use, copy, modify (solely to the extent necessary to reflect any permitted modifications in accordance with the provisions of this agreement or for incorporation into Licensee’s documentation), distribute and have distributed the Technical Reference Manuals; Licensor Compliant Core (ii) use and copy the Implementation and Integration Documentation only for the purposes of designing, having designed (subject to the provisions of the TLA) Licensor Compliant Products; (iii) use and copy the AVS only for the purposes of designing, having designed (subject to the provisions of the TLA) Licensor Compliant Products and Test Chips; (iv) use, copy and modify the Synthesisable RTL (solely for the purposes of scan insertion, buffer insertion, timing closure, targeting standard cell libraries, direct instantiations of cells for speed and power optimisation, and use of licensee specified BIST), only for the purposes of designing, having designed (subject to the provisions of the TLA) Licensor Compliant Products; (v) use, copy and modify the Implementation Scripts only for the purposes of designing, having designed (subject to the provisions of the TLA), Licensor Compliant Products; (vi) use, copy and modify the Functional and Integration Test only for the purposes of designing, having designed (subject to the provisions of the TLA), Licensor Compliant Products; (vii) use, copy and modify (solely for the purpose of and to the extent necessary to run the vectors on a simulator or tester) the Functional Test Vectors, only for the purposes of designing and having designed (subject to the provisions of the TLA), manufacturing and having manufactured (subject to the provisions of the TLA), testing and having tested (subject to the provisions of the TLA) Licensor Compliant Products; (viii) use, copy and modify the Validation and Verification Environment only for the purposes of designing and having designed (subject to the provisions of the TLA) Licensor Compliant Products and Test Chips; (ix) manufacture and have manufactured (subject to the provisions of the TLA) the Unique Licensor Compliant Products created under the licenses granted in agreement inclusive; (x) package and have packaged (subject to the provisions of the TLA), the Unique Licensor Compliant Products manufactured under the licenses granted in agreement; (xi) sell, supply and distribute encapsulated die of the Unique Licensor Compliant Products which have been manufactured under the licenses granted in agreement(ix); Models (xii) copy and use, internally and for third party support purposes, the Models and related documentation; (xiii) use, reproduce and distribute, and sub-license (subject to the terms of an End User License) the Use of the object code of the Models, solely for the purpose of developing Licensor Compliant Products; and (xiv) modify, reproduce, use and distribute, in connection with the Models, the documentation related thereto. Test Chips (xv) use, copy and modify; (a) the Test Chip Functional Test Vectors (solely for the purposes of and to the extent necessary to run the vectors on a simulator or tester; (b) the Test Chip Synthesisable RTL (solely for the purposes of scan insertion, buffer insertion, timing closure, targeting standard cell libraries, direct instantiations of cells for speed and power optimisation, and use of licensee specified BIST and (c) the Test Chip Synthesis Scripts, only for the purposes of designing, having designed (subject to the provisions of the TLA) Test Chips; (xvi) use and copy the Test Chip Documentation, only for the purposes of designing and having designed (subject to the provisions of the TLA) Test Chips; (xvii) manufacture and have manufactured (subject to the provisions of the TLA) the Test Chips created under the licenses granted in agreement.
Licensor hereby grants and the Licensee hereby accepts a non transferable and non-exclusive license to use the Model solely for the purpose of developing a product which incorporates a CPU manufactured under Licensor’s license from Licensor.
Licensor Compliant Core means the ARM7TDM1-S microprocessor core.
ARM7TDM1-S core is a general-purpose 32-bit microprocessor.
Test Chip means for each Licensor Compliant Core a device which complies with the relevant Test Chip Documentation.
