One of our proprietary ingredients that we commercialized under this business model is nicotinamide riboside (“NRâ€), for which our brand name is NIAGEN®. NR is found naturally in trace amounts in milk and other foods and is B3 vitamin. The potential beneficial effects of NR in humans include increased anti-aging properties, fatty acid oxidation, mitochondrial activity, resistance to negative consequences of high-fat diets, protection against oxidative stress, prevention of peripheral neuropathy and blocking muscle degeneration.
Licensee is developing and conducting additional clinical trials to validate the health benefits associated with NR, a recently discovered vitamin found naturally in milk. NR is the most efficient B3 vitamin to enhance NAD+ energetics. NR has shown promise for improving cardiovascular health, glucose levels and cognitive function and has demonstrated evidence of anti-aging effects.

Sometimes referred to as the 'Miracle Molecule' or 'Hidden Vitamin,' NR is found naturally in trace amounts in milk and other foods and is a more potent version of Niacin (vitamin B3). Field 3 consumer foods, such as margarine, yogurt, and cereal; and,

The Swiss Licensor will use reasonable efforts to assist Licensee in the manufacture of Licensed Products containing Licensed Compounds which are Bitter Blockers Compounds for use or commercial exploitation outside the Field, provided such assistance does not contradict Licensees commercial interests. In any event, such assistance may only be granted against appropriate remuneration and subject to a separate agreement to be negotiated in good faith.
The parties are developing compounds to improve the taste of pharmaceutical, food and beverage products.
Licensed Product means a Simple Product or an Incorporated Product.
SCC or Selected Collaboration Compound, means a Collaboration Compound that is selected by the Steering Committee pursuant to this agreement for development under the Development Plan.
Incorporated Product means a flavour or food ingredient system containing a Licensed Compound.
Licensed Technology means, with respect to a Licensed Compound, all Licensee Technology owned or Controlled by Licensee as of the date of the license grant by Licensee to Licensor pursuant to this agreement, that is necessary for making, having made, use, sale, and offer for sale of such Licensed Compound.
Licensed Compound means a SCC that is licensed and provided by Licensee to Licensor pursuant to this Agreement.
Bitter Blocker Compound means a compound that blocks or desensitizes bitter taste as determined by a human taste panel evaluation.
Enhancer Compound means a compound which enhances sweetness or savory sensation as determined by human taste panel evaluation.
Field means all uses in foods and beverages by human or animals. For clarity, “Field†shall not include any use as nutritional supplements, dietetics, nutraceuticals, prescription and non-prescription medicines. Notwithstanding the foregoing, “Field†shall include the healthy foods and beverages specified below

The University grants to Licensee, a non-transferable, nonexclusive and royalty-bearing license to use the Technical Information solely for the purpose of exploiting the license granted to Licensee above. For the avoidance of doubt, Licensee acknowledges and agrees that no license is granted or implied under the Technical Information outside the Field or the Territory.
The University grants to Licensee, a nontransferable, nonexclusive and royalty-bearing license, to use the Tangible Research Property solely for the purpose of exploiting the licenses granted to Licensee above. For the avoidance of doubt, Licensee acknowledges and agrees that no license is granted or implied to use the Tangible Research Property for any other purpose.
The University retains its right to use the Patent Rights to make, have made, use, and import Licensed Products and to perform Licensed Services in the Territory and in the Field for research and educational purposes including collaboration with other nonprofit entities, which shall expressly exclude any commercial purposes.
The tangible research properties are NAD biosynthetic pathway carboxy His-tag murine cDNAs that encode Nmnat1, Nmnat2, Nmnat3, Nrk1, Nrk2, Nampt.
