License Grant
The College grants to the Licensee and its Subsidiaries an exclusive license under the Patent Rights to make, have made, use, and/or sell Licensed Products in the Field in the Territory. The College expressly reserves a non-transferable royalty-free right to use the Patent Rights in the Field by its faculty, staff and researchers, for educational and research purposes only.  The Licensee shall have the right to grant sublicenses to third parties.

The potential beneficial effects of NR in humans include increased anti-aging properties, fatty acid oxidation, mitochondrial activity, resistance to negative consequences of high-fat diets, protection against oxidative stress, prevention of peripheral neuropathy and blocking muscle degeneration.

Field of Use
The fields of use include 1) dietary supplements, sports performance enhancing products, foods with health claims, such as energy bar, skin care/cosmetic products; 2) food or drink products requiring FDA approval; 3) consumer foods, such as margarine, yogurt, and cereal; and 4) research.

Licensee is developing and conducting additional clinical trials to validate the health benefits associated with NR, a recently discovered vitamin found naturally in milk. NR is the most efficient B3 vitamin to enhance NAD+ energetics. NR has shown promise for improving cardiovascular health, glucose levels and cognitive function and has demonstrated evidence of anti-aging effects.

License Grant
The Parties will work collaboratively in deriving Collaboration Compounds from chemical libraries, novel chemical synthesis and natural products libraries, selecting certain Selected Collaboration Compounds (SCCs), optimizing SCCs through development and regulatory approval to become Licensed Compounds.

The Swiss Licensor will use reasonable efforts to assist Licensee in the manufacture of Licensed Products containing Licensed Compounds which are Bitter Blockers Compounds for use or commercial exploitation outside the Field, provided such assistance does not contradict Licensees commercial interests. In any event, such assistance may only be granted against appropriate remuneration and subject to a separate agreement to be negotiated in good faith.
