License Property

The Telli Pages is an online system that gives households a fast, free, simple-to-use, local online service and the Telli Pages. The Telli Pages instantly delivers detailed, up-to-the-minute, local information via a personal computer or a Telli Screen connected to a telephone.  The Telli Pages is an  electronic version of the printed yellow pages directory and includes detailed community news, schedules, agendas, events, and classifieds.

Telli Phone, a combined telephone and computer communications product with a small screen, that has the ability of accessing the Telli Pages Directory through ordinary telephone lines. The Telli Phone has the potential of replacing the standard telephone now used in virtually every household and office in the United States. Through the Telli Phones combined digital answering machine and interactive networking access system, users will have the ability to send, receive, and store vast amounts of electronic information and transactions locally and worldwide.

License Grant

In 2003 we acquired a patent for VoIP communication from the undisclosed inventor.  Patent licensing revenue is derived from licensing our intellectual property.

License Property

Our VoIP Patent Portfolio is an international patent portfolio covering the basic process and technology that enables VoIP communications.  Our patented technology enables telecommunications customers to originate a phone call on a traditional handset, transmit any part of that call via the Internet, and then terminate the call over the traditional telephone network.

In connection with the acquisition of U.S. Patent No. 6,243,373, the Company agreed to remit, to the former owner of the patent, proceeds from future revenue derived from the licensing of the VoIP Patent Portfolio, composed of U.S. Patent No's. 6,243,373 and 6,438,124.

The rights granted apply to the telecommunication field.

License Grant

Licensor has to granted at least one vendor a nonexclusive worldwide license to use Licensors intellectual property to manufacture and sell gateways to Party As service providers.

License Property

Gateways Party A satellites relay calls to earth through Party A gateways, which in turn connect the calls through the existing public telephone network. As a result, the Party A system will complement and extend, rather than bypass, the existing telephone network infrastructure. Gateway facilities include large antennas that send and receive signals to and from the satellites, sophisticated call processing equipment that connects calls to the local public telephone network and the software that implements the systems features and supports billing.

License Grant

This amendment updates the grant to read Licensor grants a personal, nontransferable, worldwide and nonexclusive license under Licensors Intellectual Property solely for Wireless Local Loop Applications
(a) to make, and have made, import, use and l ease or otherwise dispose of Subscriber Units, and
(b) to make, and have made, Components, provided such Components have been exclusively designed by Licensee and which design is owned and used exclusively by Licensee, and import, use and sell, lease and otherwise dispose of such Components but only if such Components are included as part of and within complete Subscriber Units Sold by Licensee or as replacement parts for Subscriber Units previously sold by Licensee.

Licensor has developed certain proprietary Code Division Multiple Access('CDMA') technology which may be useful in providing greater capacity and improved quality and reliability compared to other cellular telephone technologies.

With this amendment, Fixed Wireless Terminal means a complete CDMA fixed, non-mobile, non-portable telephone which 1) incorporates all or any part of Licensors Intellectual Property, 2) can be used, without any additional equipment or components being attached thereto, to initiate and receive Wireless Local Loop telecommunications in accordance with the CAI, and 3) is AC-powered through coupling of an attached power cord to an external fixed-location power supply.

Code-division multiple access (CDMA) is a channel access method used by various radio communication technologies. CDMA is an example of multiple access, where several transmitters can send information simultaneously over a single communication channel. This allows several users to share a band of frequencies (see bandwidth). To permit this without undue interference between the users, CDMA employs spread spectrum technology and a special coding scheme (where each transmitter is assigned a code).

CDMA2000 is a family of 3G[1] mobile technology standards for sending voice, data, and signaling data between mobile phones and cell sites.

Field of Use

Licensee desires to obtain a license of Licensor's Intellectual Property to manufacture and sell Subscriber Units and to purchase certain components and equipment from time to time under regular purchase orders.

The field of use is digital spread spectrum communications as applied to the telecommunications industry.

License Grant

Hong Kong Licensor grants to Licensee a non-exclusive, non-transferable, royalty-free, world wide license to use Licensor technology (and any Party A technology licensed by Licesor) associated with IP telephony, solely for the purpose of assuring that Licensor IP telephony products properly operate with Licensee products with a clause stating a royalty payment due as a result of termination for cause.

Licensor grants to Licensee associated right to load firmware as mutually developed, verified and released for end user installations to the phones via the Shoreware server.

License Property

The Product is several models of IP telephones.  Voice Over IP (VoIP) endpoint products and associated software is being designed to be used and deployed with Licensee IP based communication products being developed for certain markets.

The general Intellectual Property (“I.P.”) Philosophy is Licensee shall own the I.P. for the Industrial Design provided to Party A, and licenses Party A to use such for the S1, S2 and S6 IP phones.

Field of Use

This agreement pertains to the communications industry relating to electronics and data communications equipment.

Licensee is a developer of IP based voice communications systems for enterprise customers and is developing the Licensee line of IP based communications systems and software.
